Jonathan Astbury is a Counsel in our Global Financial Markets practice, with established experience in Debt and Equity Capital Markets and Corporate Finance. He joined Clifford Chance in 2014 as an associate from an international law firm in which he trained and worked in London and Abu Dhabi. He is dual-qualified as a solicitor in England and Wales and as an Avvocato in Italy. Jonathan regularly assists Italian and international investment banks and issuers in connection with complex structured finance transactions and bond issuances. In the debt capital markets area, he has gained solid experience in relation to EMTN (Euro Medium Term Notes), ECP (Euro Commercial Paper) programs, standalone issues, hybrid, equity-linked and exchangeable/convertible bonds, as well as bank and insurance capital strengthening issuance and liability management transactions, including tender and exchange offers and consent solicitation. He is also active in the field of sustainable finance, with a particular focus on ESG aspects, and regularly advises on bond issues related to M&A and private debt transactions.
Claudio Cerabolini
Claudio Cerabolini specialises in private equity, real estate, and private and public M&A transactions, and heads the Private Equity and the Real Estate groups in Italy. Claudio has worked with some of the most important international and Italian private equity, real estate and sovereign wealth funds, as well as with other asset managers, advising them on investment and disinvestment transactions (including buy-outs, public-to-private, growth capital, mergers, IPOs and joint ventures) in Italy and other European countries. He has also advised multinational and Italian corporates and financial institutions in M&A transactions, joint ventures, IPOs, tender offers and several other corporate finance and capital market matters. He is a member of the Tax & Legal Committee of AIFI (Italian Association of Private Equity and Venture Capital) and is one of the authors of the book "Private Equity and Venture Capital, Regulation and Good Practice", published by Risk Books in 2014. Claudio has also worked in the field of IT and data protection law for over 15 years, advising important clients on compliance, litigation, and complex and innovative matters.

Luciano Di Via is the Head of the Italian Antitrust Practice and is considered one of the primary specialists in antitrust in Italy. Luciano splits his time between Rome and Brussels and has more than 20 years' experience specialising in all aspects of EU and Italian antitrust law, including merger control, cartels, abuse of market power and market investigations/sector inquires. Luciano works across a wide range of sectors, including food and beverage, retail, insurance, energy and telecommunications. Luciano is also Co-Chair of the ICC Task Force on Cartels and Leniency. Before joining Clifford Chance in 2013, Luciano spent 10 years at the Italian Competition Authority — two of which he was the ICA’s seconded national expert at the European Commission's Directorate General of Competition. During his time with the ICA, amongst other activities, he led teams conducting dawn raids at company premises.
