China > Capital markets: PRC firms Tier 1

With a dedicated capital markets team, Haiwen & Partners handles range of transactions for Chinese enterprises. It is particularly proficient in the area of securities offerings, acting for a number of domestic and international investment banking firms and issuers. It also advises on IPOs, secondary equity offerings, debt offerings, and related restructuring projects. The team is led by Wei Gao, who has particular expertise in public M&A transactions and state-owned assets regulation. Ning Du is experienced in advising state-owned companies and private equity firms, whilst Lixin Huang specialises in shares and bond issuance matters. Chensheng Qiu recently joined from Fangda Partners.

Haiwen & Partners is regularly engaged by international clients to handle cross-border transactions involving Chinese companies, including the PRC aspects of multi-jurisdictional deals as well as inbound investments. The team’s work on inbound deals encompasses acting for investors including Temasek, Hillhouse Capital and Bain Capital as well as advising foreign companies on strategic acquisitions and joint ventures. The group, led by Jiping Zhang, is also highly active in the domestic M&A space, where it handles take-privates and transactions involving state-owned enterprises.

Private equity forms a core practice area at Haiwen & Partners, with the team representing a number of key market players, including private equity funds and start-ups, on a range of investment projects. The team also collaborates with wider teams at the firm, including in capital markets, intellectual property, tax, compliance and antitrust, to provide clients with holistic advice. Jiping Zhang leads the team from Beijing. Hao Bian represents high-profile private equity clients. Jiangshan Tang is also notable for his expertise in fund investment matters, whilst Weili Chi specialises in M&A and financial institution-related transactions. Xiajun Fang has significant experience in material assets restructuring matters.

Haiwen & Partners’ private wealth practice is experienced in advising on domestic succession and matrimonial matters, though it has particular expertise in offshore trust matters acting for PRC clients. The team is led by Han Bao, who recently joined from Zhong Lun Law Firm, and advises high-net-worth individuals and both Chinese and international financial institutions on a range of private wealth matters. Bao also has significant experience acting on cross-border matters and is qualified both in PRC law and in the US.

The team is led by Jianyuan Yang, who is well regarded for her expertise in both domestic and cross-jurisdictional compliance matters. Tina Wu specialises in the healthcare and life sciences sectors, whilst Qiong Wu provides additional expertise in employment law compliance issues as well as contentious matters.

Haiwen & Partners offers advise to a range of clients, including IT and media companies, multinational corporations, and private equity clients in their investments in the TMT sector. The team is co-led by Yu Cao and Peng Fu. Cao specialises in M&A transactions in the media and entertainment sectors, with experience advising a variety of clients, including domestic and international film studios. Meanwhile, Peng has expertise in intellectual property related TMT matters. Also notable are Hao Bian, Wenzhen Dai, and Ning Du, all of whom have significant experience in capital markets and M&A work.

The Haiwen & Partners antitrust practice was significantly strengthened by the arrival of new practice head Xiaoqiang Qian from Jincheng Tongda & Neal in 2021. Qian joins Xixiang Lin, whose work covers a range of antitrust compliance matters, merger control, sectoral regulation and general competition law. It represents a diverse client base from various industries including chemicals, shipbuilding, automobiles, consumer products & retail, energy and natural resources, financial institutions, healthcare, high-tech, infrastructure & transportation, private equity and telecoms. Haiwen & Partners‘ advises multinational companies and major funds on data compliance issues. It has seen an increase in cybersecurity-related instructions for overseas listings, assisting clients in relevant applications and reviews. Jianyuan Yang, who is noted for cross-border data protection matters as well as the establishment of data protection programs, leads the practice alongside M&A expert Peng Fu, who has a wealth of experience representing clients in the healthcare industry.

China > Intellectual property: PRC firms

Haiwen & Partners' 'dedicated' practice covers a wide range of IP work, including patents, trade marks, domain names, copyright (including software), trade secrets, and integrated circuit layout designs. It also handles IP-related antitrust and competition issues, disputes, and complex transactions involving international IP rights licenses and transfers. The department is jointly led by Hanguo Zhang, whose track record includes several technical IP disputes; and Qiang Ma, who has longstanding experience in practicing trade mark and copyright law. Recent growth includes the May 2022 recruitment of partner Jia Yuanyuan, who focuses on IP litigation, technology transactions and licensing, from Zhong Lun Law Firm.

Fund formation, downstream acquisitions and exit strategies all fall within the scope of the Haiwen & Partners investment funds practice. The team, co-led by Wang Lei, covers funds work in various industries from agriculture to e-commerce and can also offer expertise in offshore fund formation and cryptocurrency investments. Xue Tang joined the team from Jingtian & Gongcheng.

At Haiwen & Partners, the life sciences and healthcare team is particularly known for its strong expertise in transactional matters, often handling large cross-border M&A, IPOs, equity investments, and financings. In addition to its transactional strength, the group is well versed in data protection and privacy, complex collaboration agreements, antitrust, IP licensing and dispute resolution. Splitting her time between Beijing and Shanghai, Tina Wu, who is a key contact for licensing deals and M&A, overseas the practice. Hao Bian, Wenzhen Dai, Rui Feng and Ji Hu are recommended for transactional matters while Frank Wang and Hanguo Zhang focus on IP matters and disputes. In September 2021, the firm welcomed former King & Wood Mallesons' practitioner Yingqi Li boosting the team’s IP and litigation capabilities.
