Philip I. Danze

Philip has a broad base of experience in complex real estate and corporate transactions. In a career spanning four decades, he has represented clients in connection with the acquisition, development, leasing, finance, and sale of a variety of large real estate projects in Texas and throughout the country. Philip regularly advises clients with respect to the formation and operation of development joint ventures and investment partnerships, and general corporate matters. He has negotiated hundreds of commercial leases, and has represented borrowers and lenders on numerous loans and loan workouts. He enjoys representing purchasers and sellers of commercial real estate, sponsors of innovative development projects, and private equity investors.
Barrett Lesher

Barrett Lesher

Barrett has extensive experience litigating cases in state and federal courts and arbitration throughout a variety of industries. He has a broad litigation practice with a concentration in business and commercial litigation, including healthcare litigation, employment litigation, general tort litigation, commercial transportation litigation, fiduciary obligations, director and officer liability, shareholder disputes and rights, real estate disputes, contract litigation, and copyright and trademark and patent infringement litigation. Barrett also has extensive experience representing professionals in administrative proceedings before the Texas Medical Board and State Office of Administrative Hearings.
Daniel Phillips

Daniel Phillips

Dan joined the firm as a summer associate in 2010, and was elevated to Shareholder in 2020. Dan currently focuses his practice primarily in the area of mergers and acquisitions, and advises clients across various industries in acquisitions and sales of public and private companies and their assets, mergers, joint ventures and financing transactions. He also assists clients on an ongoing basis with general corporate matters, including Exchange Act reporting and corporate governance. Dan has particular experience representing physician practice groups, private equity sponsors, management services organizations, ambulatory surgery centers, hospitals and diagnostic imaging centers in connection with physician employment agreements, practice management arrangements, regulatory compliance and other business activities.
Julie Smith

Julie Smith

Julie is a transactional attorney with a broad general corporate practice who provides general business counsel to both publicly- and privately-owned business entities. She has significant experience in mergers and acquisitions, public and private securities offerings, federal securities law compliance, governance issues, contract negotiations, intellectual property contracts and general commercial agreements. She advises companies, private equity groups and their related portfolio companies, fund managers, large corporations, small business owners and entrepreneurs in a wide variety of industries. Due to the breadth of her general business expertise, Julie frequently functions in an outside “general counsel” role with many of her clients. Prior to her legal career, Julie was a corporate banker who developed and managed a portfolio of commercial and corporate clients.
Tim Vaughan

Tim Vaughan

Tim has experience with public offerings and private issuances of securities, mergers and acquisitions, federal securities law compliance, governance issues and contract negotiations. He has particular expertise in representing venture capital and private equity investors, as well as entrepreneurs. Although his practice is industry-agnostic, he has specific experience within the construction, technology, energy, retail and manufacturing industries. Tim has also served as issuer counsel in numerous underwritten public offerings within the property and casualty insurance, retail, manufacturing and software industries. He also represents non-profits, startups and early stage clients because those relationships allow him to become an active participant in his clients’ success by assisting with governance, business and strategic issues in addition to simply providing legal advice.
