Pérez-Llorca advises domestic and international banks and real estate investment trusts. The team assisted Banco Sabadell with a package of non-residential asset transactions valued at €246.5m. Luis Zurera, Gerard Serra and Vicente Estebaranz lead the team. Fausto Romero-Miura, Javier Muñoz and Alejandro Osma are other key names.
Capital markets: Debt Tier 2
Pérez-Llorca advised Cortefiel on the corporate governance implications arising from the issuance of €275m of senior secured notes and €325m of floating-rate senior notes. It also advised packaging solutions company Ardagh Group on the issuance of senior notes and assisted alternative investment manager Ben Oldman Partners with the design of a securitisation structure. Julio Lujambio leads the team, in which Javier Gómez made partner in January 2018 and Pablo González Mosqueira is recommended. Carlos Pérez Dávila was a new arrival from Clifford Chance in 2019.
Capital markets: Equity Tier 2
Recently, Pérez-Llorca acted on listings on the MAB. Other work included assisting Banco Santander with the acquisition of Banco Popular, with the client completing a rights issue for a total amount of €7bn. It also advised packaging company DS Smith on all Spanish law matters relating to the voluntary tender offer for 100% of the issued share capital of Europac at an offer price of €16.80 per share. Javier Carvajal and Pablo González Mosqueira are standout practitioners in Julio Lujambio's team. Javier Gómez made partner in January 2018.
A Spanish heavyweight, Pérez-Llorca is regularly involved in major M&A deals. For example, it assisted packaging company DS Smith with all Spanish law matters relating to the €1.7bn voluntary tender offer for Papeles y Cartones de Europa. Dispute resolution Tier 2
Pérez-Llorca is best known for its arbitration practice, with noted experience in cross-border matters. The team, which is led by Félix Montero and Ana Ribó, was recently strengthened by the arrival of Javier Izquierdo, who joined from Gómez-Acebo & Pombo and boosts the department’s strength in the areas of financial institutions and bankruptcy litigation. Experienced arbitrator Fernando Bedoya was promoted to partner in 2018, and Beatriz García is acting for the MAN group of truck manufacturers in judicial proceedings initiated by truck dealers, claiming damages caused by the truck manufacturer cartel. In another highlight, the team is representing Comuto in a complex case initiated by the Confederación Española de Transporte en Autobús, seeking to stop Comuto’s activity in Spain.
Employment Tier 2
Pérez-Llorca is particularly active in employment issues in the banking sector and has a particular expertise in collective negotiations. Luis Enrique Fernández Pallarés leads the practice and is experienced in complex transactions, corporate restructurings and cross-border projects. The team advised Avis on changing the labour conditions related to the delivery and collection of cars out of ordinary service hours; Daniel Cifuentes led on this matter. In another recent highlight, the firm assisted Virgin Active with the contract termination of its management team in Spain. Other key clients include Banco Santander, Airbus, HP and Bankia.
Private equity Tier 2
Pérez-Llorca advised CVC Capital Partners and PAI Partners on the acquisition of retail group Cortefiel, and handled acquisitions for ADM Capital and Oaktree Capital. Senior partner Pedro Pérez-Llorca, Julio Lujambio, Carmen Reyna and Pablo González Mosqueira all have private equity expertise. Javier Gómez made partner in January 2018.
Projects and energy Tier 2
Pérez-Llorca's practice is experienced in regulatory advice, transactions and litigation, as well as project finance. The team is led by regulatory expert José Ramón de Hoces; European Union law specialist Juan Manuel Rodríguez Cárcamo; Ander Valverde, who focuses on banking and finance; and Alejandro Osma, who is experienced in project finance. In a recent highlight, the department assisted Gas Natural Fenosa with the transformation of several distribution and supply points in Galicia from a LPG distribution network to a natural gas distribution network.

Pérez-Llorca frequently advises on EU regulation. On the contentious side, the group is representing four construction companies in judicial proceedings concerning the requested termination of a public works contract for the construction of road accesses to the port of Barcelona. White-collar crime Tier 2
Pérez-Llorca handles both cross-border and domestic cases on behalf of companies and top-level management. It successfully defended the president of savings bank CAM in a trial concerning alleged accountancy fraud. Adriana de Buerba is a leading lawyer in the area who can count on the assistance of associate Juan Palomino.
Banking and finance Tier 3Pérez-Llorca has a strong client portfolio including Bankia, CaixaBank, Citibank and BNP Paribas. Recent work includes assisting the DE Shaw group with the acquisition of a €550m NPL portfolio, and advising a pool of banks on refinancing the indebtedness of Zodiac Pool Solutions and Fluidra. Fausto Romero-Miura and practice head Ander Valverde are recommended. Pedro Marques da Gama made partner in January 2018 and Ildefonso Arenas joined from DLA Piper LLP in September 2018. Marcel Enrich, who is based in the Barcelona office, was a new arrival in 2020.
Environment Tier 3
Pérez-Llorca specialises in the area of public law and the development of projects with an environmental element. The firm has particular expertise in industrial waste and water discharge matters. Expert in planning Vicente Estebaranz leads the practice, which recently advised CVC Capital Partners on drafting a legal environmental report on waste management companies in Europe, relating to the potential acquisition of Befesa. In another highlight, the firm assisted Aena with the environmental implications of a plan for the expansion of the second biggest airport in Spain, Barcelona-El Prat.
EU and competition Tier 3
Pérez-Llorca focuses on cartel and merger control matters. The practice was boosted by the arrival of new team leader Juan Jiménez-Laiglesia, who joined from EY Abogados in 2018. Also notable is specialist in EU litigation Juan Manuel Rodríguez Cárcamo. In recent highlights, the department advised Banco Santander on merger control aspects concerning the acquisition of Banco Popular Español, and acted for Deutsche Bahn in an investigation by the Spanish competition authority related to the alleged infringement of certain agreements entered into with Renfe.
Pérez-Llorca specialises in the regulatory and administrative aspects of the health sector. In addition, the firm has experience in intellectual property disputes and competition-related advice. Health regulatory and litigation specialist Juan Manuel Rodríguez Cárcamo leads the practice and his work focuses on the pharmaceutical industry. In recent highlights, the practice is advising Mylan on the change in prescription of its medicine Bucometasana, and is also defending the Valencian Board of Official Pharmaceutical Colleges in proceedings arising from various instructions related to pre-filled syringes.
Industry focus: TMT Tier 3
Pérez-Llorca has particular expertise in public law and regulatory issues relating to the technology, media and telecoms sector. Public law specialist José Ramón de Hoces leads the practice with Juan Manuel Rodríguez Cárcamo, who is experienced in the regulatory aspects of the telecoms industry. Also noteworthy is Beatriz García, who was recently promoted to partner and advises clients internationally on audiovisual and broadcasting rights. The team advised Eurona Wireless Telecom on the €46.8m corporate financing granted by Magnetar Capital for the expansion of the company. In another highlight, the department is assisting Abertis with a number of data protection issues.
Restructuring and insolvency Tier 3
Pérez-Llorca recently advised the lenders, including BBVA and Bankia, on the refinancing of debt in the context of Carbures Europe's insolvency. Another highlight was assisting CaixaBank with Grupo Isolux Corsán's insolvency proceedings. Disputes head Félix Montero is the key name and Javier Izquierdo joined from Gómez-Acebo & Pombo in April 2018.
Tax Tier 3
Pérez-Llorca has cross-border experience in tax matters arising from international transactions, and also represents clients in interactions with the Spanish tax authorities. Tax legislation expert Clara Jiménez leads the team and focuses on litigation and tax audits. M&A and real estate specialist Norma Peña i Bagés is head of the firm’s Barcelona practice.
