1. Procopé & Hornborg acted as the Legal Advisor to Firstbeat Technologies Oy and its shareholders on the divestment of the Consumer Licensing Business unit Firstbeat Analytics Oy to Garmin Ltd Group.

Firstbeat Analytics is a leader in the market of physiological analytics and metrics for wearable products. Firstbeat Technologies Oy shall continue its operations through its Professional Sports and Wellness businesses, providing tools for the physiological assessment of performance for professional athletes as well as for enhancing wellbeing in workplaces.

2. Procopé & Hornborg advised Likeit Group Oy and Nepton Group Oy and their Management in the merger into Likeit Nepton Group Oy and investment by Sponsor Capital Funds.

Likeit provides SaaS and financial administration services for the labour-intensive sectors. Nepton is the most recommended work time management SaaS service in Finland.

The completed transaction with Sponsor Funds belongs to the long-term strategy of Likeit Nepton Group to grow into a large HR services company with an ever growing, strong and valued position in the business sector in question. After the combination, over 110,000 people utilizes the services of Likeit Nepton Group Oy in Finland and Northern Europe, and the company has over 700 customers in different business sectors.

3. Procopé & Hornborg acted as the legal advisor, together with Accura Advokatpartnerselskab as the local legal advisor, to Etteplan in its acquisition of TekPartner A/S, a Danish engineering and IT company specialised in electronics and software. In line with its growth strategy Etteplan intends to expand its business in the Nordics. With this strategic acquisition, the company opened up operations in a new country, Denmark.

4. Procopé & Hornborg acted as the legal advisor to Etteplan in the outsourcing of part of Kalmar’s, which is part of Cargotec, crane engineering operations in China and the transfer of approximately 70 Kalmar’s engineering employees to Etteplan.

With the planned long-term agreement Kalmar aims to improve the efficiency of its crane engineering operations in China by ensuring scalability and cost competitiveness. The deal is among the largest outsourcing agreements in Etteplan’s history and also marks the opening of Etteplan’s ninth office in China.

5. Procopé & Hornborg advised Indutrade on its acquisition of Pistesarjat Oy. Pistesarjat offers heating and frost protection cable systems, fire-resistant cable systems and data cable systems for global leading suppliers and customers in Finland.

Procopé & Hornborg advised Indutrade during the negotiation process, supported Indutrade to include Pistesarjat Oy in its portfolio and thereby enabling Pistesarjat Oy’s future steps.
