Career

Jean-François Goffin has a long experience in corporate law. He regularly deals with legal disputes and more precisely those related to disagreements between shareholders. In Belgium, he is an expert renowned for coping with questions linked to the corporate governance and to the executive managers’ responsibility. He is, amongst other things, consulted by many executive managers for disputes concerning responsibility.

He wrote several articles on this subject, including “Responsabilités des dirigeants d’entreprises”, a work he co-authored with Grégory de Sauvage and that was published by Larcier in 2012. Moreover, he regularly holds trainings and seminars on that same subject.

He developed an expertise in the formalisation of long-term relationships between shareholders (shareholders’ agreement, statutes, rule of court, etc.).

Jean-François Goffin also focuses his experience on the merger and acquisition sector. In addition to his experience in the “mid-market M&A”, he deals with many complex restructurings of enterprises with problems in Belgium (restructuring, judicial reorganisation). He is currently involved in the judicial reorganisation of several industrial societies.

Belgium > Insolvency and restructuring

CMS‘ insolvency and restructuring practice comprises a large team of specialists who primarily advise creditors and investors on distressed M&A and post-insolvency takeover bids, recovery claims in insolvency proceedings, and criminal complaints, though the team is also capable of assisting distressed debtors with judicial and out-of-court restructurings. Liability and insolvency litigation expert Jean-François Goffin leads the practice together with distressed M&A specialist Virginie Frémat and Grégory de Sauvage, who is a key contact for cross-border contentious matters.
