Partner since 1989. He heads the Banking and Financial team and the Media and IT group. He has served as legal counsel in transactions covering finance and banking, capital markets, mergers and acquisitions and telecom. He has participated in many M&A deals, restructurings and corporate reorganizations, shareholders agreements and disputes, and creditors agreements and is also a board member of corporations. He has a very active arbitration and mediation practice. He is a listed arbitrator and mediator of the Arbitration and Mediation Center of the Santiago Chamber of Commerce.

Cariola Díez Pérez-Cotapos’s 12-strong practice is highly regarded for structuring financial transactions, (including tax law assistance), such as cross-border loans; project and acquisition finance, domestic corporate financings and specialised secured financings; and complex restructurings and derivatives and trade finance. The firm also fields lawyers with regulatory expertise and acts for a lender side-client roster that includes Rabobank, Santander, Banco BICE, Itaú Corpbanca, Scotiabank Chile, Sabadell, BNP Paribas, BCP and Bando de Crédito del Perú. Recent matters saw Rodrigo Sepúlveda lead advice to DNB Bank (Norway’s largest financial services group), as mandated lead arranger, original lender, issuing bank and agent, regarding a $30m super senior multi-currency revolving facility granted to Nova Austral. Other matters include acting for Canadian mining group Golder Associates (Enterra Holdings) and Chilean subsidiary Golder Associates, as borrowers and guarantors, in an amended and restated $226m credit agreement with a syndicated group of international banks. Cariola Díez Pérez-Cotapos assists foreign and domestic IT, telecoms, media and internet companies with the technology components and corporate aspects of their investments in local companies; handles joint ventures, transactional IP and litigation; and undertakes regulatory-related IT and media projects. Recent mandates saw the team advise Pontificia Universidad Católica de Chile on the sale of a 33 percent stake in Canal 13, a significant local TV station, to Luksic Group. Rodrigo Lavados and Francisco Illanes are the names to note. The client list also includes Turner Broadcasting, Fox International Channels, Google, Nokia, Chilevision and IBM.

Cariola Díez Pérez-Cotapos is well known for its expertise in the tax structuring of acquisitions and restructuring of investments in Chile. The department is also noted for mining-related taxation and has a growing tax litigation practice. It acted as tax advisors to Goldcorp in the structuring and implementation of a joint venture with Barrick which involves one of the largest undeveloped gold deposits in the world. Francisco Illanes and Javier Cerón are the recommended names.
