Position

Mike's principal area of practice is corporate finance, with an emphasis upon high yield debt financings. His clients include both issuers and underwriters of debt securities, and Mike's industry experience includes a variety of Master Limited Partnerships and other energy companies as well as Southwest Airlines Co.

Nicknamed "Dr. Debt" by the CFO of an oilfield services company client, Mike's experience with corporate debt is especially broad. Over the last 35 years, he has worked on more than a hundred debt deals for public and private companies and their underwriters totaling tens of billions of dollars, including aircraft equipment pass through trust financings for Southwest Airlines, debt tender offers and consent solicitations, and underwritten offerings of both investment-grade and high yield (or "junk") bonds.

Mike prides himself upon his business-like, cost effective approach to his practice. The 2008 edition of Chambers USA says that Mike "solves difficult problems very creatively, yet simply" and arrives at "useful answers quickly."

Education

Mike graduated from Yale College, B.A. in 1969, Cambridge University, Dip. Dev. Econ. in 1970, and Harvard University, J.D. in 1973 (Fraternity: Phi Beta Kappa). Admitted to Texas Bar in 1973.

Oil and gas powerhouse Vinson & Elkins LLP is praised for its ‘encyclopedic knowledge of key terms and structuring for energy issuers and underwriters’. The national group, which ‘stands at the leading edge of trends in the capital markets’, also impresses with its ‘first-hand experience of marquee transactions’ and its ‘broad relationship network’. David Stone is a key contact for high-yield debt offerings and teamed up with counsel Daniel Spelkin and of counsel Michael Harrington to advise Targa Resources Partners on its $1bn offering of senior notes. On the manager side, the same team advised Deutsche Bank as lead underwriter on Tullow Oil’s $800m offering of senior notes. The firm has also recently handled work for issuers outside the energy sector, including Belden and Enviva Partners. Named attorneys are based in Houston.
