Brian has more than 25 years of experience advising clients on the design, administration, and tax aspects of their executive compensation and general employee benefit programs. This aspect of his practice includes qualified and nonqualified plans, equity-based and other incentive programs, and a variety of other compensatory arrangements. Brian’s practice also encompasses the executive compensation and benefit aspects of business acquisitions, divestitures, mergers, and spin-offs, including transitional matters, parachute arrangements, plan asset and liability transfers, and related issues.

Vinson & Elkins LLP's employee benefits and executive compensation group has ‘the right mix of substantive knowledge, pragmatism and people skills to successfully resolve even the thorniest of legal issues'. ‘Excellent counsellor’ David D’Alessandro heads the team and is advising RSP Permian on its $9.5bn all-stock sale to Concho Resources. In the energy sector, Houston’s Stephen Jacobson handled the benefits arrangements of Talos Energy’s $2.5bn merger with Stone Energy Corporation. Other significant matters saw Houston’s Shane Tucker handling Sailpoint Technologies Holdings’ $240m IPO on the NYSE, and Brian Bloom advising Altagas on its $6.4bn merger with WGL Holdings. Clients singled out Katherine Mull for her ‘great experience and market knowledge’, and also rate associate Gina Hancock as ‘extremely hardworking, knowledgeable and responsive’.
