New York-based Brian Frawley and veteran litigator John Hardiman coordinate Sullivan & Cromwell LLP’s practice with Robert Sacks in Los Angeles. In one of the most high-profile cases in recent years, Sacks represented a special committee of directors of Dole Foods and persuaded the court in California to stay litigation against the company’s going-private deal in favor of Delaware, where the Chancery Court denied a motion for expedition and dismissed claims against the special committee. Sacks and Frawley also advised Valeant Pharmaceuticals against claims of disclosing inside information about its $55bn attempted takeover of Allergan. Hardiman’s highlights included representing Harris Corporation in a class action in Indiana concerning its $4.56bn merger with Exelis.
