Co-led by Carlos Valverde and Victor Garita, the corporate and M&A practice at domestic full-service firm Facio & Cañas advises on market entry, free trade zone regulations, joint ventures, M&A deals and corporate restructuring. Notable recent work saw the very active Carlos Oreamuno assist Cinemark with the expansion of its business in Costa Rica; and advise AT&T on its establishment of a corporate vehicle and the contractual structure for its entry into the Costa Rican telecoms sector. In other work, Valverde led advice to Veoo Holdings on its acquisition of InternetQ; and assisted Santa Rita with the termination of a local distributorship for its brand Viña Carmen, as well as the transition to a new distributor. Another key feature of the practice is day-to-day corporate advice to local and multinational companies, such as Fujitsu, Conair and Cisco Systems Costa Rica. Managing partner Sergio Solera is also active in the department.

Facio & Cañas’ dispute resolution department is jointly led by Federico Torrealba and senior figure, Rodrigo Oreamuno, who is today best known for his arbitral appointments and involvement in cross-border investment treaty arbitrations. The seven-strong team handles a broad range of contentious matters, from civil and commercial disputes, to administrative and intellectual property litigation, as well as the recovery of damages. In one recent highlight, Oreamuno represented Chiquita in a $400m lawsuit brought by 525 plantation workers against the client (along with Shell Oil, Dow Chemical and Del Monte), alleging exposure to harmful chemicals and associated health issues. Plaintiff-side work includes advising Productos de Concreto in an administrative tax dispute.

With extensive experience in both contentious and non-contentious labour and employment-related work, the team at Facio & Cañas, led by Luis Sánchez, regularly receives instructions from both employers and high-profile employees (including both executives and sports people (a sub-sector where the practice is particularly active)). In notable recent work, associate Mauricio Bolaños represented Coca Cola Femsa de Costa Rica in multiple legal proceedings brought by employees with regards to allegedly unpaid overtime and, separately, the termination of labour relationships with senior managers. The real estate practice at domestic full-service firm Facio & Cañas assists both developers and buyers with matters such as land acquisition and sales, due diligence and the obtaining of permits and licenses. In recent work, managing partner Sergio Solera led advice to various private investors on the acquisition of various hotel properties and assisted Aldesa Desarrollos Zona Franca Coyol with the incorporation of a condominium in Alajuela. Also active in the sector, Carlos Valverde recently led advice to Ciudad Hacienda los Reyes on a $25m commercial and residential development, and assisted Urbanización La Laguna with legal aspects of a real estate development in Santo Tomás. In 2017, Facio & Cañas’ affiliated tax-arm, Fayca Tax, entered into a strategic alliance with Deloitte following the latter’s loss of much of its team to competitor Grant & Thornton; the co-working agreement is principally focused on contentious matters. The team advises on preventative and litigious matters, as well as non-contentious tax issues such as the tax aspects of transactions, corporate restructuring and the establishment of partnerships and corporations. The key strengths of the practice, however, remain tax litigation and consultancy on tax audits performed by the tax administration. Recent work saw the team advise Banco Nacional de Costa Rica (BNCR) on income tax proceedings; assist Banco Davivienda with tax-related administrative proceedings; and represent Unilever in a transfer pricing case. Adrián Torrealba co-directs the department alongside José María Oreamuno and is noted for his ‘great knowledge and personal treatment’. Other work includes representing B Ticino in a tax dispute before the tax authorities.
