Position

Colin Law is the managing partner of Shearman & Sterling's Hong Kong office, and his practice focuses on securities and M&A transactions. His experience includes advising bulge bracket US investment banks on international public offerings, takeovers of public companies, regulatory matters, and debt capital markets transactions. Colin represents multinational companies doing business in China. He represents leading Chinese State-owned enterprises on the development of their global strategies and advising on some of the largest overseas acquisitions and joint ventures by the Chinese. He is particularly involved in the healthcare, insurance, natural resources, and telecom sectors. Colin is recognized as a leading lawyer in the fields of Capital Markets and Corporate/M&A in major legal directories including Chambers Global, Chambers Asia and IFLR1000 Guide to the World’s Leading Financial Law Firms.

Shearman & Sterling's team has vast experience in assisting clients across multiple sectors with cross-border transactions that require innovative structuring solutions. It has a particularly standout reputation in going-private transactions involving US-listed Chinese companies, having handled more than 40 of these matters since 2010; clients in this space include special committees of independent directors, acquirers and financial advisers. In 2017, a highlight involved acting for the board of directors at New York Stock Exchange-listed Zhaopin on its $1.02bn acquisition by SEEK International Investments (Zhaopin's controlling shareholder), Hillhouse Capital and FountainVest. In another mandate, Colin Law was the lead adviser to the controlling shareholder of Future Land Development Holdings on a $661m privatisation bid. Elsewhere, other bedrocks of the diverse practice include foreign direct investments into China, public and private M&A, as well as China outbound acquisitions of, and investments in, US and European corporates. Tang advised China-based Primavera Capital on its investment into Alibaba Group's logistics arm, Cainiao Smart Logistics Network Limited. Paul Strecker, who divides his time between the Hong Kong and London offices, acted for Tiger Group Investments on the sale of its Greater China joint venture with The Carlyle Group (and others) to Seaspan. The firm's other clients include Sanofi, GE Technology Development and sohu.com. Li Chen splits her practice between Beijing and Hong Kong. Greater China head Lorna Xin Chen is also recommended. Stephanie Tang joined Hogan Lovells.

Shearman & Sterling fields a team with English, Hong Kong and US law expertise. It demonstrates strong capabilities in sophisticated and landmark debt offerings in Greater China and further afield in Asia, where it acts for governments, state-owned enterprises, corporate issuers and financial institutions. In 2017, Alan Yeung led a cross-office team that acted for the joint global coordinators, joint lead managers and joint bookrunners on China Three Gorges' €650m green bonds issuance; this was the first-ever euro-denominated green bonds issuance by a Chinese company. Yeung also acted for BOCI Asia as the initial purchaser in China Huiyuan Juice Group's $150m notes offering and subsequent $50m tap offering, constituting the company's first international bond offering. The firm has also acted as US counsel to New Metro Global (as well as to Future Land Holdings as the guarantor) on a series of high-yield debt offerings. CK Hutchison, JP Morgan and Morgan Stanley are other notable clients. Matthew Bersani is the global head of corporate finance, while Colin Law leads the capital markets team in Asia.

Shearman & Sterling is highly rated by issuer and underwriter clients for high-profile and complex Hong Kong Stock Exchange, New York Stock Exchange and NASDAQ listings. Its team has increasingly become a first port of call for offerings in the healthcare, technology and real estate sectors. In 2017, global corporate finance head Matthew Bersani acted for Goldman Sachs, Bank of America Merrill Lynch, Deutsche Bank, China Renaissance and ICBCI on LexinFintech's $108m IPO and listing on the NASDAQ Global Market. In Hong Kong, Asia capital markets head Colin Law, Bersani and others advised Bank of America Merrill Lynch, Morgan Stanley and China Merchant Securities as joint sponsors, joint global coordinators and joint bookrunners on the $510m global offering and Main Board IPO of WuXi Biologics; this is only the second time a former US-listed company has relisted in Hong Kong. Law has also led the advice to WuXi Biologics on a series of block trades. Elsewhere, Peter Chen, counsel Edward Bong and others acted for Tianjin Tianbao Energy on the placing and IPO of its H shares on the Hong Kong Stock Exchange Main Board. Paloma Wang moved to Skadden, Arps, Slate, Meagher & Flom LLP.
