Regional Managing Partner of Europe, the Middle East and Africa

Career

Marwan Elaraby is based in Shearman & Sterling's Abu Dhabi and Dubai offices.

He focuses on M&A, private equity, capital markets and project development transactions in several industries, with a particular emphasis on energy. Marwan previously served as Managing Director at Citadel Capital, one of the leading private equity firms in the Middle East and Africa.  Marwan also served as Executive Director in EFG-Hermes’ investment banking group, where he worked as an investment banker advising clients on numerous capital markets and M&A transactions in the Middle East.

Prior to moving to the Middle East, Marwan was a partner in our New York office, where he worked extensively with investment banking and corporate clients on a wide range of public and private corporate finance transactions. His practice focused on exempt offerings of high yield securities and has also included registered equity offerings, corporate governance advisory work and financial restructurings.

Marwan first joined the firm in 1995 and became a partner in 2004.

Working with the firm's London office, Shearman & Sterling LLP's Marwan Elaraby and Matthew Powell (the latter based in Abu Dhabi) advised Adnoc Distribution on its IPO and listing on ADX, which was the first IPO to use a book-building process.

Commercial, corporate and M&A

Shearman & Sterling LLP handles a mixture of work, and in particular has close relationships with government-backed clients in Abu Dhabi. Matthew Powell advised Adnoc Distribution on forming a joint venture with Urban Foods to open a number of Géant-branded food stores in its petrol stations across the UAE. Marwan Elaraby, working with members of the firm's team in London, advised EFG-Hermes on its purchase of a 50% stake in Frontier Investment Management. Elaraby also assisted NMC Healthcare with forming a joint venture with Hassana Investment to enter the Saudi health market. Another member of the team is Rodney Cannon, who was previously group general counsel of Mubadala.
