Position

Robert Flanigan is a Banking & Finance partner who regularly represents issuers and underwriters on Rule 144A/Regulation S private placements and SEC-registered offerings of a wide range of equity and debt securities, particularly in transactions involving French and Spanish issuers. He has advised on some of the largest capital markets transactions in Europe, including the ‚ā¨4.3 billion IPO of Aena, the ‚ā¨2.4 billion IPO of Inditex, the ‚ā¨1.2 billion IPO of Snecma; over ‚ā¨3.3 billion in offerings of high yield notes by Rhodia; and Barclays Bank plc in the creation and operation of its ‚ā¨10 billion Global Collaterlised Medium Term Note Progamme. Robert also represents foreign private issuers in connection with ongoing compliance with SEC and NYSE reporting obligations and advises clients regarding public disclosure obligations and corporate governance issues. He has advised private and public companies in M&A transactions in a variety of business sectors.

Mayer Brown International LLP has longstanding relationships with some of the AIM market's most prominent and active NOMADs; practice head Kate Ball-Dodd, Robert Flanigan and associate Simon Allison acted for Investec Bank in the £40.7m placing of shares in Hollywood Bowl Group by way of an accelerated bookbuild. Flanigan and Allison also worked with Colin Scagell to advise Peel Hunt and Panmure Gordon as joint bookrunners on the £9.8m placing of new shares by Blancco Technology Group (also by way of an accelerated bookbuild). The team is also a strong performer acting for issuers, both on AIM and overseas exchanges, attracting particular praise for 'its knowledge and understanding of the FPI rules, Sarbanes-Oxley, AIM rules and Companies Act'; it is 'a one-stop shop for all legal compliance questions'. A recent highlight involved Robert Hamill and Rebecca Bothamley advising Velocys on a circa £18.4m firm placing and placing and open offer to fund an ongoing renewable fuels biorefinery. Other corporate clients include Entertainment One, Shearwater Group Plc, GBGI and Eland Oil & Gas.

The dedicated three-partner DCM team has extensive US law capability in London. In an example of its strong flow of Canadian issuer work, the team acted on the update of Canada Pension Plan Investment Board's C$25bn global MTN programme and its issuance of $2bn in fixed rate notes. The practice also handled F√©d√©ration des caisses Desjardins du Qu√©bec's¬†‚ā¨7bn MTN programme.¬†Its work for blue-chip European corporates included a ‚ā¨600m notes offering by Novartis AG. Key to all three of these deals was¬†James Taylor, who is 'one of the best for Canadian covered bond issuance; he is knowledgeable, practical and transaction-oriented, and he adds real value'. He also plays a key role in the firm's emerging markets debt work, which included representing Turkey's Vakifbank in its invitation to holders of its $900m outstanding subordinated notes. He also advises¬†>issuers and underwriters on high-profile reverse Yankee bonds, which included acting for joint lead managers on a ‚ā¨600m offering by Whirlpool Corporation.¬†Bernd Bohr¬†is 'extremely precise, reliable and business-minded and has a very good knowledge of the industry'.¬†US and France qualified¬†Robert Flanigan¬†handles numerous deals in southern Europe. He advised Spain's Liberbank on its ‚ā¨300m inaugural bond issue.

Mayer Brown International LLP 's Tamsin Travers  was recently promoted to partner and was part of a team led by Tom Duncan to advise SSE and its joint venture partners as developers of the Beatrice offshore wind farm project on ICC arbitration proceedings arising from a subsea services EPC contract. A major construction company engaged Jonathan Stone to oversee the design and construction of a new terminal at a major UK port to accommodate a new international fleet, and practice Michael Regan represented a construction company in a series of disputes including the recovery of costs related to damages to a car park which the client designed and constructed. Clients can rely on Robert Flanigan for capital markets mandates and Chris Fellowes handles transactional construction matters such as tenders and procurement contracts.
