Within: Capital markets

Weerawong, Chinnavat & Partners maintains a busy practice that sees a regular stream of instructions from issuers and underwriters alike. On the equity side, the team assisted Do Day Dream with its IPO on the Stock Exchange of Thailand (SET), which was valued at THB4m, or approximately $123m. In the debt market, the team acted for CGIF, a trust fund of the Asian Development Bank, in relation to the issuance by Siamgas and Petrochemicals of partially guaranteed bonds, which marked CGIF’s first support to a Thai corporate issuing THB-denominated bonds. Senior partner Veeranuch Thammavaranucupt, who heads the capital markets group, has cemented her reputation in the field with involvement in a number of precedent-setting debt and equity offerings. Other names to note include Patcharaporn Pootranon and Khemajit Choomwattana, who have mixed capital markets and M&A practices; Pootranon also has expertise in securities regulations, and Choomwattana has considerable experience with REIT offerings. Senior counsel James Lawden, who is qualified in England and Wales, is another contact in the capital markets group; he has experience working in London, Tokyo and Bangkok.

Corporate and M&A

Within: Corporate and M&A

The highly regarded corporate and M&A department at Weerawong, Chinnavat & Partners has played a role in some of the largest corporate deals in Thailand and throughout the region. Recently, this has included advising ThaiBev on the acquisition by Vietnam Beverage (an associated company of ThaiBev) of a 53.6% stake in Sabeco Brewery, and also acting for PTTEP in relation to its acquisition of a 22.2% stake in the Bongkot project from Royal Dutch Shell; the latter deal increased PTTEP's overall stake to a majority shareholding. On the sell side, Panuwat Chalongkuamdee advised Rexel on the disposal of its Southeast Asia operations to private equity firm American Industrial Acquisition Corporation. Further, the firm's knowledge of acquisition financing, environmental law, competition and IP allows it to provide comprehensive service from the initial stages of a transaction to post-acquisition issues. Renowned senior partners Weerawong Chittmittrapap and Veeranuch Thammavaranucupt jointly head the corporate department. Sunyaluck Chaikajornwat and Samata Masagee are also among the team's leading practitioners. Chinnavat Chinsangaram has left the firm to work at the Public Legal Aid Foundation.

Weerawong, Chinnavat & Partners’ extensive telecoms-sector experience is underpinned by the firm’s market-leading corporate, litigation and finance practices, ensuring strong workflows in this area. The TMT group also counts media and entertainment companies among its clients and has developed an active fintech practice, where it provides advice to multinational technology companies on Thailand’s regulatory environment. Telecoms service provider Jasmine International is a significant client; in recent work, Passawan Navanithikul assisted it on a THB8.5bn facility granted by The Siam Commercial Bank to be used for refinancing and on-lending to its group companies. In M&A, a team led by senior partner Weerawong Chittmittrapap acted for an investment company in the purchase of 50% of the total shares of a media and TV company. On the contentious side, highlights included Rapinnart Prongsiriwattana’s filing of a successful motion to lift an injunction against assets of a mobile operator, another of the firm’s key clients. The department is co-led by telecoms expert Veeranuch Thammavaranucupt and Samata Masagee, who has an impressive track record in corporate transactions for TMT companies.
