Stephen is a highly experienced corporate law specialist providing proactive business advice to domestic and international clients across a range of sectors. He is one of the firm’s International Brand Ambassadors.

Stephen has a particular emphasis on all forms of cross-border M&A, complex joint ventures, commercial contracts, shareholder arrangements and company restructurings.

Acting for public and private clients, as well as family businesses and ultra high net worth ndividuals, Stephen is well travelled and well connected. His friendly and approachable style has led him to become the trusted advisor to a large and varied client base.

Stephen’s pragmatic and creative approach means he delivers solutions ahead of time, helping clients achieve their goals in a cost effective manner. Stephen is comfortable advising a board of directors of a public listed company or a new start-up entrepreneur. His attention to detail is matched by his ability to see the ‘bigger picture’.

Stephen has been with the firm since 1995 and became a partner in 2003.

Highlight Matters
- Working on the merger of Ince & Co LLP and Gordon Dadds PLC to create a full service AIM listed international law firm, signing on 31st December 2018
- Advising a major Middle Eastern energy client/ship owner on a proposed collaboration in 2019 with a new strategic partner in respect of its shipping platform. The client has approached a number global shipping operators with a view to them investing in its shipping arm.
- Acting in 2019 for an UHNI in respect of ongoing issues surrounding the sale of shares in a family business
- Advising a wholly state-owned national oil company on a major asset restructuring in 2017/8
- Advising a New York Stock Exchange listed company on a cross border acquisition in 2018 of a European company that provides global port reception facilities.
- Acting for a global ship management company in 2018 on its share for share exchange whereby it acquired a global marine travel business.
- Acting for an Austrian private equity fund on the purchase in 2018 of a UK specialist retail printing company
- Advising family members of a Middle East family in 2017/8 in respect of personal wealth investments under the control of third parties
- Acting for a US fund on its acquisition in 2018 of a global leader in ship management services
- Acting for a Far East business in respect of commercial issues and ownership disputes concerning its operations in the Middle East

Ince specialises in handling transactions in the shipping, aviation, insurance, energy and international trade sectors for domestic and international clients ranging from large listed corporates to family-owned private companies. Practice head Stephen Jarvis  and Mona Patel acted as co-counsel (alongside Freshfields Bruckhaus Deringer LLP) for Advent International, advising on the maritime law aspects of the acquisition of an 80% stake in London-based shipping services company V.Ships. Matthew Stratton assisted Acergy (Gibraltar), a wholly owned subsidiary of subsea engineering, services and construction company Subsea 7, with the $279m purchase of the remaining interest in Seaway Heavy Lifting (in which it already owned a 50% stake), and acted for Aegean Marine Petroleum Network on its $367m acquisition of HEC Europe. Other key clients include Danaos, Global Research Partners, Newpark Resources and PVM Oil Associates; China Merchant Partners and GasLog are among the team’s new clients.

The 'very attentive' contractor-focused oil and gas lawyers at Ince 'have an outstanding knowledge base of the industry and react quickly as the matters develop'. In recent highlights, the practice handled the sale and leaseback of an LNG carrier to Chinese state-owned shipping company COSCO on behalf of Golar, and Jonathan Goldfarb - assisted by Mona Patel and Stephen Jarvis  - provided cross-border counsel to longstanding Gaslog with regards to an SPA to acquire 20% shareholding in Gastrade. On the contentious front Chris Kidd continues to lead the advice to a drilling contractor in connection with a claim against a shipyard arising from the severely delayed construction of a deep water drilling rig due to the shipyward's alleged failure to deliver the vessel on time. Simon Hems heads the practice and is also a key name to note alongside Renaud Barbier-Emery and Matthew Stratton . Clients also recommend 'remarkably driven and experienced' managing associate Phillippa Hook who 'ascertains the real issues quickly providing innovative but sound solutions instantaneously'. Jeremy Farr , Clare Kempkens and Charles Lockwood joined K&L Gates LLP .
