Position

Zeynel Tunc is the partner heading the energy, infrastructure and construction practice of the firm with in-depth experience of the Turkish energy sector working extensively with sponsors, developers, investors and the energy regulator. Zeynel also focuses on project finance and extensively advises developers, sponsors, creditors and the regulators including the energy regulator. Zeynel worked previously at EnerjiSA Group, a leading energy generation, trading, distribution and sales company of E.ON and Sabancı Group, where he led the legal department for more than five years. Zeynel has been heavily involved in advising on the regulatory processes, privatisations, PPPs, licensing requirements, and project finance work, working along with the sponsors, lenders, including DFIs and ECAs, procuring entities, suppliers, contractors, the government agencies, the Turkish energy regulator, and the consultants in power, gas, mining, and infrastructure investments. Zeynel advises clients on a wide range of FIDIC and non-FIDIC based construction, engineering and maintenance of large and mid-size power projects and infrastructure facilities from tender to contract negotiation, and resolution of construction disputes. Zeynel also has a vast banking and finance experience, acting for international financial institutions, lenders and borrowers in cross-border loan facilities.

Paksoy advises lenders, sponsors, institutional investors, contractors and operators in the power, oil and gas, infrastructure and healthcare sectors. It is adept at handling PPP projects, advising on contracts, permits and authorisations, administrative law, litigation, and regulations. Recent highlights include advising EBRD on its $500m loan and related documentation to the Trans-Anatolian Natural Gas Pipeline (TANAP) project. Carillion and Fina Enerji are also clients. Zeynel Tunç heads the team.

Paksoy advises clients on drafting and negotiation of contracts, lease and construction agreements, hotel management, EPCs and O&M agreements. Other areas of expertise include compliance, zoning and permits.   • SQUEEZE-OUT RIGHT IN PUBLIC COMPANIES -- TURKEY

    Squeeze-out and sell-out rights in Turkish public companies are regulated by the Communiqué on Squeeze-Out and Sell-Out Rights (the " Communiqué ") published in the Official Gazette dated 2 January 2014 effective as of 1 July 2014. The Communiqué was issued by the Capital Markets Board of Turkey (the " CMB ") in accordance with the Capital Markets Law and regulates the right to squeeze-out minority shareholders by the controlling shareholder and the minority shareholders' rights to exit the public company by selling their shares to the majority shareholder.
