Position

Sara Bandehzadeh, LL.M. (San Francisco) is a partner in Fieldfisher´s Hamburg office and advises on all aspects of Corporate and Commercial Law, with a focus on Commercial and Distribution Law in recent years.

For national and international companies,she is particularly involved in drafting contracts under Distribution Law, advising on cross-border distribution structures and (also in court) enforcing and defending claims for damages and compensation in connection with distribution contracts.

Her range of advice includes the drafting and negotiation of commercial agency/authorised dealer and other distribution agreements, complex purchase/framework supply agreements or contracts for work and services, service and cooperation agreements as well as the structuring of distribution systems in compliance with Antitrust Law. She also advises companies in connection with the implementation of the Supply Chain Duty of Care Act.

In addition, she frequently advises her clients in connection with the drafting and review of general terms and conditions (GTC) and conflict of laws issues.

Due to her many years of experience in Corporate Law, she also has special expertise in advising on intra-group restructuring measures under Corporate Law. This includes tax-motivated or simplification of corporate structures, such as mergers, changes of legal form or demergers, in particular also cross-border mergers (mergers in and out), which we can carry out particularly efficiently in cooperation with the colleagues in our other European offices.

Furthermore, she represents domestic and foreign clients in the formation of companies – including SE formations – and the implementation of joint ventures. Her field of activity also includes corporate housekeeping and the organisation of contracts.

She is mentioned in the JUVE Handbook of Commercial Law Firms as a frequently recommended lawyer for the area of distribution systems.

Career

Prior to joining Fieldfisher, she worked as a Corporate lawyer in an international Commercial law firm, where she advised primarily on M&A, Corporate Restructuring and Shareholder Disputes.

Her subsequent work for several years as Legal Counsel for a globally active Hamburg-based group of companies in the trade and shipping sector helped her to see things from the client’s point of view in her legal work.
