Allen & Overy LLP is noted for the ‘outstanding level of service’ provided by its diverse team, which includes a mix of experienced local and international lawyers, all of whom regularly act on high-profile cross-border matters such as the securitisation, by client Credit Suisse, of collateral for a loan to Home Credit Vietnam Finance Company. That deal, led by the ‘practical’ Duc Tran, was a market first in Vietnam’s consumer finance industry. Vietnam managing partner Adam Moncrieff regularly acts for lenders and borrowers in a broad range of finance transactions, project finance being a particular strength.

Freshfields Bruckhaus Deringer’s highly regarded practice, headed by counsel Bui Thanh Tien, focuses on acting for international clients including Crédit Agricole CIB and Asian Development Bank. Don Stokes, who relocated from Tokyo to Ho Chi Minh City in 2015, regularly advises governments, sponsors and lenders in large project finance deals while Hanoi-based Vietnam managing partner Tony Foster has recently handled a significant amount of M&A and restructuring work in the banking sector.

Mayer Brown JSM’s client roster reflects its cross-border capabilities; Goldman Sachs, the Development Bank of Mongolia and IFC have all recently instructed David Harrison and the rest of the team, who have worked on issues relating to loans and credit facilities. This work is complemented by a strong domestic-focused deal flow and a recent highlight was Hoang Anh Nguyen acting for Vingroup on its £134m bond issuance.

Vilaf’s sizeable practice acts as local counsel to domestic and international clients involved in project finance, debt issuances, structured finance and financial services sector M&A, among other matters. Ho Chi Minh City team head Vo Ha Duyen advised Standard Chartered on its series of secured financing transactions aimed at providing financing to Vietinbank. Key contacts in Hanoi include Tran Tuan Phong, whose recent workload includes aircraft finance deals, and managing partner Dang Duong Anh.

Very professional and experienced’ local firm YKVN leverages its ‘in-depth industry knowledge of the banking sector’ to act for a broad range of clients including Saudi Aramco on a $22bn refinery development project and BIDV on the sale of a strategic stake to foreign investors. ‘Excellent client relationship manager’ Truong Nhat Quang heads the team, which also includes Duong Thu Ha and Vu Dzung.

Audier & Partners Vietnam L.L.C. has broad expertise and recent highlights include advising six development banks on the potential impacts of legislative changes, acting for a leading European bank on the restructuring of its Vietnamese assets and assisting a pool of European banks with the securitisation of local assets. Hanoi-based managing partner Nicolas Audier is recommended with Etienne Laumonier and senior associate Le Thuy Lan being the key contacts in Ho Chi Minh City.

Frasers Law Company’s ‘connections in Vietnam keep it abreast of evolving risks in a dynamic market and enables it to anticipate clients’ concerns’. The highly experienced Mark Fraser, the ‘responsive and focusedJustin Gisz and Nguyen Thi Lang act for a diverse set of international lenders, borrowers and investors in project finance, commercial lending, restructurings and bank M&A, among other matters. Hogan Lovells International LLP made an impact with its 2015 recruitment of former Gide Loyrette Nouel A.A.R.P.I. Vietnam managing partner and finance expert Samantha Campbell.

Rajah & Tann LCT Lawyers acts for international and domestic borrowers, such as the Novelis Group, as well as leading international lenders. Foreign counsel Logan Leung advised Villgro on becoming the first foreign social enterprise incubator to be licensed in Vietnam. Nguyen Dinh Nha and Vu Thi Que are recommended.

At Vision & Associates, managing partner Pham Nghiem Xuan Bac and Luu Tien Ngoc have been particularly active. Highlights included advising the World Bank on setting up a pilot City Infrastructure Financing Facility and acting for a large domestic company in obtaining loans for a high-profile real estate development.

    On 6/20/2012, the National Assembly voted to adopt the Law on Price (the "LOP") in response to the public demand for an effective legal framework to control price manipulation from dominant enterprises such as gasoline, electricity, etc. The law will take effect from 01/01/2013 and repeal Ordinance No. 40/2002/PL-UBTVQH10 dated 26/4/2002 of the National Assembly Standing Committee (the "Ordinance"), which is conceived as outdated and containing certain provisions contravening the WTO’s regulation. This article describes the main features of the law and provides some insight into its potential impacts on the Vietnamese economy.
