Sergio Broholm represents a variety of clients, including founders, startups, private equity funds, investors and publicly traded companies. His practice focuses on mergers and acquisitions, including strategic mergers, add-on acquisitions, dispositions, carve-outs, joint ventures, minority investments and other strategic transactions.

Sergio also regularly serves as a trusted advisor and outside general counsel to companies and their owners, helping them strategize and successfully navigate various stages of the business cycle. In this capacity, Sergio advises on a range of transactional matters, including corporate governance affairs, equity financings and general contractual matters.

Mergers & Acquisitions:

Sergio has significant experience with buy-side and sell-side transactions, representing companies in mergers, sales and acquisitions, including drafting and negotiating merger agreements, asset and stock purchase agreements, and all associated ancillary agreements.

Emerging Companies and Venture Capital:

A significant part of Sergio’s practice includes providing strategic counsel to emerging companies, venture capital firms and other technology investors. For these clients, he handles all aspects of startup counseling, venture capital financings, and corporate governance. He regularly helps venture capital firms negotiate term sheets and financing agreements, conducting corporate due diligence, performing cap table tie-outs, and managing closings. He also represents founders in the formation of entities, negotiation of operating agreements, and preparation of all manner of commercial contracts.

Beginning his legal career at the global law firm Kirkland & Ellis, Sergio honed his skills representing private equity firms and their portfolio companies in all aspects of their businesses. Prior to law school, Sergio worked as a political risk analyst in Mexico City, where he advised clients and published articles about national politics and security in Mexico and Central America. He speaks and writes Spanish fluently.

Sergio maintains an active pro bono practice, spearheading a pro bono program at the firm to help formerly incarcerated individuals clean their conviction records.
