Carey Olsen‘s corporate offering encompasses both transactional and structuring matters, and the firm is regularly instructed by private equity houses, other funds and their onshore advisors in relation to M&A deals with Guernsey elements, while also overseeing mergers between Guernsey-based clients. The team is led by Tom Carey, who assists private equity clients with their transactions, as well as overseeing fund structuring mandates, together with Tony Lane, whose wide-ranging practice covers public and private M&A and joint venture structuring. Andrew Boyce assists private equity clients with the structuring of new investment vehicles, also assisting them with financing and transactional activities.

Position

Tom is a partner is the corporate and finance team. He advises clients both locally and internationally on a wide variety of corporate transactions including private equity, investment funds and restructurings. Tom acts for asset managers, banks and fund promoters on the structuring and establishment of closed-ended and open-ended collective investment schemes. He also advises on corporate transactions including insolvency and restructuring as well as banking and real estate finance. He specialises in permanent capital vehicles, CISE, AIM and Main Market listings as well as all aspects of private equity. Tom was listed in the ‘International Who’s Who of Funds Lawyers’ 2014.

Career

Tom began his career with a training contract at Norton Rose in 1998-2000. He qualified as a Solicitor of the Supreme Court of England and Wales in October 2000 and then joined the corporate finance team at Norton Rose in 2000-2002. He was in-house counsel at Morgan Stanley Investment Management Limited from 2002 to 2004. He joined Carey Olsen in August 2004 and was made partner in 2008. Tom was appointed as a non-voting member of the Board of Commerce & Employment within the States of Guernsey in 2012.

Tom is Secretary of the Guernsey Bar Council.
