La société de libre partenariat pour les nuls

La loi Macron a été pu­bliée au JO du 7 août dernier. Il est désormais possible de constituer des fonds sous forme de société de libre par­tenariat (SLP), voire même de transformer un fonds pro­fessionnel spécialisé ou un fonds professionnel de capital investissement existant en SLP.

Mais pourquoi choisir la SLP plutôt qu'une SAS ou un FPCI? Comment la SLP fonctionne-t-elle ? Quelles en sont les contraintes ?

Cette dénomination n'est pas nécessairement encore très familière car le fonds professionnel spécialisé est un type de fonds relativement récent. Il est issu de la fusion du FCPR contractuel et de l'OPCVM contractuel (ces deux der­niers fonds ont disparu et ne peuvent plus être constitués).
