What are the most significant cases or transactions that your legal team has recently been involved in?

The Bukalapak Legal Team consists of 18 professionals assisting in most areas of legal support, including licensing, intellectual property, general corporate matters, regulatory reporting, corporate support, litigation, drafting and reviewing various commercial contracts.

To support the company vision to ‘Create Fair Economy for All’, which also follows the Environmental, Social and Governance (ESG) framework, we aim to provide financial access to the Micro, Small, and Medium Enterprises (MSME). Concerning the goal, the legal team has contributed to supporting the post-merger integration team with comprehensive legal assistance in establishing the new framework, which is highly regulated under the new organiation. This work involved setting up numerous new standard operational procedures and policies to comply with the regulation under the financial service authority. The assistance from our side included setting up the reserved matters, fulfilling the required regulatory compliance under the financial service authority, reviewing the new standard operational procedure, and drafting various business template agreements to accelerate the operation of the new organisation. It is demanding and intense work across departments within the Bukalapak Group and needs to be settled within three months. Considering the fast-paced working environment in the tech industry, we have settled most of the critical things, yet we will still finish the other ones, which will be fulfilled in Q1 2024.

Could you share an example of a time when you came up with an innovation that improved how your legal team works and did not come at a large expense?

As the tech winter is happening across the tech industries worldwide, we need to provide legal, strategic advice to the internal stakeholders within Bukalapak Group at a minimum cost. This means we are pushed to contribute to the Company efficiently, significantly reducing the external counsel cost. Therefore, we provide the legal service with minimum involvement from external legal counsel. We provide the legal analysis for the new initiatives and draft a high-level business commercial agreement internally. We have internally reviewed around 1,500 agreements within a year. We also use the contract management system to achieve legal operational excellence, where we can check the agreement and ask the relevant stakeholders for approval within the system. Thus resulting in the efficiency of agreement review between the stakeholders.

Can you sum up the team culture or ethos?

My team consists of professionals across generations from Gen X, millennials, and Gen Z. Also, we have different backgrounds regarding race, religion and ethnicity. We embrace our diversity with equality and are committed to treating all team members with respect and dignity, regardless of their multicultural backgrounds. We always try to meet the management’s expectations to provide a fast response and thorough analysis to keep up with the ever-fast pace of business.
