About

Taking charge of the legal affairs for Enel Group in its home market in Italy, the head of Enel legal and corporate affairs Italy Giuseppe Conti leads a team of approximately 150 people including in-house lawyers and paralegal staff. The team’s mission is to ‘provide legal assistance to different group business lines and manage legal issues, litigations, legal aspects in extraordinary transactions and corporate governance, ensuring the compliance with all applicable laws and regulations’ in a strictly Italian context. In line with the matrix model of organization adopted by the entire Enel Group, the Italian legal and corporate affairs department has been reorganized and it consists of 10 legal Units corresponding to different business areas and geographic locations in the Italian territory. According to Conti, this change has allowed the team to ‘approach new areas of competence and achieve new views and innovative legal solutions that are extremely valuable for Enel Group’. In a time of change at the flagship energy company, the legal department has proven their willingness to adapt to this new organization and to embrace new technology, the team has undergone a digitalization program with the idea to ‘drive the digital growth of legal activities, to simplify and improve legal processes and to give a homogeneous overview of judicial phenomena at global level’. Therefore, the new “Suite software” was first successfully implemented in Italy and, then, extended at global level. Suite is a unique platform for legal activities management that is integrated with legal automatic workflows and financial systems in order to support the in-house legal team and the top management in planning and budgeting monitoring and in strategic decision making. Conti explains that the main way his team has made a tangible impact is through their ‘involvement in major decision processes, contributing proactively to all main transactions and business activities’, also by changing the perception of in-house lawyers within Enel Group. Naming specific cases the legal team has had an impact in, Conti cites the ‘signing of agreements related to experimental projects promoting electric mobility, including a contract within a pilot project for a new form of electric car sharing in the railway station of Varese and Saronno’ and he also mentions that ‘in 2017, Enel reached an agreement with a leading car rental company for a similar solution including the supply of 200 charging stations and electric vehicles’. Moreover, Giuseppe Conti names the decisive role of Enel Italian legal team within Futur-E Project, which aims to capture new development opportunities, promoting a specific conversion path for several Italian plants. Conti also cites the joint venture between EF Solare Italia and F2i-Enel Green Power, an ‘outstanding transaction’ in which the legal team has played a significant role. Furthermore, Conti names the assistance provided by the legal team of e-distribuzione SpA, a company operating under unbundling regime, relating to the massive replacement of the first-generation electronic meters with the “Electronic Smart Meter 2.0.” Despite the constantly evolving nature of the energy sector, Enel Italian legal team use this environment to their advantage and uphold an excellent reputation within the Company. Cited as deserving of special mention in this large team are Maurizio Russo, Pietro Vernuccio, Elisabetta Mancuso and Giuseppe Ferrara for each of their contributions to the aforementioned transactions.
