What are the most significant cases and transactions in the LATAM region that you or your legal team have recently been involved in?

PNBV and its subsidiaries sold assets worth more than US$40bn (comprising oil rigs and subsea equipment) to counterparties in Brazil. This project included elements of contract law for the drafting of the pertinent agreements, alongside a corporate law dimension, given that some of the subsidiaries’ shareholders were involved in the asset sales. Furthermore, there is the element of transfer pricing in both Brazil and the Netherlands. Additionally, we have actively participated in M&A transactions worth more than US$1bn, involving entities in the Netherlands, Brazil, and Uruguay.

How do you adapt your legal counselling to align with the diverse business practices and customs of various LATAM countries?

Active listening to the concerns of the parties involved across different jurisdictions, as well as paying attention to the cultural nuances that influence their legal stances, have proven to be decisive in my ability to reconcile interests and, consequently, achieve better results.
