Real estate and construction Tier 2
Commended for its ‘dedication to the client’ and its ‘strong negotiation skills focused on problem solving’, the ‘outstanding’ team at Dentons handles all aspects of real estate work across the commercial, residential, leisure and industrial sectors. Recent highlights include assisting Barings Real Estate Advisers and Kryalos with the acquisition of the retail park Parco Fiore in Northern Italy and advising Banco BPM on the sale of a portfolio of three historical properties in the centre of Milan. Practice head Federico Sutti, Maria Sole Insinga and Carlo Merisio are recommended.
Dentons is regularly involved in cross-border transactions. Recent strategic deals include the team advising Johnson & Johnson on the Italian aspects of its global sale of business unit Codman Neurosurgery to US company Integra LifeSciences Holdings Corporation; and advice to KKR-backed Calsonic Kansei on the Italian aspects of the agreement by its holding company, CK Holdings, to acquire Magneti Marelli, the automotive components business of Fiat Chrysler Automobiles. Recommended are Alessandro Dubini, Luca Pocobelli, Pier Francesco Faggiano, of counsel Aian Abbas and Barbara Urselli, who was promoted to partner in March 2019; the China desk in Italy is co-headed by Junyi Bai, who joined from Giovannelli e Associati Studio Legale, and counsel Claudio Giammarino. Dispute resolution Tier 3
Dentons’ ‘pragmatic, reliable and pro-active’ department provides 'an excellent level of service’ and has 'an in-depth commercial understanding of the sector in which the client operates’. Active in international and domestic litigation and arbitration across a wide range of sectors, including banking, corporate, pharmaceutical, real estate and construction, energy and consumer goods, the practice is led by Sara Biglieri, who is ‘fast, always on top of the situations and a valuable resource for the client when difficult decisions have to be taken’. Newly promoted partner Davide Traina impresses with his ‘negotiation and professional capabilities’. The team successfully represented a real estate developer in a cross-border construction dispute against Interium regarding a luxury mixed-use development in Kazakhstan. Matteo Vizzardi, who focuses on white-collar criminal law, was a new arrival from Luca Santa Maria e Associati in January 2019. ‘Brilliant’ criminal law expert Armando Simbari, who arrived in February 2018 from Dinoia Federico Pelanda Simbari Uslenghi, rejoined his former firm in February 2019.
Employment Tier 3
Commended for its ‘reliability, availability, presence and business-oriented approach’, the team at Dentons has experience across the full spectrum of contentious and non-contentious employment matters, predominantly advising clients from the financial services, TMT, healthcare, infrastructure, energy, retail and automotive sectors. Davide Boffi is the key name. Iacopo Aliverti Piuri joined Alteregal in April 2018 and former practice head Aldo Calza left to found his own employment boutique in March 2019.
Industry focus: Energy Tier 3
Dentons' energy team is 'flexible, client oriented and focused'. Highlights included successfully acting for Consorzio Gas Tera in the settlement of an appeal brought by Edison pertaining to gas storage capacity allocation and tariffs. Counsel Mileto Mario Giuliani has 'good knowledge of recent trends'. Carsten Steinhauer and his team joined from McDermott Will & Emery Studio Legale Associato in January 2019. Former practice head Matteo Falcione left the firm in May 2019.
Industry focus: Retail Tier 3
Giangiacomo Olivi, who joined Dentons from DLA Piper in April 2018, is the head of the retail practice group. The team successfully represented Diesel in a lawsuit against Zara Italy over an alleged violation of a copyright design. Elsewhere, the firm advises clients on corporate matters, as well as real estate, competition and litigation, among other areas.
Industry focus: TMT Tier 3
Dentons significantly strengthened its TMT practice by hiring Giangiacomo Olivi and a team of five practitioners from DLA Piper in April 2018. Recent highlights include assisting an American media company with launching a television channel. Senior Counsel Saverio Cavalcanti is another notable individual in the group. Clients include QVC and Vodafone.
Private equity Tier 3
Acting for both funds and sellers, Dentons focuses mainly on the mid-market. Luca Pocobelli assisted the controlling shareholder of Austrian-based PE firm Lifebrain with the sale of all its shares to an Investindustrial-controlled vehicle. Alessandro Dubini and of counsel Aian Abbas are also highly regarded. Former head of the private equity as well as corporate and M&A practices Stefano Speroni left the firm in January 2019 for an in-house role at ENI.
Restructuring and insolvency Tier 3
Dentons' 'work is execellent'. The practice comprises corporate and finance restructuring as well as day-to-day consultancy work, including litigation and enforcement of guarantees; it assisted real estate developer Impreme Group with a complex restructuring process involving distressed assets. Alessandro Fosco Fagotto, who 'negotiates the best solutions for clients', and Federico Sutti jointly head the restructuring and insolvency practice in Italy; Cristian Fischetti is an experienced managing counsel.
Tax Tier 3
Dentons' areas of expertise in tax include transactions, family businesses and wealth management, and litigation; the practice recently launched a unit dedicated to tax and social security settlement, led by Giulio Andreani. The team advised the shareholders of General Beverage (GB), a beverage vending machine company, on the tax aspects of the sale of their stakes in GB to an investment fund. Andrea Fiorelli is Italy tax head; other key contacts are Fabrizio Capponi and Roberta Moscaroli.
Dentons is frequently involved in urban planning, environmental law, and public contracts matters. Head of team Federico Vanetti assisted Real Estate Strategie Immobiliari with the development strategy for a logistics project and in negotiations with the public authorities, and represented SGL Carbon in a dispute with Restart regarding remediation works on an industrial site. Counsel Ilaria Gobbato is another name to note.
Dentons hired Alessandro Engst, who splits his time between Milan and Rome, from Eversheds Sutherland Associazione Professionale (where he was in charge of financial services) to strengthen the firm’s financial regulatory offering; Engst advises banks, asset managers, insurance companies, pension funds and social security institutions. Michele Odello was promoted to partner in March 2019.
Dentons hired project finance expert Giovanni Diotallevi and structured finance specialist Gianpaolo Garofalo from Chiomenti and BonelliErede, respectively. The team advises on acquisition and leveraged finance, structured finance, general corporate lending and refinancing, performance guarantees and security packages, and is highly experienced in real estate financing; the practice assisted X-Elio Energy with the bid for the design, construction, financing, operation and maintenance of a solar plant. Alessandro Fosco Fagotto is Italy banking and finance head; Dina Collepardi and Andrea De Luca Picione are notable managing counsels.
Dentons advises on acquisition and leveraged finance, structured finance, general corporate lending and refinancing, performance guarantees and security packages; the team is also experienced in real estate financing. Italy banking and finance head Alessandro Fosco Fagotto advised a pool of banks on the financing for NB Renaissance Partners’ acquisition of a majority stake in Italian shoe-making machinery manufacturer, Comelz. The counsels to note are Edoardo Galeotti and Franco Paolo Gialloreti; project finance specialist Giovanni Diotallevi and structured finance expert Gianpaolo Garofalo were recruited from Chiomenti and BonelliErede, respectively.
Capital markets: Equity Tier 4
Dentons recruited Antonella Brambilla from Chiomenti in late 2017; Brambilla, who is 'absolutely outstanding and demonstrates responsiveness, problem-solving capabilities and commitment', assists Italian and international clients with public offerings of financial instruments, stock exchange listings, takeover bids and exchange offers.
Intellectual property Tier 4
Dentons regularly acts for clients from the fashion sector such as Diesel, Morellato and Fiam. In the food sector, Giovanni Francesco Casucci represented wine producer Umberto Cesari in preliminary search order injunction proceedings before the Court of Genoa in relation to a supposed infringement of an EU trade mark. The practice is also increasingly active in the TMT sector and was strengthened by the arrival of TMT expert Giangiacomo Olivi from DLA Piper in April 2018.
