MAIN AREAS OF PRACTICE

General corporate: We advise on all matters of corporate business, including commercial contracts, joint ventures, shareholders’ agreements and conflicts, tax and corporate planning, labor relations, directors and officers, shareholders meetings, auditing and all procedures before administrative authorities.

Banking law and capital markets: We advise companies, financial institutions and public sector on transactions involving domestic and international financings, including syndicated loans, investment funds, equity and bond issuances, securitization and derivatives, project finance, infrastructure financing, general banking and foreign exchange regulation and foreign trade.

Tax, customs and foreign trade: We advise on all aspects of the application of tax laws at an international, national, provincial or municipal level, particularly regarding the national and international tax planning of business structures or alternative financing. We assist importers and exporters in matters relating to tariff classification, customs valuation, import restriction, collection of refunds and other incentives for the export of goods, dumping investigations, subsidies, quotas and safeguards. We represent clients in complex tax and customs litigation.

Mergers & Acquisitions; Competition / Antitrust: We advise individuals, corporate clients and private equity funds on investment, partnership and corporate divestment operations, from due diligence, to legal and tax structuring, negotiation and closing of contracts.

Litigation, arbitration and insolvency: We advise clients in the resolution of disputes arising on their business, among others, on individual and class action litigation regarding breach of contract, damages, product and service liability, shareholders and directors’ litigation, insolvency (restructuring, reorganization, bankruptcy and liquidation of companies and estates) financial litigation, collection of debts and execution of guarantees, insurance, antitrust practices, defense against environmental claims, foreign exchange criminal law and complex labor claims, and all litigation arising from economic regulation and compliance. We represent our clients before all Courts and administrative authorities. We also advise and represent clients in domestic and international arbitration proceedings.

Compliance: We advise our clients on the development and strengthening of their compliance and corporate ethics policies, helping them mitigate regulatory risks, prevent fraud, and align with both national and international standards. Our specialized services include advice on data privacy, anti-money laundering (AML) programs, the design and implementation of corporate integrity and anti-corruption frameworks, internal investigations, drafting and reviewing compliance policies, preparation of compliance reports, and managing regulatory compliance and registrations before governmental agencies.

Energy, natural resources and infrastructure: We advise companies, financial and public entities on the structuring of energy and infrastructure projects as well in the acquisition and sale of companies and assets under such industries. Among others, we advise on renewable energy (wind, solar, hydro) and electricity (including generation, transmission and distribution) as well as oil and gas (upstream and downstream). We represent clients in the development of new projects and in their relationships with suppliers and regulators. We intervene in contracts for the supply of electricity and contracts for the supply of natural gas, as well as contracts for the construction, services and supply of equipment. We give specialized advice on regulatory disputes before administrative authorities (ENRE and ENARGAS).

Public law: We advise energy, infrastructure, industrial, commercial, financial and services companies on complex administrative law and in their relationship with governments and regulators, including public contracts (bidding and tenders) as well as regulatory disputes (administrative proceedings, appeals, administrative claims) and administrative law Court litigation.

Labor & Employment: We advise on all matters related to labor, employment and social security law, including: employment contracts and complex termination scenarios; salary, incentive and benefit structures; international expatriation; internal investigations and workplace violence situations; and due diligence reports. We also provide assistance in collective conflicts, negotiation and drafting of collective bargaining agreements, assistance to executives in negotiating hiring and termination conditions, and immigration working visas to perform services in the country.

Corporate criminal law: We advise companies, executives, and employees on the prevention and resolution of complex criminal matters related to their business activities. We provide strategic defense in investigations and proceedings involving tax and customs offenses, corruption, money laundering, fraud, embezzlement, environmental crimes, and other offenses that may compromise the reputation or continuity of the business. We also assist in administrative proceedings before regulatory authorities. Our team represents clients throughout all stages of the criminal process, from preliminary investigations to trial and appellate review.
