Advising the SMFL and LCI joint venture, alongside Milbank as lead counsel, on the acquisition of Macquarie Rotorcraft, the UK-based helicopter leasing business of Macquarie’s asset management division on a deal worth circa. US$1 billion. The transaction involved a fleet of approximately 120 leased aircraft, with plans for the combined business to grow its fleet to around 310 aircraft following completion.
Walkers advised on the Irish-law aspects of the acquisition as part of this significant transaction in the helicopter leasing sector.
Advising UBS and Credit Suisse as sole Irish counsel on the merger of Credit Suisse into UBS as part of a global restructuring initiative. Walkers provided Irish- law advice across the corporate, finance and capital markets, litigation, employment, and funds and asset management aspects of the transaction. The mandate included advising on Irish law issues relating to mergers by operation of law, the recognition in Ireland of Swiss transfers by operation of law, and the impact on regulated Irish businesses, all within highly accelerated transaction timelines.
Advising two limited partnership funds on the disposal of their interests in a Cayman Islands entity holding shares in an Irish Collective Asset-Management Vehicle (ICAV) that owns and operates a shopping centre in a large provincial town in Ireland. Acting as lead counsel, coordinating a multi-disciplinary Irish team on the transaction. The mandate involved advising on the sale of a cross-border holding structure to a multinational UK PLC and managing the Irish aspects of the transaction on behalf of the selling funds.
Advising CDPQ, as majority shareholder, on the Irish law aspects of its joint venture with SMBC Aviation Capital through the establishment of Maple Aircraft Company Holdings Limited, an Irish aircraft leasing platform. The joint venture has a target annual deployment of US$500 million over an initial three-year investment period and will focus on purchase-and-leaseback opportunities and portfolio acquisitions. Walkers advised on the Irish elements of the shareholders' agreement, capital calls agreement, constitution, services agreement and other key transaction documents and assisted Clifford Chance in New York on Irish-law aspects of the transaction.
Advising an Irish-registered entity within a leading independent French asset management group on its cross-border merger with the group's French-registered entity. The team advised on the Irish aspects of the merger, including the common draft terms, director reports, corporate matters, and the Irish court approval process. The group is an independent European asset manager specialising in high-yield credit management and real estate investment.

- Mergers & Acquisitions (M&A): We advise on the sale and acquisition of Irish-registered companies and act for both buy-side and sale-side clients. We have acted for clients on M&A deals across various sectors including financial services, IT, technology, insurance, telecommunications and travel. We act as both lead counsel and local counsel on international cross-border transactions. We advise on all aspects of M&A transactions from initial implementation through to completion.
- Corporate Re-Organisations: We regularly act for Irish-registered companies in multi-national group structures that are seeking to restructure their corporate organisations. We have previously advised clients on carve-outs, migrations, distributions, capital contributions, novations and assignments of contracts and various other group activities.
- Asset Sales / Purchases: We often advise on asset transactions where our clients wish to acquire assets (as opposed to shares). The purchaser may wish to acquire certain assets only, avoid bad assets, evade retention-of-title issues in relation to certain assets or it may have a preference to acquire the assets for tax reasons. We regularly work with our insolvency team on distressed-asset sales and acquisitions.
- Minority Investments: We have built up a strong practice in advising our clients, particularly our international clients, on minority investments in Irish structures. Such clients wish to take advantage of new industry opportunities in Ireland and we advise them on all Irish-law aspects of acquiring shareholdings in Irish-registered companies.
- Equity Capital Markets: We are instructed by clients to advise on equity shareholdings in listed Irish public companies and provide such clients with advices on the Irish Takeover Rules and substantial acquisitions' advices in relation to their shareholdings. We often assist clients with notification requirements in relation to acquisitions / changes in shareholding positions in Irish-registered public-limited companies.
- Domestic / Cross-Border Mergers: We regularly advise on mergers, continuations and migrations into and out of Ireland across the EEA.
- Commercial Contracts: We are frequently engaged by clients to advise on commercial contracts and we work closely, in particular, with our market-leading regulatory team in relation to data protection and privacy matters in such contracts. We also work alongside our employment team on commercial contracts to provide the most practicable and desirable solutions to clients.
- Corporate Governance / Advisory: We provide guidance on the Companies Act 2014, directors’ duties, share capital, financial assistance, compliance and other corporate law matters.
- Joint-Venture / Shareholder Arrangements / Partnerships: We have significant experience advising our clients on joint-venture and shareholder arrangements in relation to vehicles they are seeking to invest in. Many of our clients regularly partner with third-party international investors to exploit opportunities in their industries. For example, we have advised a number of our aviation clients on the entry into joint-venture vehicles with foreign fund structures. We are regularly requested to advise on Irish-registered limited partnerships as our clients look to set up such platforms in this jurisdiction.
