Maurizio Delfino is a Senior Counsel in the Corporate and Financial Services Department of Willkie Farr & Gallagher LLP, the founding partner of Delfino e Associati Willkie Farr & Gallagher LLP (“D-WFG”), and the Chairman of D-WFG Executive Committee. Maurizio’s practice focuses on mergers and acquisitions of listed or unlisted companies, including distressed, joint ventures and public/private partnerships, corporate governance and general corporate and securities law matters. Maurizio has been the lead corporate lawyer in a number of high profile transactions, including hostile takeover bids and buy outs on behalf of Italian or international clients of the firm. He has represented government owned corporations, public and private companies and financial investors in a wide range of Italian and cross border transactions. He has also assisted the Italian Treasury on a number of privatizations. In addition, Maurizio has advised board of directors and board committees on a variety of corporate governance issues. The industries where Maurizio has acted for either strategic or financial investors in Italy are diverse and include banking and insurance, various infrastructure, steel, oil and gas, chemical and pharmaceutical, automotive, aerospace and defense, food, design. He has also assisted on various Italian SPAC projects. Maurizio has written monographs and published articles in law reviews and is a frequent lecturer in the fields of ESG compliance, corporate finance and the protection of minority shareholders.

Simon Osborn-King is a partner in Willkie's Litigation and Investigations & Enforcement Practice Groups in London. Simon has a broad-ranging domestic and cross-border contentious practice specialising in civil, criminal and regulatory investigations and disputes involving allegations of fraud, bribery, money laundering, sanctions violations, data breaches and other misconduct. Simon has particular experience in advising on compliance and governance issues, including the design and implementation of compliance programmes. Simon also frequently handles complex contractual disputes and contentious business restructuring and reorganisation matters in London. Simon’s experience covers a wide spectrum of industry sectors, including financial services, professional services, information technology and energy resources & industrials.

Joe Marx is a partner in the Corporate & Financial Services Department and a member of the Capital Markets Practice Group. He has over 20 years of experience in international capital markets transactions, including initial public offerings, rights issuances, accelerated primary and secondary offerings, Rule 144A transactions, US registered offerings, private placements and debt offerings, as well as cross-border mergers and acquisitions, dual track processes and other corporate transactions. Joe advises clients across a broad range of industries, including chemicals, life science, real estate and the automotive industry.

Miriam Steets is a partner in the Corporate & Financial Services Department, focusing on private equity/venture capital investments as well as cross-border and national mergers and acquisitions. Tim Baumgartner is a partner in the Corporate & Financial Services Department and a member of Willkie’s Insurance Transactional and Regulatory Practice Group. Tim has extensive experience advising on a wide range of corporate transactions, including international and domestic M&A (including competitive auction processes on the buy and sell side), joint ventures and long-term strategic partnerships, intra-group restructurings and general corporate advisory work. In additional to general corporate transactions, Tim has a particular focus in the insurance sector, advising on the full spectrum of corporate insurance transactions, which in addition to the above includes transactions within the Lloyd’s market, portfolio transfers and complex reinsurance transactions for both life and non-life businesses.

Patrick Meiisel is a partner and heads Willkie's German tax practice. Patrick focuses on providing tax advice for corporate clients, private equity funds and financial institutions on mergers and acquisitions, corporate tax matters, reorganizations, domestic and international tax planning, double tax treaty matters and EU law. He also counsels clients on capital markets and debt finance transactions. Patrick's writings are regularly published in various tax law publications and he is a frequent speaker at seminars and universities. He holds the position of a teacher (Lehrbeauftragter) for tax law at the Justus-Liebig-University in Giessen.

Matthias Schrader is a partner and heads Willkie’s Litigation Practice Group in Germany. In addition to domestic and international litigation and arbitration matters, his practice focuses on compliance and regulatory matters across a broad spectrum of industries. As a litigator, Matthias acts as counsel to both claimants and respondents in a wide variety of commercial litigations and arbitrations before various courts and arbitral tribunals under the auspices of the world’s leading arbitral institutions (ICC, LCIA, SIAC, DIS, etc.). He has successfully negotiated out-of-court settlements of complex disputes for a variety of commercial and private clients. Furthermore, he has represented sovereigns in litigations as well as international investment arbitrations. Matthias also acts as arbitrator in high-stakes commercial arbitrations. Matthias regularly advises clients on matters of European and German anti-money-laundering and anti-terrorism-financing regulations, sanctions, financial markets compliance, including allegations of insider trading and market manipulation, antitrust and State-aid law and day-to-day compliance issues.
