Sarah is a Principal Associate in the financial institutions group and leads the financial services team in Edinburgh.

Sarah specialises in investment funds and advises clients within the financial services sector including asset managers, depositaries, custodians, institutional investors, funds (investing in various asset classes including equity, real estate, debt as well as fund of funds) and fund administrators on fund launches, capital raisings and restructuring, relationships with service providers, investments and regulatory compliance.

Sarah advises on investment company launches, mergers, reorganisations and liquidations and equity security issues. She also advises on fund formation and investment structuring via various structures including, in particular, structuring through Scottish and English limited partnerships and unit trusts.

In addition to fund formation work, Sarah is experienced in advising institutional investors on their investments into private equity and venture capital funds established in numerous jurisdictions. Sarah also advises on and negotiates commercial contracts such as AIFM, portfolio management, investment advisory, depositary, custody, administration, introducer, co-investment, limited partnership, limited liability partnership and other asset management related contracts.

Sarah regularly provides regulatory advice, with a particular focus on AIFMD, MAR, MiFID II, PRIIPs, the Prospectus Regulation and application of the UK financial promotion regime to financial service clients.
