Main Areas of Practice:

Private Investment Funds:

Proskauer’s Private Investment Funds Practice has market-leading capabilities in fund structuring, offering and operations for closed-ended funds (including hybrid funds) in a wide range of asset classes, including private equity, buyout, venture/growth, credit, secondaries, real assets, and beyond.

Proskauer also has a market-leading global secondaries team that has provided in-depth advice on all aspects of the secondaries market since the industry's inception. The Firm’s clients span a vast array of sectors and industries and include global institutions, mid-market and large buyout houses, boutique industry-specific sponsors, funds of funds, SWFs, family offices and new managers.

Private Equity:

Proskauer’s highly regarded Private Equity team provides first-rate representation to private equity investment sponsors across all stages of the private equity life cycle, including leveraged buyouts, minority investments and co-invests, complex carve-outs, growth equity investments, secondary transactions, take-privates and the equity aspects of distressed situations.

Mergers & Acquisitions:

Proskauer’s M&A team represents clients in mergers, acquisitions, management and other leveraged buyouts, dispositions, spinoffs, auctions, tender offers, proxy fights, joint ventures, partnerships and strategic alliances. Proskauer’s European transactional experience covers business services, chemicals, defence, entertainment, financial services, health care, infrastructure, life sciences, hospitality, manufacturing, publishing, real estate, retail, sports, technology and telecommunications.

Private Credit:

Proskauer’s Private Credit Group is made up of cross-disciplinary finance and restructuring experts exclusively dedicated to private credit investors. It includes over 90 finance and restructuring lawyers focused on representing credit funds, business development companies and other direct lending funds in connection with “clubbed” and syndicated credits, preferred equity, special situations and alternative investments.

Leveraged Finance:

Proskauer has been a pioneer in the evolution of the global finance industry and is uniquely placed to lead clients through the convergence of the bank-led syndicated finance and private credit markets. The European Leveraged Finance Practice comprises 10 dedicated lender-side leveraged finance partners across the London and Paris offices, combining deep experience in broadly syndicated leveraged loan financings and high-yield bond offerings with a market-leading private credit platform. The team works closely with the wider Proskauer Global Finance Group on product offerings, which, in addition to leverage finance, include fund finance, investment grade lending and capital markets, restructurings and workouts, infrastructure debt, structured products and sports financings.

Restructuring:

Proskauer handles acquisitions of financially distressed assets, asset sales, insolvency litigation, corporate investigations, creditors’ rights issues, cross-border and insurance insolvencies, financial and operational restructurings, hedge fund fraud and distress, liquidations, securitisations and workouts.

Tax:

Proskauer’s Tax lawyers work on all tax aspects of mergers, acquisitions, structuring of inward and cross-border investments, establishment of investment funds, joint ventures, restructurings, capital markets and financing matters.

Financial Services Regulation:

Proskauer handles UK and EU regulatory matters, including structuring and establishing private investment funds, FCA authorisations, perimeter issues, EU passporting, current and proposed EU and international laws and regulations, conduct of business, financial promotions and marketing, client assets, regulatory capital, market abuse, systems and controls, appointed representatives and tied agents, anti-money laundering, changes of control and close links, and approved persons.

Technology, Media & Telecoms:

As primary counsel on a broad array of technology and e-commerce matters, Proskauer’s TMT Group offers commercial and strategic advice on AI, IP transfer and licensing, technology outsourcing and procurement programmes, practical privacy and data protection compliance issues, digital infrastructure, and M&A matters in which IP and technology assets are deal value drivers

Antitrust & Competition:

Proskauer’s Antitrust & Competition team advises on global filing coordination, regulatory engagement, and substantive strategy, working closely with the Firm’s clients to identify and mitigate regulatory risks and achieve commercial objectives.

Litigation:

The Litigation team advises clients in disputes arising from all aspects of their business, including post-M&A, shareholder, employment, contractual, partnership or JV-related. The team also advises on fund disputes, disputes involving portfolio companies and other related issues. Additionally, the Firm handles both private and public disputes in connection with a broad range of investigations and enforcement actions.

Compliance:

Proskauer’s Corporate Investigations and Compliance Practice has a geographic scope that spans the globe and covers the full spectrum of investigation and compliance-related advice and assistance. The team has advised U.S., European and Chinese multinationals on FCPA and international anti-bribery issues around the world – from South America to Eastern Asia. Proskauer advises clients on governance and compliance issues and supports multinational organisations on a wide range of regulatory matters, with a particular focus on compliance with international anti-bribery laws. The team assists clients in developing and improving appropriate policies and procedures, conducting extensive due diligence in the context of mergers and acquisitions, and involving various third parties, conducting complex internal investigations and carrying out proactive internal audits.

International Arbitration:

Proskauer’s International Arbitration team handles complex international arbitration and litigation proceedings involving joint ventures, acquisitions, construction projects, licensing and distribution relationships, as well as a variety of other international commercial agreements.
