Mark Adams

Mark is Counsel in MJM’s Corporate & Finance practice group. He advises both local and international clients on a range of corporate, finance and banking matters. Mark has particular expertise in secured lending, M&A, real estate finance and Bermuda corporate law. Prior to joining MJM, Mark worked onshore at Norton Rose and Clifford Chance, before moving offshore to a leading firm in the Cayman Islands.

Sophie Clarke

Sophie is an Associate in MJM’s Dispute Resolution Team, where she advises on contentious trust and probate disputes, commercial claims, and insolvency proceedings. She regularly assists both individuals and corporate clients in navigating complex litigation, including cross-border estate matters and contractual disputes.

Brian Holdipp

Brian is Counsel in MJM’s Corporate & Finance Team, where he advises on a wide range of corporate and commercial matters. His practice includes mergers and acquisitions, securities offerings, corporate restructurings, and redomiciliations, as well as cross-border financings with considerable experience in the ship finance sector. He also regularly advises clients on Bermuda partnership law and regulatory matters, including compliance with the island’s economic substance regime.

Jeremy Leese

Jeremy is a Partner and Head of MJM’s Corporate & Finance Team. He advises both international and local clients on a broad spectrum of corporate and finance matters, with particular focus on mergers and acquisitions, corporate finance, cross-border shipping transactions, and complex restructurings. His work often involves high-value, multi-jurisdictional deals where his clients rely on his deep technical expertise and ability to navigate regulatory, banking, and structuring issues. Known for his pragmatic approach, Jeremy delivers solutions that balance robust legal protection with the commercial objectives of his clients.

De Waal Nigrini

De Waal is an Associate in MJM’s Corporate & Finance Team. His practice covers a wide range of corporate and commercial law matters, including mergers and acquisitions, banking and finance, and corporate structuring. He has expertise in drafting and negotiating a broad spectrum of agreements, from shareholder and service level agreements to asset sales and financing documentation. His work often involves advising on regulatory compliance and assisting with company registrations, continuations, and restructurings.

Fozeia Rana-Fahy

Fozeia Rana-Fahy is the Managing Partner of MJM and Head of MJM’s Dispute Resolution Team. She is widely recognised as one of Bermuda’s leading litigators, advising on complex, high-value disputes with a particular focus on contentious trusts, commercial litigation and regulatory matters. Her practice spans multi-jurisdictional trust disputes, corporate and shareholder litigation, and banking and insurance-related disputes. She is regularly instructed in matters involving significant financial exposure, reputational sensitivity and cross-border elements. She began her career in London undertaking insurance and shipping litigation, and continues to advise insurers and financial institutions on a range of contentious and strategic matters. Fozeia appears frequently before the Supreme Court and Court of Appeal of Bermuda and is also an experienced mediator, known for her pragmatic and commercially focused approach to dispute resolution.
