  • The firm, as part of a consortium, is advising the privatisation commission on the privatisation of SME Bank Private Limited (“Bank”). The scope of work includes conducting an extensive due diligence on the Bank, preparing necessary transaction documents, advising the client on the process of privatisation, including the application of public sector legislation.
  • Conducted an extensive due diligence for Vinci SA, a company incorporated in France, through Ernst & Young Société d’Avocats, of the activities of the subsidiary of the ACS Group operating in Pakistan through a branch office. The said subsidiary is a contractor to the National Transmission and Despatch Company Limited in the development of the CASA-1000 project. The review extended to inter alia an in-depth due diligence of the subsidiary’s operations in Pakistan including an analysis of tender documents, contracts and regulatory approvals procured in Pakistan.
  • Advised Daelim Industrial Co. Limited on the implications of the restructuring of Daelim on its different ongoing businesses in Pakistan. This matter required an extensive review of various agreements entered into by Daelim and applicable local laws. The team reviewed Daelim’s various contractual agreements and advised them on where they needed to novate or amend their existing agreements. It also assisted Daelim in preparing notices and applications to their contractual counterparties and any submissions and regulatory filings with various local governmental bodies in Pakistan on account of their restructuring.

  • Filed a suit on behalf of Gunvor International BV Hub Power Company Limited (“Hubco”) before the High Court of Sindh against Central Power Purchasing Agency (“CPPAG”) challenging CPPAG’s actions in setting-off amounts owed to Hubco under the Power Purchase Agreement and was able to obtain an interim order preventing CPPAG from setting-off the alleged liability for residential furnace oil against the payments that were due to be made under the PPA.
  • Secured the modification of an ex-parte injunction in an LNG sales dispute within days, and then represented the client in a subsequent London arbitration.
  • Advised Hisense to file an application seeking a stay of proceedings on the grounds of the arbitration agreements in the contract which require disputes to be arbitrated in Beijing. Furthermore, the client also filed an application seeking that the interim injunction be set aside. The case involved several novel issues of law, including arbitrability of issues relating to intellectual property law and an application on the grounds set out in the New York convention in the context of the pandemic.
