The firm: Huang & Partners was founded in 1970 by T C Huang. Initially specialising in maritime matters, the firm now offers a complete range of legal services. Approximately 75% of its clients are multinationals, including such clients’ respective Taiwan subsidiaries and affiliates. Over the years the firm’s in-depth knowledge of local laws and regulatory requirements combined with an understanding of the relevant business environment has enabled its team of practitioners to respond efficiently to clients’ needs.

Areas of practice
Corporate: the firm actively supports clients in connection with mergers and acquisitions, transactional and other corporate matters. Its work on such deals includes review and negotiation of the agreements, conducting due diligence, preparation of governmental filings, closing of the transaction, and providing guidance. It also provides counsel on all aspects of Taiwan business operations including obtaining requisite governmental approvals/permits for clients; establishing new Taiwan entities; review and drafting of contracts; corporate governance matters; and capitalisation issues.

Fair trade law: the firm acts as local counsel in obtaining clearance from Taiwan’s Fair Trade Commission on global matters such as mergers/joint ventures that may be deemed to have an impact on Taiwan market. It provides advice on issues arising from Taiwan’s Fair Trade Act involving proposed promotional events, trade disputes, merger and acquisitions, as well as other matters.

Finance: the firm acts on behalf of Taiwan and foreign banks (directly or through their respective global counsel) in connection with loan facilities/mortgages sought by (i) local ship owners on foreign-flagged vessels, and (ii) Taiwan corporations. Its services include reviewing the relevant documentation and opining on the validity of the transaction under Taiwan law.

Dispute resolution (arbitration and litigation): it handles litigation at all levels of the Taiwan courts. The firm has represented clients on various matters such as defending against wrongful termination claims, breach of contract cases, and enforcement of non-compete obligations. It has carried out the recognition and enforcement of foreign judgments in the Taiwan courts against Taiwan parties. The firm has also participated in both international and domestic arbitration cases.

Intellectual property: assists clients with patent preparation and prosecution services in Taiwan and China. Prepares and carries out trademark registration filings in Taiwan and China. Handles IP administrative and litigation cases in Taiwan, including intellectual property infringement, as well as IP revocation actions.

Employment: drafts and reviews employment agreements, work rules, confidentiality agreements, employment severance agreements and similar documents on behalf of corporate clients. Handles employee termination matters, drafts relevant notices and agreements, and provides legal guidance to corporate clients regarding such issues. Obtains necessary visas for overseas employees based in Taiwan.
