Career
Jeffrey P. Berg advises private and publicly traded companies on complex corporate finance transactions, mergers and acquisitions, securities offerings, debt offerings and corporate governance matters for boards of directors.. Jeff brings more than four decades of experience assisting clients in structuring and executing business-critical transactions while maintaining compliance with U.S. and international regulations.
Widely known in Los Angeles legal circles for his deep knowledge of SEC matters, Jeff has represented clients in more than 60 public offerings, 200 private placements, and 150 mergers and acquisitions. Jeff counsel’s boards of directors on fiduciary duties, disclosure obligations, and executive compensation, and advises clients on Foreign Corrupt Practices Act (FCPA) compliance programs and cross-border transactions. His global transactional experience spans India, China, Hong Kong, Malaysia, the United Kingdom, Canada, Brazil, Mexico, Peru, France, Russia, and South Africa.
Clients value Jeff’s calm, deal-focused demeanor, and ability to guide transactions through regulatory and business hurdles without losing sight of practical goals. Jeff’s long-term clients value his critical influence on high-stakes negotiations, turning to him again and again.
Jeff’s representative matters include a $250 million acquisition of a global grooming products company, a $200 million Alaskan energy project transaction, and the IPO and subsequent sale of a pharmaceutical company for over $850 million. He has also advised on a $650 Million restructuring of the Municipal Transportation of Sao Paulo, Brazil and $3 billion in mortgage-backed securities issuances. Jeff also served as co-lead counsel in a historic U.S. Tax Court case involving more than 4,200 taxpayers and $7.2 billion in claimed liability.
A lifelong lawyer who genuinely enjoys his practice, Jeff continues to counsel clients with the same enthusiasm and rigor he brought to the profession at the start of his career. Outside the office, he is an avid wine collector.
