Career

Frank E. Noyes, II works with the Business Litigation Practice Group, as well as in the Business Law and Transactions Practice Group. His litigation practice focuses on representing companies and business owners in disputes between shareholders or LLC members, and other business disputes, primarily in the Delaware Court of Chancery. Such disputes often involve fiduciary breaches, breaches of governing documents, shareholder agreements and related agreements, injunctive and expedited relief, and employment litigation, restrictive covenants and business torts. He regularly handles books and records litigation for corporations and limited liability companies.

In addition to appearing in the Court of Chancery, Frank has represented business owners in state and federal courts in Delaware and Pennsylvania, and elsewhere. On the transaction side, he counsels clients in matter of corporate governance, represents companies in finance transactions, sales transactions, and general business matters, and represents employers in preparing employment agreements, handbooks, and separation agreements.

Following law school, Frank served as a judicial clerk to Honorable Jane R. Roth on the United States District Court for the District of Delaware.
