  • Four Seasons Hotels and Resorts Our firm advised Four Seasons Hotels and Resorts, the operator of the Four Seasons Astir Palace Hotel Athens, in connection with the acquisition of Astir Palace Vouliagmeni S.A. by Greek shipping magnate George Prokopiou. The transaction, completed in February 2025, involved the purchase of a 70% stake from AGC Equity Partners, providing them with an exit strategy. The consideration for the deal was €700 million. Our role encompassed comprehensive legal support, including:
    • Reviewing and advising on the implications of the change in ownership concerning the existing Hotel Management Agreement (HMA) between Four Seasons and Astir Palace Vouliagmeni S.A.
    • Ensuring continuity of operations and safeguarding Four Seasons' interests during the transition period.
    • Navigating complex regulatory and compliance frameworks, particularly in the context of Greek hospitality and real estate laws.
  • MidEuropa Partners We advised MidEuropa Partners, a leading private equity investor in Central and South Eastern Europe with over €6 billion of assets under management, on its acquisition of a controlling stake in Famar, a major Greek and European pharmaceutical and cosmetics manufacturing and services group. The transaction involved the acquisition of shares from various existing shareholders, including EMC Capital Partners, as part of a complex multi-jurisdictional buyout process. The deal structure included the roll-over of management participation and required detailed coordination across several European jurisdictions. Our firm acted as Greek legal counsel to MidEuropa, advising on all aspects of Greek law due diligenceemployment matters, and the local structuring of the transaction, working alongside DLA Piper as international counsel. The transaction involved navigating regulatory and compliance frameworks in the highly regulated pharmaceutical manufacturing sector, requiring precise coordination with Greek authorities and a deep understanding of local licensing and employment regimes.
  • Mandarin Oriental We advised Mandarin Oriental Hotel Group, one of the world’s leading luxury hospitality brands, in connection with the Hotel Management Agreement (HMA) for the Mandarin Oriental Mykonos, a new ultra-luxury resort currently under development by Grivalia Hospitality, a prominent investor in high-end tourism assets in Greece. Our firm acted as Greek counsel to Mandarin Oriental, advising on the full spectrum of local law issues arising from the negotiation and implementation of the HMA. The transaction required in-depth knowledge of the Greek planning framework, as well as close coordination with international counsel and commercial teams to align local law constraints with global brand and operational standards.
  • Public Power Corporation (PPC Group) We advised Public Power Corporation (PPC Group) on a major strategic transaction involving a joint venture with METLEN Energy & Metals for the development of a portfolio of Battery Energy Storage Systems (BESS) projects across Europe. The joint venture will develop, construct and operate storage facilities with a combined capacity of up to 1,500 MW / 3,000 MWh across Romania, Bulgaria and Italy. These projects will deploy advanced liquid-cooled battery technology designed to optimise renewable energy production and enhance grid stability across the region. The collaboration combines PPC’s strong operational presence across Southeast Europe with METLEN’s extensive experience in the development and construction of energy infrastructure, creating a platform for the rapid rollout of storage projects supporting Europe’s energy transition.
  • Colossos SA 

    Masouros & Partners advised Colossos SA in relation to its announced agreement with MGallery Collection, Accor’s boutique hotel collection, for the creation of MGalleryRhodes, a new adults-only beachfront luxury resort in Kallithea, Rhodes, scheduled to open in spring 2027.

    The project forms part of the continuing expansion of international luxury hospitality offerings in Greece and brings together hotel branding, real estate, owner-side structuring and long-term operational planning.

    The firm advised Colossos SA on the franchise and hotel consultancy agreement with Accor. The team was led by Pavlos Masouros, supported by Dimitris Marmarotouris.
