Rachel Adams

Rachel is a Solicitor in our Commercial Disputes team. Prior to joining Capital, Rachel worked in Neath Port Talbot Local Authority as a Safeguarding Paralegal where she assisted Senior and Assistant Solicitors in childcare matters. This role provided experience in dealing with litigated issues and involved high client contact. Before completing her LPC in Swansea University, Rachel spent a year working as a Paralegal in Shoosmiths Medical Negligence Department. In this role, she assisted on multi-million pound complex cases in the Royal Courts of Justice. Rachel studied LLB Law with Business at the University of Birmingham.
Sarah Austin

Sarah Austin

Sarah is a Partner in the Employment and Immigration team. Sarah has extensive experience of advising on TUPE, collective consultation and restructure/redundancy She also regularly advises on disputes with and exit of senior employees. Sarah leads the corporate support unit within the Employment team, assisting the firm’s corporate lawyers with the employment aspects of the sale and purchase of businesses. She has particular experience of advising private equity funds on the employment aspects of investments. Sarah frequently delivers training to clients both in-house and at the employment team’s breakfast briefings. She works with mainly private sector and third sector employers, and has a particular experience and knowledge of the manufacturing, media and tech industries.
Gemma  Bailey

Gemma Bailey

Gemma is a Principal Associate in our Employment and Immigration team. She joined the team in January 2023 and advises on contentious and non-contentious employment issues, providing guidance to businesses and individuals on all aspects of employment law and human resources. Gemma qualified in 2008 and has since acquired extensive experience in employment tribunal litigation. She has a particular interest in complex disputes such as whistleblowing and discrimination. In addition, Gemma provides training, workshops and advice for human resource professionals on a range of topics, including employment law updates, discipline, grievances, discrimination and whistleblowing. Gemma was also a lecturer at University of South Wales where she delivered the Employment Law module on the CIPD recognised Human Resources Management course. Gemma has volunteered as a Pro Bono Employment Law Adviser at LawWorks since 2009. Gemma Bailey is a fabulous and experienced employment specialist. She successfully manages the needs of clients whilst delivering a personalised service. Tom Beard

Tom Beard

Tom is a Senior Associate in our Commercial Disputes team. His practice areas cover a wide range of commercial and contractual disputes including those relating to breaches of contract and procurement challenges. Tom has extensive experience advising on corporate disputes including disputes between directors and/or shareholders, disputes emanating from disposals and acquisitions (including warranty claims) and those involving the interpretation of Sale and Purchase Agreements. He has also worked for broadcasters advising on and enforcing copyright and trademark infringements. Tom has acted for a broad range of private and public sector clients. The Private sector clients include companies within the Energy, Advertising, Media and Entertainment, Technology and Sport industries. His public sector clients have included the NHS (England and Wales), Local Authorities, further and higher education providers and several large regulatory bodies. Tom is a fluent Welsh speaker.
Aisling  Beevers

Aisling Beevers

Aisling is a Solicitor in our Commercial Disputes team. Aisling studied LLB Law at the University of Bristol. During her time there she was a member of the University of Bristol Law Clinic, carrying out pro bono work for members of the public. Following this, she achieved a Distinction in her LPC at Cardiff University. Aisling joined Capital in September 2021 as a trainee solicitor and qualified into the Commercial Disputes team in September 2023. Aisling assists with general contractual disputes and works on a variety of matters with members of the team. Aisling has a specific interest in property litigation, namely Landlord and Tenant disputes as well as advising on the effects of the recently implemented Renting Homes (Wales) Act 2016. Aside from work, Aisling is an active member of the firm’s Mental Health and Wellbeing initiative, working to destigmatise mental health and increase wellbeing in the workplace.
Cerith  Bevan

Cerith Bevan

Cerith is a Solicitor in our Corporate & Private Equity team and completed his training at Capital. He acts on all aspects of corporate work and has acted on a variety of transactions including acquisitions, disposals, private equity investments and management buyouts. Cerith also provides support on general corporate advisory workstreams. Prior to starting his legal career, Cerith spent several years as an insurance broker for a leading firm of brokers, specialising in legal indemnity insurance. Cerith is a fluent Welsh speaker.

Ella Brace

Ella is a Solicitor in our Construction, Energy & Projects team. Ella graduated from Cardiff University in 2018 and went on to achieve a distinction in the LLM in Legal Practice at Cardiff University in 2019. She wrote her thesis on whether piercing the corporate veil provides a means of achieving justice for involuntary creditors. Throughout her studies, Ella was heavily involved with Cardiff University’s Pro-Bono schemes, providing advice and support to individuals and businesses on issues involving environmental, human rights and land law.
Danielle Bragg

Danielle Bragg

Danielle is an Associate in our Construction, Energy & Projects Team. Danielle joined Capital Law in September 2017 as a paralegal in the Construction, Energy and Projects team. She began her training contract in April 2018 and has recently qualified with us. Her work is both contentious and non-contentious. Danielle has been involved in drafting bespoke terms and conditions and development agreements. She also advises on schedules of amendment to standard form JCT contracts, consultant appointments, collateral warranties, novation agreements, parent company guarantees and bonds. More recently she has been involved in several referrals to adjudication. In her previous role at an energy company, she gained experience in dealing with NEC contracts and energy contracts (Connection Offers and Agreements) while supporting the Commercial & Legal Director. In order to connect service media (such as, electricity, gas and telecommunications) to the power stations the company constructed; Danielle led the process of acquiring easements with Distribution Network Operators (DNOs) and gas network operators.
Andrew Brown

Andrew Brown

With over 23 years’ experience of resolving high value and complex commercial disputes, including 12 years of providing litigation funding solutions and alternative fee arrangements for clients, the Legal 500 has described Andrew as one of the “forerunners in the use of third-party funding”. He specialises in multi-party actions, court applications to freeze assets, breach of trust and fraud claims, claims against other professionals and directors’ misfeasance claims. Andrew helps claimants find greater access to justice through litigation finance and other contingent fee arrangements. Andrew focuses on shaping potential claims and their cost budgets into viable litigation funding opportunities, securing the most competitive terms for his clients, and managing their claims to a successful conclusion whether through the courts or other commercial means. Andrew often advises litigation financiers and other solicitors on aspects of litigation funding, alternative fee arrangements for their clients, and how to structure their litigation management, funding, insurance and fee agreements. James Butters

James Butters

James is a Partner in our Banking and Finance team based in London. He previously worked as a partner in the finance group at Clifford Chance and was based in Clifford Chance’s Paris office as a partner for three years. He has also practised as a commercial barrister at Fountain Court Chambers in London. James specialises in corporate debt financing, leveraged buy-outs, M&A financing, restructurings and real estate financing, working for a variety of leading corporates, financial institutions and private equity investors. He has led transactions in most European jurisdictions, including the UK, France, Germany, Italy, Spain, the Nordic region, Poland and Benelux and regularly works on transactions with a US element. He has extensive experience of complex structured debt and security arrangements involving financiers and counterparties located in different jurisdictions. James is fluent in French and Italian.
Emma Chapple

Emma Chapple

Emma is an Associate in our Commerical Property team, helping clients with all aspects of commercial property advice, including acquisitions, disposals and landlord and tenant. She joined Capital’s Real Estate team in November 2021 and was promoted to Associate in November 2022. Emma qualified in July 2021 and during her training contract gained experience in both residential and commercial property, as well as litigation. Emma acts for companies, individuals and educational institutions, and has experience with assisting our corporate department with commercial property aspects of corporate acquisitions. She also provides advice to GP partnerships with the disposal, acquisition and assignment of GP premises, and is part of the Associated British Ports delivery team.
Alex Christen

Alex Christen

Alex is a Principal Associate in our Employment and Immigration team. She advises businesses and individuals on both employment disputes and transactional matters. She also provides corporate immigration advice. Alex has worked with the Employment and Immigration team to support many businesses across a range of industries, including retail, recruitment, waste and the food and drink / hospitality sector.  Alex advises on all areas of employment law but with a particular focus on Employment Tribunal litigation, employee exits, discipline and performance management, grievances, post termination restrictions, terms and conditions of employment and family friendly rights. She also supports individuals throughout their employment, from reviewing their contracts, helping them to raise grievances and negotiating exits on their behalf. Alex has over 6 years’ experience in providing businesses and individuals with immigration advice and has been mentioned in The Legal 500 for her calm and professional approach. Alex regularly delivers training and workshops on a range of topics including tackling gender pay gaps, the Agency Worker Regulations, social media in the workplace and business immigration.
Maria Coggins

Maria Coggins

Maria is a Partner and leads our Commercial team. She specialises in commercial contracts and data protection. Maria also has a  specialism in corporate restructuring. Maria advises clients on all aspects of their commercial legal relationships with third parties, helping them negotiate their commercial contracts and advising them on their outsourcing, commercial procurement and joint ventures. Maria advises on a range of regulatory and compliance matters including corporate governance and anti-money laundering compliance. She has expertise in data protection, helping clients to comply with the law and ensuring they have the correct policies and documents in place. Maria also has expertise in corporate restructuring, acting for companies and insolvency practitioners and advising clients on their duties as directors, insolvency procedures and restructuring options including advice on security and banking documents. She works with in-house legal teams and business development and finance teams. Maria completed a ten month secondment with Orange, working in their Group Fraud and Revenue Assurance Team, providing support in respect of anti-corruption programmes. Maria also completed a four month secondment with Dragon LNG, working with their commercial team advising on commercial procurement and commercial supply contracts. Maria is a qualified trainer and provides training to clients on contract management, data protection, anti-money laundering, directors’ duties and effective management of legal risk. Maria is a Trustee of Age Cymru, the national charity for older people in Wales.
Simona  Corcoz

Simona Corcoz

Simona is a Principal Associate in our Commercial Disputes team. She has a strong litigation background advising governments, large corporate organisations and individuals on a variety of issues including fraud, contractual, shareholder, negligence, misrepresentation and conspiracy. Her cases often span multiple jurisdictions and Simona is adept in navigating both the Claimant and the Defendant perspective. Simona counsels clients across a number of sectors, with a particular focus on the Energy and Life Sciences sectors, as well as claims connected to the Public Sector. In addition to her experience in private practice, Simona has considerable in-house and regulatory experience, having worked for the Office of General Counsel of two Big Four professional services firms (PwC UK and KPMG UK), a global real estate investment business (PGIM Real Estate) and a financial regulator (Financial Conduct Authority).
Christopher Coughlan

Christopher Coughlan

Chris heads up our cross departmental technology sector. He is an experienced IT lawyer who joined Capital Law in February 2019 from Ashfords LLP. Chris was head of Ashfords data protection team and a senior member of their technology sector group. Chris brings invaluable IT experience to Capital, having previously worked on and lead a number of large high value and complex IT infrastructure and outsourcing projects, including organisations such as Thames Water, the Post Office, and Sensus (now part of the Xylem group) on all of their smart metering projects in the UK, including the Thames Water smart network in conjunction with Arqiva. Since joining us Chris has continued to advise clients on a wide variety of technology matters, including IT outsourcing arrangements; AI platform developments; disruptive fintech and insuretech products; and innovative products in the energy management and wider green tech space. Chris is a committee member of the South West Group of the Society for Computers and Law (SCL) and passionate about promoting technology in the law. Chris is working on expanding the reach of SCL into Wales, engaging with other firms and academic institutions. Chris is leading Capital Law’s relationship with the Alacrity foundation in Newport, a technology incubator backed by Wesley Clover and the Welsh Government. Alacrity selected Capital as their first law tech strategic partner. Chris, along with our IT director and other members of our team, is working closely with the Alacrity team that is developing the first Law Tech business which will graduate from Alacrity. Chris is also admitted as a solicitor with the Law Society of Ireland and leads Capital’s Irish desk which we launched in early 2020.

Nicole graduated from Cardiff University with a first-class degree in Law and is currently completing her LLM LPC at the University of South Wales. Prior to joining Capital, Nicole worked within mortgage litigation, dealing with contentious and non-contentious matters, in an international law firm in Cardiff.

Ellis Cummings

Ellis is a Solicitor in our Commercial Disputes team. He has worked on a number of claims including, but not limited to: sports law disputes, contract claims, defamation and multi-jurisdictional disputes. He has a keen interest in the mediation process, helping clients explore different avenues throughout the litigation process. Ellis joined Capital in June 2021 and has worked across several teams including Employment, Corporate and Disputes.
Tod Davies

Tod Davies

Tod is a Senior Associate in our Commercial Disputes team. Tod studied History and Politics before completing his LPC in Cardiff. Throughout his studies, he worked in property management for his family’s company in the Algarve, Portugal. Tod joined Capital Law as a trainee in October 2016 in the Commercial Property department, moving then to the Commercial Disputes Team, before then joining the Welsh Government on secondment. He completed his training in the Corporate & Commercial team, before qualifying into the Commercial Disputes team as a solicitor in October 2018. Her transactional experience includes acting on domestic and cross-border acquisitions, private equity and fundraising transactions and corporate reorganisations. Prior to joining Capital Law, she worked as an Associate for a major international law firm in Bristol. Sara studied Law at the University of Salento in Italy and completed her Graduate Diploma in Law (GDL), Legal Practice Course (LPC) and Master of Laws at BPP University whilst working as a paralegal. Sara is fluent in Italian and a learner of Spanish.

Georgia has particular experience in real estate finance, grant funding and debt finance transactions.
Hakeem Din

Hakeem Din

Hakeem is a Solicitor in our Corporate & Private Equity team, who trained with Capital. He acts on all aspects of corporate work and has acted on a variety of transactions including acquisitions and disposals, private equity investments, management buyouts as well as advising companies and individuals on corporate governance issues. Hakeem also advises investors and private equity houses on their investments and portfolio management, as well as supporting management teams through corporate transactions. He has experience acting for companies, funds and investors across a wide range of sectors in the UK and internationally and is familiar with supporting deal teams on complex transactions. Hakeem speaks Punjabi and sits on Capital Law’s South East Asian desk. I’d like to thank Tom, Hakeem and the team at Capital Law for their fantastic support throughout this transaction. Sarah Drew

Sarah is an Associate in our Financial Services and Insurance team. She joined the team in October 2019, after 10 years in mortgage litigation at a large regional firm. Sarah has experience in a wide range of regulatory compliance issues, with a focus on advising credit, hire and mortgage providers on their regulatory obligations. She has a keen interest in this area, advising on all aspects of the provision of credit, FCA permissions and applications and regulatory requirements under the Consumer Credit Act 1974. In addition, she advises on payment services regulation, insurance and more recently, providing updates and training for clients in all regulated sectors on the impact of the FCA’s new Consumer Duty. Sarah provides a sharp, commercial position in the provision of regulatory advice to a range of businesses in the credit, FinTech and InsurTech space, supporting the growth of Capital’s Financial Services Team with enthusiasm and a sound technical understanding of the regulatory landscape.
Angelina Drljaca-Chandler

Angelina Drljaca-Chandler

Angelina is a Partner in our Corporate & Private Equity team. She has wide transactional experience advising public and private companies, often in cross border transactions. She worked as a senior associate with a major London based international firm before joining Capital in 2017. Angelina advises companies, investors and managers in corporate finance transactions. She leads our Capital Markets practice and has extensive experience of listing companies on stock exchanges, public and private takeovers (including reverse takeovers) and placings, as well as advising issuers and brokers. She also advises on private acquisitions and disposals, joint ventures, private equity and fundraising transactions and corporate reorganisations, as well as general corporate issues such as shareholders’ agreements, capital reductions and schemes of arrangements. Angelina has experience across most industry sectors, but particularly in oil and gas, mining and natural resources, insurance, transport, and health care. Viv is an experienced Employment Lawyer and Legal Director with a reputation for delivering pragmatic business solutions. He has a long line of successes in the resolution of complex cases and highly sensitive individual matters. Viv has been a practicing solicitor for more than 30 years, where the bulk of his experience has been in the field of employment and industrial relations law. Viv qualified as a solicitor in Cardiff and has held a number of senior positions in various firms. From 1989 to 2007, Viv worked at Eversheds holding various positions, including head of employment and pensions, head of European employment law, and latterly as head of international employment law. Phillippa is a Principal Associate in our Commercial Disputes team and leads our business crime and investigations practice. She works closely with clients to understand their business objectives and individual needs. Alongside colleagues from across the firm, she helps clients to develop strategies for identifying and managing risks associated with business crime and regulatory issues. Phillippa joins us from the Serious Fraud Office (SFO) where she gained significant experience in financial and economic crime. She has worked alongside domestic and overseas agencies including the US Department of Justice and the Financial Conduct Authority. Phillippa has led teams investigating corporates and individuals suspected of large scale, complex fraud and bribery & corruption often involving multiple jurisdictions and was part of the team investigating benchmark manipulation. Prior to joining the SFO, Phillippa specialised in criminal law with experience of working as both a solicitor and a barrister.
Lucy Emanuel

Lucy Emanuel

Lucy is a Partner in our Commercial Disputes team. Her main area of expertise is in professional negligence/ professional indemnity and regulatory compliance. Lucy’s experience includes claims involving solicitors, auditors and accountants, valuers, construction professionals and independent financial advisors for breach of contract, negligence and breach of regulatory obligations. She also has experience of working for and against regulators, including judicial reviews, appeals to decisions, interpretation of policy wording and compliance advice. She regularly advises regulated professionals and businesses on tricky areas of data protection. In particular tech start-ups who often push the boundaries of regulation. Lucy regularly advises on and provides training to regulated professionals and businesses on compliance and best practice. In particular, data protection and FCA/PRA compliance.
Cristina Faro

Cristina Faro

Cristina advises insurers, brokers, non-traditional insurance intermediaries, MGAs, start-ups and a range of financial services providers. on insurance, financial services, regulatory, contentious and advisory issues. She deals with claims and investigations against a range of financial professionals including financial adviser networks, broking firms, asset and fund managers, offshore trustees, pension providers, accountants and insolvency practitioners. With established expertise in policy coverage advice on professional indemnity, directors’ and officers’ and financial institutions’ insurance, including monitoring large regulatory investigations and class actions, Cristina’s experience also extends to financial services regulatory advice on FCA rules and supervisory issues. Having undertaken secondments to the commercial and financial claims teams of two global insurers, she has strengthened her deep knowledge of the insurance sector and broadened her commercial outlook in delivering pragmatic solutions for clients.
Alison Flett

Alison Flett

Alison is a Principal Associate in our Employment & Immigration team, having recently joined Capital from a leading commercial law firm. She regularly advises and trains employers and HR professionals on all aspects of contentious and non-contentious employment issues including disciplinary and grievance matters, long-term sickness absence, discrimination, employee relations, reorganisations and TUPE. She also has significant experience of acting for clients in Employment Tribunal matters, often involving complex multi-party litigation. Alison previously undertook an 18-month secondment to a large publicly listed company, during which time she was the sole employment lawyer and provided legal and strategic advice on all employment related queries, as well as training to the group HR function and the HR population.
Vikki Foxwell

Vikki Foxwell

Vikki is a Chartered Legal Executive in our Commercial Property team. Vikki joined Capital’s Commercial Property department in 2017. Before moving to Wales in 2016, she worked in a firm in Cornwall in the litigation department. Vikki leads our Social Housing Sector within the Real Estate Division. Her role includes working closely with various Social Housing providers and deals with a range of both commercial and residential property matters. These include acquisitions, general estate management, lease work surrender and buy back and development works. She also assists in the wider Real Estate Team and works for clients in the public and private sector on a range of commercial property transactions. Vikki graduated with a Bachelor of Laws degree in 2018 and qualified as a Chartered Legal Executive in 2023.
David  Garner

David is an Senior Associate in our Commercial Disputes team. David focuses on contentious issues including breach of contract, breach of trust, defamation, professional negligence, business and partnership disputes. He has acted for a wide range of clients, from individuals to charities, resident management companies and large commercial entities. He also regularly acts for healthcare professionals and business, including GP Partnerships. David has advised a number of resident management companies on leasehold disputes and issues with managing agents. He  is also able to  deal with contested wills and estates. With his keen eye for detail and  pragmatic approach, David works with a view to  resolve disputes as quickly as possible. It was a pleasure to work with David and I would like to thank him for all of his work on what has been a very challenging case. Toby  Girdler

Toby Girdler

Toby is a Solicitor in our Commercial Property team. Toby started his training contract at Capital in September 2021. During this contract, he spent the majority of his time in the Commercial Property team, where he gained a high level of experience working on landlord and tenant matters, acquisitions, disposals and supporting with the property aspects of corporate acquisitions. He has also been involved in advising GP partnerships on matters relating to their premises. Toby has now qualified as a solicitor in the team and works for clients on a wide range of commercial property transactions.
Mary Goldsbrough

Mary Goldsbrough

Mary is a Principal Associate in our Employment and Immigration team. She has over 15 years’ experience advising on a wide range of contentious and non-contentious employment law issues. Mary mainly acts for employers, but also advises unions and employees in senior positions. Her clients’ main sectors include pharmaceutical, retail, utilities, manufacturing and gaming. Her work has included advising a former non-departmental public body on a large scale (2,500 employees) redundancy exercise and defending the subsequent £45m class actions brought by two trade unions and 1,600 claimants. She is also advising a major manufacturing company on pension scheme issues. Mary is a qualified trainer and regularly provides training on employment law issues (including GDPR/ Data Protection Act 2018, conducting investigations, and dealing with absences) to a wide range of audiences including local authorities, housing associations, and NDPBs.
Catherine Golledge

Catherine Golledge

Cath is a Senior Associate in our Corporate & Private Equity team. Cath advises companies, shareholders and investors on various corporate finance transactions; whether that be private equity investors acquiring and backing a management team, shareholders on the disposal of their business or an investor syndicate supporting an early stage business. Cath trained at Capital and qualified in 2017 and since then has acted on a wide range of corporate transactions, most recently multiple “bolt-on” acquisitions for acquisitive long-standing clients of the firm. Another large focus of Cath’s time and advice is for investor syndicates investing into Welsh based early-stage businesses.
Clare Good

Clare Good

Clare is a Senior Associate in our Commercial Disputes team, helping with a variety of commercial, business and property disputes – both residential and commercial. Clare joined the Commercial Disputes team as a Solicitor after completing her training contract at a Welsh firm. Clare studied Journalism, Cultural and Media Studies at Cardiff University before completing her GDL and LLM LPC at the University of Law in Bristol. Prior to joining Capital, Clare obtained extensive experience in a wide range of disputes including contractual, partnership, property, regulatory and Intellectual Property. Charlotte is a commercially focused regulatory Partner, specialising in financial services and insurance. Charlotte provides strategic advice to clients operating within the financial services sector on a broad range of regulatory matters at each stage of a firm’s growth. She advises investors, companies and management teams on a wide range of corporate transactions, with particular experience in the insurance industry. She also advises on general corporate instructions. Sarah has experience advising insurers, financial institutions, private equity clients and start-ups on regulatory issues, acquisitions, disposals, joint ventures and reinsurance transactions in the UK, Lloyd’s of London and internationally. Before joining Capital in 2021, Sarah was based in London as an associate with a large international law firm.

Charlotte is an Associate in our Financial Services Regulation team. Charlotte is a corporate insurance and insurance litigation lawyer with legal experience in the UK and Australia. Charlotte has primarily worked with large international insurers, reinsurers, and corporate clients. She has experience in a variety of insurer defence matters such as D&O liability, property damage, casualty claims, and professional indemnity claims within the construction industry. She has acted as coverage counsel for insurers in multi-million-dollar D&O disputes as well as class actions and frequently provides coverage advice to insurers and policyholders.   Charlotte has provided non-contentious corporate governance advice and drafting support to foreign and domestic companies setting up business in the UK and Australia and maintains corporate secretariat services. In addition, she has been involved in preparing PRA and FCA Applications for overseas companies and has been involved in reviewing, drafting, and advising on regulatory policy documents and contracts.   In addition, Charlotte also has experience of working on corporate transactions undertaking due diligence and advising on outsourcing agreements post-acquisition.

Rachel is a Partner in our Corporate and Commercial team. Rachel is a specialist Financial Services and insurance lawyer. Rachel advises on a broad range of regulatory and insurance issues in the financial services, insurance, and technology sectors. Her clients are Fintechs and Insurtechs, DLT and crypto-asset businesses, wealth management firms, IFAs, banks, mortgage providers, loan and consumer credit providers, financial services comparators, placement agents, insurers, insurance brokers and SIPP operators. Her regulatory work includes financial services regulatory advice, FCA authorisation and change of control, regulatory advice relating to the launch of new products and services, changes to FCA rules, compliance with PRA and FCA rules and EU regulations, contingency planning for Brexit, drafting and negotiating customer terms of business, KYC and IPID documents, appointed representative agreements, distribution and outsourcing agreements. She has advised on the sale and purchase of various financial services businesses. Rachel is one of a limited number of UK lawyers with experience of advising on the commercial and regulatory aspects of cryptoassets, blockchain and token sales. Marlies is a Partner in our Corporate & Commercial team. She manages a wide corporate and commercial practice, often with an international or cross border angle. Marlies advises on mergers and acquisitions, corporate reorganisations, commercial contracts including SLAs, and commercial joint ventures, mostly cross border. She has specialist expertise in the education and food and drink sectors. Marlies is very experienced in non-contentious insolvency transactions and restructuring including pre-packs and cross border insolvency transactions. She has also advised foreign clients on UK insolvency issues and transactions and director’s duties and liabilities and with the assistance of an extensive network of foreign lawyers, UK clients on foreign insolvency issues. Marlies leads Capital’s international offering, heading both the Chinese and German desks. She also heads our Brexit team: providing advice on Brexit, and speaking regularly on the subject, both in the UK and abroad. Marlies holds a master’s degree and PhD in Archaeology, speaks German and French fluently, and reads Italian and Spanish. She is the Vice Chair of Consulegis, the international network of independent law firms, and of the Sherman Cymru Theatre. She also talks to of Welsh students generally about the benefit of modern foreign languages in the workplace. In June 2020, she was appointed to represent Switzerland in Wales and act as Honorary Consul in Cardiff.

Nina joined Capital in October 2018 and qualified as a Solicitor in our Employment and Immigration team in March 2021. During her training contract, Nina was seconded to the in-house legal team at The Royal Mint, working on a wide range of commercial agreements and intellectual property queries. Nina currently spearheads Capital Law’s pro bono initiative, which allows trainees to engage with the pro bono community by providing guidance and support to students who volunteer at the University of South Wales (USW) Legal Advice Clinic. Nina’s interest in pro bono work stems from her involvement in the Legal Advice Clinic whilst she was a student at USW. Nina also supports and contributes towards Capital’s Welsh Law initiative, which promotes awareness of devolution and its impact on business in Wales. David is a litigation and regulatory investigations lawyer with specialisms in financial services litigation as well as data protection work. He is a Partner in Capital’s Commercial Disputes Team and has extensive experience of resolving complex, high value disputes in a broad range of sectors, including financial services, healthcare, public sector and manufacturing. David’s primary area of expertise lies in claims arising from breach of contract, negligence, sale of goods and services and post M&A work. David also has extensive experience of regulatory investigations in the financial services sector, having worked on two of the biggest FCA led remediation projects in the UK in recent years.

Reshma Jogia

Reshma Jogia

Reshma leads our corporate banking practice, with over 20 years’ experience in acting for lenders including most UK clearing banks and investment funds, and borrowers including corporates and clients in the social housing, education and healthcare sectors. She advises on all aspects of finance and secured lending and is used to handling large and complex transactions. Reshma specialises in all aspects of secured lending and has extensive experience in, negotiating complex syndicated multi-currency loan facilities often drafted on a Loan Market Association format, amendment and restatement agreements and refinancing of facilities, all forms of security, security trustee arrangements, mezzanine finance and priority and intercreditor documentation. She also has knowledge of the bond market and her experience includes providing advice on private placement facilities. Reshma has particular expertise in social housing finance and has advised a number of housing associations and lenders on their funding arrangements. Reshma also undertakes security reviews and advises on restructuring of loan and security and works closely with our regulatory lawyers to provide regulatory advice on the Consumer Credit Act and the Financial Services and Markets Act. She was recently recognised as a ‘Next Generation Partner’ for the 2023 Legal 500 rankings in relation to banking and finance.

Angharad joined our Commercial Property team in February 2020, and assist mainly with banking and corporate support work alongside some landlord and tenant work. She has a particular focus in the healthcare sector.  Angharad has experience in landlord and tenant work, asset management, acquisitions and sales and in banking and corporate support work, including assisting with the property portfolios in sales of large specialist residential care providers.   Angharad acts for banks, borrowers, investors and occupiers and has experience in retail, office and industrial transactions.   Angharad is a fluent Welsh speaking solicitor.

Céline is a Partner in our Commercial Disputes team, with over 10 years’ experience in cross-border litigation. Céline joined our Commercial Disputes team in April 2019. Her main areas of practice are contract disputes, unfair prejudice claims and breach of covenants. Céline leads Capital Law’s French Desk and has developed a particular expertise in international litigation. In 2017, Céline was appointed Avocat Conseil auprès du Consulat Général et de l’Ambassade de France à Londres, a prestigious Legal Counsel role to the French Embassy in the UK, and the first award of its kind for a solicitor in Wales. Céline is co-founder and Chair of Le Club, a Franco-Welsh Business Forum which aims to stimulate networking, partnership development and trading opportunities between organisations with both French and Welsh links.

Louise qualified in March 2019 at an international law firm. Philip is a Partner in our Commercial Disputes team. He has nearly thirty years’ experience of a broad range of commercial disputes. Philip represents clients in the medical, financial, professional services, retail, media, industrial and manufacturing sectors. His expertise covers a range of disputes with particular focus on warranty claims and other post M&A issues, shareholder and joint venture disputes, partnership disputes, insolvency, fraud and asset and financial recovery. Philip’s extensive knowledge of insolvency law allows him to provide valuable insight in this area for all of his clients where it affects their position whilst he also advises insolvency professionals, directors, creditors and debtors, on liquidations, administrations and bankruptcies; director’s disqualification proceedings; voluntary arrangements; asset protection and avoiding insolvency and the consequences of insolvency. Philip has an extensive history of dealing with white collar fraud and its consequences and has successfully recovered and protected assets, designed and executed investigations and secured emergency injunctions which have been executed worldwide. Tom Jones

Tom is a Solicitor in our Commercial Disputes team, specialising in property disputes, public law, and commercial litigation. He deals with a broad range of property disputes and has experience acting for both landlords and tenants, advising on dilapidations, Telecommunications Act disputes, forfeiture, adverse possession, nuisance, trespass, and in relation to property disputes in insolvency cases. Tom also has knowledge and experience of the planning system in England and Wales and policy interpretation. In the public law arena, Tom has experience advising in relation to General Medical Council CESR equivalency certification appeals, as well as advising on judicial review and data subject access requests and complaints handling. Recently, Tom was involved in a successful Supreme Court case on behalf of a high-profile client. Tom’s commercial litigation work deals with director and shareholder disputes, employee restrictive covenant disputes, commercial debt claims, injunctive relief, partnership disputes. He has worked on both large-scale and small-scale commercial litigation cases. Prior to completing his training contract at Capital Law, Tom worked for an international law firm negotiating deeds of easement and has previously worked in the planning sector pursuing appeals against refusals of planning permission/enforcement notices on behalf of a diverse client base.

He advises on equity investment, the acquisition and sale of companies and businesses, and refinancing transactions, and has taken on numerous management advisory roles on private equity-backed deals. Tom leads Capital’s private equity practice. Tom acts for a number of private equity houses and is lead partner for WestBridge Capital, who he has advised on 10 management buy outs and several substantial exits. Lewis joined the Employment team at Capital in July 2021, having trained in-house with Cardiff Council and qualifying as an Employment & Education Lawyer in April 2021. Chris is a Principal Associate in the Banking and Finance team. He specialises in a range of debt finance work, including secured and unsecured, bilateral or syndicated lending both on a national, and international level. Chris has a wealth of experience and contacts from previous roles in a top tier Banking & Finance team in Cardiff and in-house counsel at a leading financial services group. He has particular experience in acquisition and leveraged finance, advising on non-standard lending transactions involving complex structures and security. He acts on behalf of either lenders (be they banks, private equity or other funds) or corporate borrowers. Chris has extensive experience acting for lenders in respect of reviewing security and facility documents with a view to recovery. In addition to acting for businesses, David also advises senior executives on board level disputes and company exit strategy. As well as employment law, David also specialises in sports law, working with clubs, professional athletes, coaches and management on matters particular to professional sport. David regularly provides national newspaper and radio commentary on topical employment and sporting issues. Toni is an active member of the firm’s Equality, Diversity and Inclusion group and Domestic Violence Initiative. In her spare time, Toni volunteers for two groups dedicated to distributing essentials to those in need in Cardiff City Centre.

Guto is a Partner in our Commercial Disputes team. He resolves a wide range of commercial disputes, with an emphasis on business disputes, intellectual property, insolvency, and insurance disputes. Guto has acted in high value contractual disputes, urgent injunction applications and complex intellectual property matters including copyright and trade mark infringement, breach of confidence and passing off. Over the past 7 years, he has led Capital’s Debt Recovery team and his aptitude for resolving disputes is an asset that seeps into his debt recovery advice. He has experience of leading a team of lawyers through a variety successful campaigns; from projects involving recovering thousands of historic debts, to dealing with a complicated High Court claim against the Welsh Government worth over £4m. That claim was funded through our own litigation fund, Capital Dispute Finance.

Duncan Macintosh

Duncan is a founder of Capital, leads the Corporate team, and is a member of the firm’s Board. He is qualified as a solicitor both in England and Wales, and in Scotland, where he is a Writer to His Majesty’s Signet. Duncan is also recognised as a leader in his field by the legal directories. Duncan has spent over 30 years in private equity and venture capital, which he specialises in, as well as mergers and acquisitions and corporate governance. He has acted for private equity funds on their fund-raising, their investments, and issues arising in their investee companies. He co-founded a private equity fund, sits on the advisory board of another, and advises the senior teams of national and international trading companies on strategic legal issues affecting their businesses – as well as acting for sellers, buyers, companies and businesses on various joint venture and sale and purchase transactions. She deals with complex option agreements and conditional contracts, and has acted in leasehold transactions from both a landlord and tenant perspective. Catrin has written articles on the intricacies of leases and regularly works with clients to make sure they’re clear on this. She has also previously delivered training on the minimum energy efficiency standards and compliance with the Charities Act when disposing of and acquiring land. Rebecca Mahon

Rebecca is an Associate in our Employment and Immigration team. She advises on various non-contentious and contentious matters, from corporate transactions to bringing and defending employment tribunal claims. Rebecca works with businesses of all sizes and particularly enjoys working with exciting start-ups. She has done a lot of work with our InsurTech and FinTech clients, combining her employment expertise with increasing knowledge of the requirements of our regulated clients. Rebecca assists on complex corporate sales and acquisitions. In particular, she has recently supported our corporate team with executive and non-executive appointment arrangements, implementation of EBITDA bonus arrangements and TUPE queries. She has a case load of over 30 live employment tribunal claims, acting for both Claimant and Respondent. She also has extensive experience in advising on and negotiating exits via settlement agreements (and COT 3 agreements), including for numerous directors/shareholders on sensitive and high-value exits. Rebecca has particular expertise in issues relating to employment/worker status, having advised numerous public and private sector organisations, and individuals, on their obligations under the off-payroll working rules (IR35). Susanne Matthissen

Susanne is an Associate in our Employment and Immigration team. She advises on both contentious and non-contentious aspects of employment law, as well as all aspects of information law, including the General Data Protection Regulation (GDPR) and Freedom of Information Act. She advises a range of clients from individuals to family owned businesses and third sector organisations, local authorities and large private companies. Susanne undertakes employment aspects of corporate transaction work, including employment due diligence, drafting employment contracts, director service agreements and consultancy agreements, advising on TUPE and the employment related aspects of the transaction documents. As well as our work with employers, Susanne is also involved in advising individuals. This work includes advising individuals on disputes in the workplace and in employment tribunal claims, which includes guidance on disciplinary and grievance processes, negotiating exit packages and legal advice on the terms of settlement agreements. Susanne assists both public and private sector clients in advising on their legal obligations on information law legislation and providing practical assistance in relation to any requests made under GDPR and FOIA. She can also help with information law compliance planning and implementation, undertaking data audits, as well as designing and delivering workshops and bespoke in-house training for clients and their staff in relation to GDPR and FOIA. Susanne also attends Cardiff Employment Law clinic to provide Pro-bono advice to individuals that need help, as well as attending the Employment Tribunal Litigant in Person Support Scheme to provide unrepresented litigants with initial advice and representation at Cardiff Employment Tribunal. Stephen has significant experience of acting on behalf of major corporates, corporate trustees and SMEs. His recent clients include the British Medical Association, Insure and Go Insurance and Hartley Pensions. He has acted in a number of high profile matters that have attracted a high level of public interest, including a judicial review challenging the decision of the Secretary of State for Health to impose a new contract for junior doctors With particular expertise in contentious property work, Stephen acts for owners, landlords, tenants and developers. Sarah graduated from King’s College London, where she studied Law with European Legal Studies, in 2013. She completed the LPC in Cardiff. Before beginning her legal career, Sarah spent several years working as a journalist and editor. She has worked on publications focused on Intellectual Property Law and Reinsurance. In addition to writing and editing news and features, Sarah led a successful project focusing on diversity and inclusion in the Intellectual Property field.

Since founding Capital Law in 2006, Chris has seen it grow to over 180 employees, with a turnover of over £12million. He has been a commercial lawyer for nearly 40 years, working mainly on business disputes, such as a £100m claim by employees against their former CEO who had misappropriated their shares, and advising Cardiff City on issues arising following the crash of Emiliano Sala. In 2016, he launched a litigation fund, a collaboration with a hedge fund to improve access to justice by faster underwriting of claims and more competitive financial terms. For this, Capital was highly commended by The Financial Times Innovation Awards, The Lawyer, and The Legal Week. An active supporter of the Welsh business community, Chris received an OBE for services to Business and Economic Development in Wales. Formerly Prince of Wales’ Business Ambassador for Wales; Chair of the Welsh Government’s Financial and Professional Services sector panel; and Vice Chair of the Ministerial Advisory Board; he is currently Chair of the Food, Farming and Countryside Commission’s Wales inquiry. Chris is also a director of Cardiff Rugby, and a founder of Knife and Fork Food Ltd and of the Cambrian, Adelboden.

Leanne is Head of our Real Estate team, advising clients on both public and private sector aspects of commercial property law. Leanne has over 15 years’ experience acting for developers, investors, banks and institutional clients.  Leanne’s areas of expertise include planning advice, land acquisition and disposal, commercial development, development finance and public sector advice. Her expertise includes advising on wayleave agreements and deeds of easements in relation to both existing and proposed developments and co-ordinating the agreement of service providers and third parties to ensure prompt connection and delivery of services. She is well known in the education and banking sectors and one of the partners in the firm who heads up an initiative to expand our offering in the education sector. Leanne focuses on private sector clients with strategic development and complex joint venture requirements. She is currently advising on a significant scheme in Fareham and a number of agreements connected to sporting arenas/venues.

Prior to joining Capital, Cai worked in the Litigation and Disputes Resolution Department of a leading Dublin-based commercial firm where he assisted with a variety of contentious and regulatory issues. Cai also spent time working in the Law Department of Dublin City Council where he gained experience in litigation, conveyancing, and data protection. Stuart Pearson

Stuart Pearson

Stuart is a Partner in our Construction, Energy and Projects team. He undertakes contentious and non-contentious construction, infrastructure, energy and major projects, from procurement to completion for public and private bodies. Stuart was promoted to Partner in November 2019. He acts for national and local government, private sector developers, contractors, design consultants and financial institutions. He has advised on bespoke and standard-form construction contracts for routine projects, through to £multi-billion financed schemes from procurement to completion. His work ranges from drafting and negotiating sector specific agreements (including bespoke and standard form contracts, e.g. JCT and NEC) for road projects; to catering and facilities management contracts, resolving contractual disputes including issues relating to step-in rights, measured term contracts and final accounts. Stuart has specialist PPP expertise including a working understanding of the Mutual Investment Model. He gave evidence to the Welsh Government in relation to matters affecting the construction industry in Wales and was invited to contribute to its inquiries into the state of the roads in Wales and capital funding sources (both of which centred around the use of MIM). Stuart regularly delivers external training on a variety of topics and has had a number of articles published in sector focused publications – most recently discussing the future of our cities in view of the growth of innovative transport firms and an in-depth look at Smart Cities.
Elis Phillips

Elis Phillips

Elis is a Solicitor in our Corporate & Private Equity team. He completed his training contract with a reputable Swansea firm; his final training contract seat was in the Corporate and Commercial team into which he qualified in June 2022. Elis, a first language Welsh speaker, studied his LLB degree at Nottingham Trent University and subsequently his LPC/LLM at Swansea University. Elis has experience in acting on a wide range of corporate advisory and transactional matters, as well as advising on a variety of commercial contracts. Some examples of recent work include acting on numerous share sales and acquisitions, management buy outs, asset disposals and purchases, corporate restructures, share buy backs, allotments, drafting shareholders agreements and articles of association, and a breadth of other corporate advisory issues relating to the Companies Act.

Elin is the Managing Partner of Capital Law. Along with Senior Partners Chris Nott and Duncan Macintosh, she founded Capital and is now responsible for formulating and implementing the firm’s day-to-day operations while overseeing the growth of the business and the delivery of the firm’s business plan. Working both nationally and internationally, Elin has experience of forming long lasting relationships with businesses of all sizes. She provides training on employment law and HR issues, and is an accredited Mediator – an expert in sorting individual disputes or collective grievances quickly and with long term effect. Elin’s experience includes: \tadvising on all aspects of contentious and non-contentious employment matters \tadvising on contractual disputes, disciplinary matters and redundancies \tadvising on major workforce reorganisations and complex industrial relations \ttribunal representations \tTUPE \temployment seminars. Alex is a Solicitor in our Corporate & Private Equity team. He acts on all aspects of corporate work, advising on a variety of transactions including acquisitions, disposals, private equity investments and management buyouts. He also advises on company incorporations and general corporate governance issues. Alex trained with Capital, completing two of his seats with the Corporate & Private Equity team. He also spent a year as a Paralegal in our Corporate & Private Equity team on a professional placement as part of his degree. During this time, he spent a month on secondment with one of our clients, where he worked closely with their HR and legal department.

Shaunna is an Associate in our Real Estate team. She joined the team in January 2023. She works for clients in the public and private sector on a range of commercial property transactions. Shaunna is the Treasurer for the South Wales Forum for Tomorrow Committee and assists in organising events for young professionals in the construction and property industry. In 2018, Shaunna was recognised as one of the 30 young lawyers to watch in Wales.
David Sheppard

David is a Principal Associate in our Employment and Immigration team. He advises employers and employees on all aspects of employment law. David advises employers and employees in the public, private and third sectors. He regularly represents clients in employment tribunal claims, and also advises on non-contentious issues on all aspects of employment law, including redundancy and reorganisation consultation, changing employees’ terms, conditions and benefits, TUPE issues and consultation arising from the sale of businesses, outsourcing of services and merger of public services, and complex disciplinary and grievance matters. He undertakes pro bono work at the Cardiff Speakeasy Centre. David is also a parent governor at his sons’ primary school and is familiar with governance and other issues in the education sector. David regularly provides training, including implementing and calculating the national minimum wage, employment law updates for HR practitioners, employment/worker status in the gig economy and IR35 issues when engaging contractors. He has also provides training to aspiring managers on discrimination law, managing difficult conversations and disciplinary processes. David regularly publishes articles on current employment law issues, including articles in the Western Mail, MailOnline and USA Today. Laura is a Partner in the Corporate & Private Equity team at Capital.  Laura specialises in private equity transactions, mergers and acquisitions, disposals and restructuring projects. Laura regularly advises sponsors, investors and management teams in connection with all stages of the investment cycle, together with portfolio management issues. Gabriella Spiteri

Gabriella is a Solicitor in our Real Estate team. She acts on behalf of landlords and tenants in a variety of leasehold related transactions. She is experienced in acting for both lender and borrower in portfolio refinances and has acted in the disposal of countless residential plots on behalf of various developers. Prior to joining Capital Gabriella trained and qualified in a Swansea based firm. During her training she gained experience in Commercial and residential Property and Estates and trusts.

Tara works on a broad range of regulatory and commercial issues in the financial services industry, with a focus on insurance, FinTech and Wealth and Asset Management. Before starting at Capital, Tara worked in-house for a global advisory services firm, advising and negotiating contracts licensing software, developed for the financial services and insurance industries. Tara heads up the Financial Services, Insurance and Markets sector group for Consulegis. She is also a fluent Tamil speaker, heading up Capital Law’s South Asian Desk. Tara has a Master’s in International Law with International Relations and has a particular interest in cross-border regulatory issues.

Stephen is a leading environmental and insurance lawyer, specialising in mitigating ESG liabilities for corporates, lenders and public sector bodies.   Stephen advises environmental and construction insurers on non-litigious issues. He is a specialist in ESG, contaminated land and environmental insurance and has co-founded several successful ventures in the environmental data, insurance and consulting sectors, providing legal, practical and commercial advice to entrepreneurs, start-ups and other early-stage businesses. He is managing partner of The Sykes Partnership LLP and is an experienced chair and Non-Executive Director of environmental organisations. He is Past Chair of the UK  Environmental Law Association (2015-17) and has chaired several scientific consultancies. Claire is a Principal Associate in our Employment and Immigration team. Claire was a HR Consultant prior to qualifying as a Solicitor. She has practical and technical experience and knowledge of HR issues for employers and individuals. She advises on, and undertakes investigations, consultation meetings and offers training on HR topics. She is a specialist in mental health and sexual harassment issues in the workplace. Claire advises local government and NHS employees/Consultants and has over 10 years’ experience advising in unionised environments specifically on collective agreements, bargaining units, equal pay claims and collective grievances. She represents doctors with their GMC/MPTS regulatory fitness to practice referrals. Claire also advises our Financial Services Regulation team and on FCA/PRA matters in an employment context.
Huw Thomas

Huw joined Capital in April 2017, having gained extensive experience over 20 years in London (the City and Westminster) and Chester. Huw’s expertise is in both secured lending work and general commercial real estate transactions. He acts for numerous funders involved in facilitating purchases, refinancing (including on property portfolios) and development. In addition, he has advised on various transactions involving site acquisition and development. Huw enthusiastically helps deliver training on property law and developing the skills of trainees. The Legal 500 publication has stated that Huw is ‘noted for his transactional expertise’ and that a client singled out his ‘astute legal brain’. He has been profiled in Property Week.

Jordan acts for companies, funds and investors across England and Wales, providing support on complex corporate transactions. In 2019, Jordan was seconded to our client H.I.G. Richard is a Partner in our Employment and Immigration team. He specialises in all aspects of contentious and non-contentious employment law, advising clients in the public and private sectors. Richard provides strategic advice on collective employee consultation duties and obligations arising out of company restructures, acquisitions, mergers, collective redundancies and outsourcing. This work includes informing, consulting and negotiating with Trade Unions to avoid legal claims and industrial action, as well as the application of TUPE. He also advises on wrongful, constructive and unfair dismissal and, all aspects of discrimination. Richard has extensive Employment Tribunal advocacy experience across the UK and has successfully undertaken judicial and commercial mediation cases. He deals with all employment law aspects of Corporate Insolvency including acting for Administrators, Liquidators and Companies facing insolvency situations including Pre Pack Administration situations. Richard advises on all the individual and collective employment law obligations arising out of Insolvency situations and any subsequent restructures and/or business transfers including employee rights; the legal obligations concerning individual and collective consultation and the application of UK law relating to Collective Redundancies and the Transfer of Undertakings (Protection of Employment) Regulations. Sioned is a Solicitor in our Commercial team and completed her training contract at Capital. She then worked at a national firm based in Merseyside assisting with litigated matters before completing the LPC and LLM at Cardiff University.

Hannah is a Principal Associate in our Commercial Property Team. She advises on a range of commercial property transactions, especially landlord and tenant. Hannah has a broad range of experience including development work, real estate finance, and acquisitions and disposals of both freehold and leasehold properties. She has acted for a variety of clients in the public and private sectors, as well as clients based outside the UK acquiring property in England and Wales. She has experience in assisting the corporate department with commercial property aspects of corporate acquisitions. Hannah spent 6 months on secondment with Welsh Government following qualification.

Chloe started her training contract with Capital in September 2019 and qualified into our Corporate & Private Equity team in July 2021. She acts on all aspects of corporate work and has acted on a variety of transactions including acquisitions and disposals, and management buyouts. Prior to joining Capital Law, Chloe worked as paralegal processing a large case load of claims for NHS continuing healthcare funding. This role enabled Chloe to work closely with clients advising on decisions regarding patient funding. She was also able to gain experience in representing clients at NHS review panels.
Jonathan Walsh

Jonathan is a Principal Associate in our Employment and Immigration team, experienced in advising on all aspects of employment law. Prior to joining Capital Law, Jonathan trained and practiced at a specialist, niche education law firm. During this time Jonathan specialised in education law and civil litigation, regularly representing clients in the civil courts, and Special Education Needs and Employment Tribunals. Having brought this experience to Capital Law, Jonathan specialises in employment tribunal litigation and discrimination law, both in the private and public sector. Jonathan is often instructed in relation to complex and high profile employment tribunal claims, representing both claimants and respondents. Jonathan advises clients throughout the education sector, from foundation phase through to higher education. He represents clients on both sides of the fence, from schools and universities to individual teachers and school staff. Jonathan is currently supporting and advising schools on the significant changes to the additional learning needs system in Wales. He is regularly instructed by high profile individuals to negotiate and co-ordinate exit from both private and public organisations ranging from local authorities to FTSE 100 companies. Jonathan delivers training to clients both on general employment law and tailored training on specific issues. He also participates in pro-bono advice clinics, in Cardiff, assisting those seeking advice both as employees and employers. James is an Associate in our Commercial Disputes team. James specialises in advising sports teams on commercial and contractual claims and regulatory and disciplinary disputes. He is active in disputes across all sports but has particular expertise in football. In addition to his sports practice, James assists clients with commercial and media disputes. He provides advice on reputation management and assists clients with responding to negative media coverage and crisis planning. He also advises content creators on errors and omissions, pre-broadcast and publication clearance, and the OFCOM Broadcast Codes. James sits on the board of the Swansea City Supporters’ Trust, which owns a minority stake in Swansea City Football Club.

Melanie is a Principal Associate in our Corporate & Private Equity team, and focuses on acquisitions, disposals, management buyouts, private equity transactions, joint ventures and investments. She also advises on distribution agreements, sale of goods and services agreements and terms and conditions. She acts for private equity funds, management teams, from start-ups to large listed companies, directors and individual shareholders. She has worked on both the buy-side and the sell-side, cross-border and UK transactions, as well as advising on joint ventures and shareholder arrangements. Melanie has managed the disposal of multiple companies for a FTSE 100 PLC, and is expert in project managing acquisition and disposal processes.

Gareth is a Partner in our Corporate & Private Equity team. Gareth’s focus is on private equity, but he works on a broad range of corporate transactions. Gareth’s specialism is private equity – he advises management teams, private equity sponsors and portfolio companies. He also advises on general M&A, property investment (via corporate vehicles) and capital markets. Since joining Capital, he has acted on transactions backed by private equity houses such as WestBridge Capital, RJD Partners, GMT Communications and Development Bank of Wales. Before joining Capital, Gareth spent the best part of a decade in the City of London where he attended law school prior to training and qualifying at City firm, SJ Berwin. Prior to joining Capital, Gareth spent several years at US firm Reed Smith.
Garyn  Young

Garyn Young

Garyn assists the wider employment team with contentious and non-contentious employment work. With a keen interest in employment tribunal litigation and discrimination law, Garyn can assist employees and employees throughout the litigation process. He also provides practical advice on HR issues for employers and employees alike, contributing to and advising on complex employment investigations. He enjoys advising schools and individual teachers and staff on employment issues within the education sector. Garyn leads Capital Law’s pro-bono initiative in partnership with Cardiff’s LGBTQ+ Legal Clinic. The purpose of this partnership is to provide people within the LGBTQ+ community with ad-hoc legal advice on employment related issues. Garyn has written a number of articles that have been published in online publications – most recently answering the question: Can employers force employees to take the COVID-19 vaccine? In addition, he maintained the Coronavirus Job Retention Scheme FAQ’s, reviewing the ever-changing guidance and keeping Capital’s own online guidance up to date. Garyn is bilingual, capable of advising clients in either Welsh or English.
