BOSCA Law was founded in Ankara in 2002 by Süleyman BOŞÇA. Today BOSCA Law is one of the most prestigious and experienced full-service law offices in Turkey, practicing mainly in Ankara and İstanbul.

Areas of practice
Energy law: We devote our energy to our clients. Our team’s extensive knowledge and experience in the energy law and energy sector enable us to provide our clients with comprehensive legal assistance. Furthermore, our assessments and analysis about the legal risks that may be encountered by corporations investing in the power industry, as well as the banks and financial institutions financing power projects, enable our clients to cope with such risks easily.

We have a legal team specializing in the following sectors; electricity, natural gas, oil and LPG markets, renewables and mining-related regulatory advisory, M&A, project development, construction and installation, environmental requirements, and dispute resolution.

Our office provides legal consulting services to national and international power corporations since its inception. The scope of our legal services comprises following up licensing proceedings, preparing preliminary legal examinations and due diligence reports, drawing up and negotiating project finance agreements in power investments, preparing shareholders agreements, share purchase agreements and engineering, procurement and construction (EPC) agreements, Energy Performance Contracts and interpreting existing agreements, developing offtake agreements, preparing applications to Competition Authority, carrying out administrative procedures, conducting expropriation actions and settlement of disputes.

Data protection: We offer clients comprehensive compliance plans composed of technical, legal and administrative measures as well as training programs that aim to bring clients’ businesses in line with the requirements of Law No. 6698 and other legislation such as regulations and notices. Our team provides this through its deep knowledge of personal data protection law as well as its partnerships with IT companies with specific technical expertise in the field. This combination of legal and technical expertise means our clients receive all-inclusive services regarding compliance with data protection requirements.

Commercial, corporate and M&A: We are aware of the rapidly changing and developing nature of commercial life and provide the necessary legal information and support to our clients. The legal services we provide to our customers in the commercial and corporate law, which regulates commercial activities at every stage of production, trade and consumption, include the preparation and amendment of the company’s main contracts, carrying out the trade registry procedures, negotiation agreements preparing and drawing the general assembly procedures required by companies.

We are also experienced in all actions and transactions at all stages of M&A, ranging from preliminary legal examinations and due diligence to bidding, share purchase agreements closures. We provide legal consulting services to our clients in M&A, comprising preparation of legal examination and due diligence reports, issuing and negotiating share purchase agreements, conducting Competition Authority proceedings and closure transactions.

Project financing: We exercise our experience in various fields of law, to manage such complexity and furnish an effective consulting service to our clients. Our office provides additional legal services, pertaining to all aspects of financing and capital markets. As many power, construction and other infrastructure projects to which we provide legal services, require finance, legal assistance of our office remains in place, also at the stage of project financing. Our attorneys-at-law develop, issue and negotiate financial agreements, underlying project financing.

Banking and finance: Our office furnishes legal consulting services and supports banks and other financial institutions concerning general banking issues. Legal consulting services provided to clients we represent in banking and financial matters, banks and other financial institutions, comprise preparation and negotiation of agreements relating to the provision of bridging loans, general credit agreements and financial leasing agreements, individual and corporate banking, and international credit transactions, deposits, special facilities, letter of credits, payment against receipt, depositing, preservation and leasing, Islamic finance as well as securities and facilities.

Competition: We represent our clients in cartel or abuse of dominance investigations, representing our clients in antitrust disputes before Turkish courts, compliance and sanctions and advising on any competition law related matter.

Privatization: Our office provides legal consulting services to our clients, with respect to all stages of the privatization process, working principles of privatization administration, preliminary stages of bidding, application for approval of the Competition Authority.

Dispute resolution and arbitration: Our office provides legal assistance both at courts and international arbitration tribunals, for resolution of administrative and commercial disputes of national and international corporations especially in the energy sector. We provide both petitioners and respondents with legal services pertaining to preparation of petitions, attending hearings and exercising legal remedies. Our office further serves assistance with respect to obtaining injunctive relief orders and collection of receivables, through enforcement proceedings and amicable settlements that are achieved by our clients.

Public tenders and contracts: We have extensive experience in public procurements and contracts. The legal consulting services we provide to our clients, with regard to public procurement proceedings, comprise matters such as examination of tender specifications and contracts, filing of complaints and disputes pertaining to the tenders, exercising legal remedies against the decision of the Public Procurement Board and procurement law.

Sports law: We provide legal services to our clients in particular with respect to preparation and negotiation of agreements between footballers and clubs, receivables, discipline proceedings, fines and defending footballers’ rights arising from instructions in case they drop out of the squad.

Tax law: We are aware that every transaction has tax implications and provide our clients tax advisory and tax litigation services.

Intellectual property: We provide legal services in violation of intellectual and industrial property rights, including all aspects of trademark, patent, copyright, industrial designs, trade names, domain names, design and know-how before the Turkish Courts.

What do you see as the main points that differentiate [law firm name] from your competitors?

For over 20 years, BOSCA Law has been specialized in energy law and proven its expertise in this field, beginning with the period of the liberalization of the energy sector in Turkey. Our specific expertise in this area and the added value that we have provided to our clients in the energy sector is the most important point that differentiates us from our competitors. We keep track of all legal developments in the energy sector on a daily basis and provide support to lawmakers in drafting legislation. Can you give us a practical example of how you have helped a client to add value to their business?

The frequent amendments made to renewable energy investment legislation forces investors to shift their positions in a rapid manner. We worked with one of our client who has renewable energy investment in Turkey and we played a key role in solving his legal issue.

Also, in energy sector public authorities can frequently change arrangements regarding contracts. In this respect, we provide legal guidance to possible disputes of energy firms who are medium to large scale players.

We have helped many clients engage in more profitable investments and obtain better returns (and make more money) through our commitment to keeping ourselves updated on energy legislation and notifying our clients about possible changes in a timely fashion.
