Partnership Law

Fox & Partners is engaged by partners/members and partnerships and LLPs within the legal, insurance and financial services markets (including hedge funds, asset management and private equity), where there are not only high value financial issues at stake, but also regulatory and reputational issues to consider.

The firm has undertaken litigation in multiple jurisdictions, including a cross-border case involving the issuing of proceedings in both the High Court and Employment Tribunal, as well as arbitration, relating to the shock expulsion of an LLP member and forfeiture of carried interest in a private equity fund.

Fox & Partners receive regular instructions from LLP members in the financial services sector to deal with issues at the cutting edge of partnership law, including relating to discretionary decision making to expel or retire partners with the consequent loss of multi-million pounds of carried interest.

Acting for partners/LLP members and firms bringing and defending discrimination and whistleblowing allegations is a core area of the firm’s practice.

The firm has been instructed on a number of high profile matters, including complex investigations, against a backdrop of the pressures on law firms to stamp out harassment and discrimination. Fox & Partners has undertaken employment litigation in multiple jurisdictions and across a variety of forums, with a cross-border case in particular involving the issuing of proceedings in the High Court and Employment Tribunal for breach of contract and whistleblowing, as well as in the US courts.

The firm is often instructed on business protection and team move cases across a variety of sectors and regularly provide the full spectrum of advice, including initial review of express and implied restrictions, advice on fiduciary duties and the law relating to confidentiality, coordinating the interrelationship with other participants’ advisers through to bringing and defending injunctions. A recent highlight was advising a high-profile entrepreneurial business on recruiting a number of employees from a litigious competitor whilst minimising their exposure to claims.

Fox & Partners is regularly instructed by employees and employers bringing or defending high value and sensitive discrimination and whistleblowing claims and have seen may through to a final Employment Tribunal hearing.
