How we work: At Wigge, we work in small teams, tailored for each matter, with an experience partner taking a hands-on role in each project. We often provide advice and transaction support throughout the whole process, from early strategic planning of commercial and structural matters and negotiations to formalising the terms and implementation. We have well-established partnerships with leading experts and law firms within all practice areas that are not covered by our own in order to provide full-service solutions for each transaction. As we operate in markets where the transaction flow is high, we have a solid understanding not of the legal aspects, but also of business trends and market practice.

Long-term relationships: Each client of ours is a key client. We choose our clients with care and invest considerably in our relationships in order to maintain long-term collaborations based on trust and integrity.

Our history: Wigge was founded in 2015 by five partners from one of Sweden’s leading full-service law firms. Today we are more than 40 colleagues of which ten are partners. Acknowledging that our people is our core, we put great emphasis in creating and maintaining a pleasant and sustainable corporate culture.

Areas of practice: Wigge strongly believes in the value of effective project management, handled by a senior lawyer truly dedicated to and involved with the client’s project. The firm has the resources and capability to co-ordinate projects from early strategic planning and structuring through to completion.

M&A: privately negotiated mergers and acquisitions, joint ventures, equity capital raisings and related transactions, from strategic and structuring issues through due diligence to negotiating sale and purchase agreements as well as financing arrangements.

Banking and finance: an extensive range of banking and finance transactions, including syndicated and bilateral loans, acquisitions, real estate, structured and project finance transactions, restructuring, securitisations, leasing and other special situations as well as regulatory matters. The firm acts on behalf of borrowers and lenders on senior, mezzanine and subordinated debt financing arrangements.

Corporate and commercial: all areas of general corporate law, acting for shareholders, boards of directors and senior management on shareholder and board meetings and issues such as compliance, minority shareholder protection, capital protection and directors’ liability and related corporate governance matters.

Capital markets and public M&A: a complete range of experience from advising domestic and international clients – financial advisors, banks, corporates, private and institutional investors – on all types of ECM and DCM transactions, Public M&A and restructurings as well as related company law, corporate governance, regulatory, risk and compliance issues. Our team has both a buy- and sell side background from corporate- and investment banking and legal practice which provides us with a solid platform to provide well-balanced and insightful advice to our clients.

Real estate: all stages of real estate transactions, from strategic and structuring issues through due diligence to negotiating sale and purchase agreements, financing agreements and security arrangements. Wigge & Partners also advises on a wide range of other real estate issues, such as leasing, project development, club investments and the establishment of real estate funds.

Funds and investments: We advise clients in the areas of alternative investments, private equity and other long term JV structures such as investment companies and real estate clubs. Our team has more than 20+ years of experience within this field. Regular assignments include acting for founder/management teams or investors in the formation, negotiation and restructuring of joint ventures, co-investments, real estate clubs, real estate funds and private equity structures as well as acting for institutional cornerstone or minority investors on the global market for alternative investment funds within such fields as real estate, infrastructure, credits, buyout and venture capital.

Employment and benefits: We advise public and private companies on the full range of employment and benefit issues in connection with mergers and acquisition and restructuring, including matters such as recruitment and hiring, agency and contractors arrangements, incentive plans and remuneration packages, transfer of employees, disciplinary actions and termination of employments. We represent clients in negotiations with trade unions and labour-related disputes such as litigation and arbitrations proceedings. As part of our practice, we also support management and HR-departments on a day-to-day basis on different employment issues that may arise.
