GSK Stockmann advises on CANYON restructuring

GSK Stockmann advised one of the financiers on the restructuring of the CANYON office property project in Frankfurt’s city centre. The project of Munich-based property developer CV Real Estate AG gained a joint venture as its new majority shareholder. The CANYON office property project planned by Munich-based project developer CV Real Estate AG in a prime city centre location in Frankfurt has found a new investor in the joint venture between Tite Street Capital as asset manager and another financier. The joint venture is taking over the project from CV Real Estate as the new majority shareholder. GSK Stockmann advised one of the financiers involved on the restructuring under German and Luxembourg law with a focus on negotiating the notarial restructuring agreement and the agreement with the other financiers. The complex financing structure of the special purpose vehicle (SPV), the large number of financiers and investors and reconciling the various stakeholder interests posed a particular challenge. As part of the restructuring agreement, the capital structure of the CANYON project was reorganised and adapted to the current market situation. Financing throughout the prolongation phase was secured by a qualified subordinated shareholder loan from the new majority shareholder. Just over a year ago, the city of Frankfurt had granted the building permit for this project at Mainzer Landstrasse 23. The demolition of the old building on the property has been completed. The planned new building is to receive LEED Platinum and Wired Score certification. The design for the mixed-use property, which includes office, retail and catering space, was created by KSP Engel Architekten. CANYON will have 15 floors with around 36,000 sqm of rental space. The successful repositioning of the project was carried out together with the restructuring consultant Wilhelm Hammel as Chief Restructuring Officer and interim managing director with the support of CV Capital Partners.

The companies create the combined business Essor in the USA as a fully digital CPG platform. GSK Stockmann advises MB Park and Isarkies on real estate sale

GSK Stockmann advised MB Park Deutschland GmbH and Isarkies Wohn- und Gewerbegrund Holding GmbH on the sale of two properties in Idstein im Taunus. Frankfurt-based Local Partner Felix Bergfort was the lead on the project for GSK Stockmann, supported by Karolin Streser. The first of the two properties sold is a logistics facility and part of the first construction phase of a brownfield development. The building, located at Richard-Klinger-Strasse 8b, was completed and handed over to the tenant in June 2024. Built in accordance with the DGNB Gold sustainability standard, the logistics building comprises 10,630 sqm of warehouse space as well as 870 sqm of mezzanine space and 810 sqm of office and recreational space. The 23,700 sqm site also offers users 80 car parking spaces. Ownership of the logistics complex, which is let on a long-term lease to Ernst Schmitz Logistics & Technical Services GmbH, was transferred to a family office based in the Rhine-Main region in August 2024. The second property, a production building located on a 5,650 sqm site at Richard-Klinger-Strasse 8a, was sold to a local investor. Completed in 2016, the existing building has 2,000 sqm of production, warehouse and office space and will be used by ElringKlinger AG on a long-term basis. GSK Stockmann advises MB Park and Isarkies on the sale of another logistics project

GSK Stockmann advised the joint venture of MB Park Deutschland GmbH and Isarkies Wohn- und Gewerbegrund Holding GmbH on the sale of a further logistics property in Idstein im Taunus. The buyer in this case is HIH Invest Real Estate, which acquired the property on behalf of the special fund HIH Deutschland+ Core Logistik Invest. Frankfurt-based Local Partner Felix Bergfort was the lead on the project for GSK Stockmann, supported by Karolin Streser. Construction of the logistics property on the 15,709 sqm site at Richard-Klinger-Strasse 8 began in summer 2024 and is scheduled for completion in the third quarter of 2025. The development has a total lettable area of 9,414 sqm, which is divided into 8,627 sqm of logistics space, 338 sqm of office and recreational space and 449 sqm of mezzanine space. The property is equipped with a heat pump and electric charging stations for cars and bicycles, as well as attractive recreational areas for employees. A photovoltaic system will be installed on the entire roof area to supply electricity to the tenant. The property will provide a total of 62 car parking spaces, eight of which will have electric charging points. The building is being constructed according to a sustainable concept that meets the DGNB Gold standard. The long-term tenant is Ernst Schmitz Logistics & Technical Services GmbH, a medium-sized logistics company which already has nine locations in the Rhine-Main region. GSK Stockmann advises Cresco on acquisition of office complex

GSK Stockmann advised Berlin-based Cresco Real Estate on the acquisition of an office complex in Weissensee in the Berlin district of Pankow. A team led by partner Martin Prothmann provided Cresco with comprehensive advice on the acquisition of the office building. Cresco Real Estate and its joint venture partner Tikehau Capital are acquiring the 30,000 sqm office complex in the Berlin neighbourhood of Weissensee from a private individual as part of an off-market transaction. Built in 1998, the property is located on DGZ-Ring in Berlin-Weissensee and is fully let to the German Institute for Federal Real Estate (BImA). As a joint venture, Cresco and Tikehau intend to jointly invest in measures to make the existing property more sustainable in line with the EU taxonomy, including improving the energy efficiency of the property. GSK Stockmann hat Cresco Real Estate mit Sitz in Berlin beim Erwerb eines Bürokomplexes in Weißensee im Berliner Bezirk Pankow beraten. Ein Team um den Partner Dr. Martin Prothmann beriet Cresco umfassend beim Erwerb der Büroimmobilie. GSK Stockmann provided comprehensive legal advice to MLP SE on the development of a new building complex in Reutlingen. The main tenant will be the MLP subsidiary RVM Versicherungsmakler GmbH. The MLP Group is developing a project in Marie-Curie-Strasse in Reutlingen, consisting of two buildings with an area of 3,743 and 1,678 sqm respectively. The project is scheduled for completion in 2026. Die MLP-Gruppe realisiert ein Projekt mit zwei Gebäuden in der Marie-Curie-Straße in Reutlingen. Das Projekt soll 2026 fertiggestellt werden. Die beiden Gebäude umfassen 3.743 und 1.678 Quadratmeter. GSK Stockmann provided comprehensive advice to Unmüssig Bauträgergesellschaft Baden mbH on the acquisition of the SilberburgQuartier in Stuttgart and the planned remodelling and development of the ensemble. GSK Stockmann hat die Bayerisches Immobilien Kontor GmbH (BAYIKO) bei der Finanzierung des Umbaus des ehemaligen Quelle-Versandzentrums in Nürnberg beraten. Mit der Finanzierung kann die Neugestaltung eines Großteils des ehemaligen Quelle-Areals in Nürnberg starten. Der Umbau wird zahlreiche Wohnungen und Gewerbeeinheiten schaffen und so einen weiteren Teil des seit der Quelle-Insolvenz im Jahr 2009 leerstehenden Versandzentrums wieder nutzbar machen. Die HypoVereinsbank finanziert die erste Phase der Baumaßnahmen mit 98 Millionen Euro. GSK Stockmann hat BAYIKO mit einem Team um die Münchner Partnerin Dr. Alma Franke bei der Finanzierung beraten. Die Finanzierung der zweiten, abschließenden Phase haben HypoVereinsbank und BAYIKO ebenfalls vereinbart. BAYIKO wird den „Bauteil 5“ an der Ostseite des denkmalgeschützten Areals in der Wandererstraße 80 neu gestalten. Das künftige Quartier wird auf 32.500 Quadratmetern insgesamt 379 Wohnungen, sechs Gewerbeeinheiten und eine Kindertagesstätte bieten. Die Arbeiten sollen 2029 abgeschlossen werden. GSK Stockmann advises BAYIKO on real estate financing

GSK Stockmann advised Bayerisches Immobilien Kontor GmbH (BAYIKO) on the financing for the conversion of the former Quelle distribution centre in Nuremberg. Now that the financing has been secured, work can begin on the redevelopment of a large section of the Nuremberg site previously occupied by the mail order company Quelle. The conversion will create a large number of apartments and commercial units, as well as repurposing another section of the former distribution centre, which has been vacant since Quelle went into administration in 2009. HypoVereinsbank is providing 98 million euros to finance the first phase of construction. A GSK Stockmann team led by Munich partner Alma Franke advised BAYIKO on the financing. HypoVereinsbank and BAYIKO have also reached a financing agreement for the second and final phase of the project. BAYIKO plans to redevelop “Building Section 5” located on the east side of the listed site at Wandererstrasse 80. The future neighbourhood will offer a total of 379 apartments, six commercial units and a daycare centre over a total area of 32,500 sqm. Construction is scheduled for completion in 2029. GSK Stockmann advised Hines on the acquisition of the “ESSENtial” logistics property in Essen-Kray. A team led by Munich-based partner Andreas Eichler provided support throughout the transaction and the negotiations concerning the purchase agreement. The “ESSENtial” logistics property comprises approximately 14,000 sqm on a site with a total area of around 35,000 sqm. The property is part of the Medion Technology Campus in Essen’s Kray district. Upon its completion in 2015, the DGNB Gold-certified core property was already equipped with a geothermal energy system as well as a ventilation system with heat recovery. Hines has acquired the property for its open-ended Hines European Core Fund (HECF). Carsten Rumberg has joined the London team of commercial law firm GSK Stockmann as Of Counsel. GSK Stockmann’s London office opened its doors in autumn 2022, and its steady growth has already made a significant contribution to the firm’s international development. New clients acquired by the London office, such as Virtus Data Centres, are being advised on a wide range of issues on major projects in Germany. In London, Carsten Rumberg will work closely with York von Massenbach and the international team at GSK Stockmann. He brings with him an extensive network of contacts in the UK, Germany and internationally and will actively support business development at the London office. Carsten Rumberg has lived in London for almost 30 years, during which time he has worked at two international law firms in the City, becoming a partner in 2003. Commercial law firm GSK Stockmann has moved into new offices at Europaplatz 3 in Heidelberg. The firm will continue its current growth trajectory in 2,300 sqm of new office space located close to Heidelberg city centre. GSK Stockmann has significantly expanded its presence at its founding location in Heidelberg in recent years, including the addition of two real estate teams led by partners Martin Prothmann and Frederic Jürgens. Deka setzt mit rechtlicher Unterstützung von GSK Stockmann Zukunftskonzept für ihre Standorte in Frankfurt um

Ein Team von GSK Stockmann, geleitet von den Partnern Prof. Dr. Oliver Moufang und Felix Bergfort,hat die Deka über mehrere Jahre bei der Neuausrichtung ihrer Standorte in der Bankenmetropole Frankfurt am Main umfassend in allen Fragen des Miet-, Werkvertrags- und Baurechts beraten. Kern des Zukunftskonzeptes der Deka waren die Anmietung eines neuen Gebäudes in Frankfurt-Niederrad mit einer Fläche von ca. 50.000 Quadratmetern und die Anmietung einer Fläche von ca. 16.000 Quadratmetern im sogenannten T1 des Hochhausprojektes FOUR im Frankfurter Bankenviertel. Parallel zu diesen beiden Neuanmietungen beendete die Deka, unterstützt von GSK Stockmann, ihre Mietverhältnisse über die bisherigen Hauptquartiere nach langjähriger Nutzung. Deka implements future concept for its Frankfurt locations with legal support from GSK Stockmann

A GSK Stockmann team led by partners Oliver Moufang and Felix Bergfort advised Deka over several years on the reorganisation of its locations in the German banking metropolis Frankfurt am Main. The firm’s comprehensive advice covered aspects of tenancy and construction law as well as the law on contracts for work and services. Deka’s future concept centred on the leasing of a new building in Frankfurt’s Niederrad district with an area of approx. 50,000 sqm and the leasing of approx. 16,000 sqm of space in the T1 tower in the FOUR skyscraper project in Frankfurt’s banking district. In parallel with these two new leases, Deka, with support from GSK Stockmann, terminated the leases for its previous headquarters after many years of use. The corporate law firm has promoted three lawyers to Local Partner and six to Counsel with effect from 1 January 2025. Her key practice areas are in real estate law, in particular asset management in the context of complex and high-volume commercial leases for a wide range of uses (including data centres and in connection with insolvency law) as well as real estate transactions (asset/share deals, portfolios and development properties, including forward deals). She has also played a leading role in the development of GSK’s legal tech products in the real estate sector. Stephan Wachsmuth studied law, with a specialism in tax law, at the Universities of Heidelberg and Neuchâtel. During his legal traineeship with the Karlsruhe Higher Regional Court, he completed placements at several of the Big Four audit firms and at the European Parliament. After completing his second state examination in 2017, he initially worked as a senior tax official (head of the tax investigation department at the Pforzheim tax office) and completed a postgraduate degree (LL.M.) in tax law at the University of Potsdam while working as a civil servant. He joined GSK Stockmann after being admitted as a lawyer in Germany in 2020. In 2023, he was also admitted to practise as a tax adviser and as a certified specialist for tax law. Dr Jörg Wünschel studied law at the University of Freiburg and art history at the Universities of Freiburg, Karlsruhe, Heidelberg and the Courtauld Institute of Art, London. During his doctoral studies, he worked as a research assistant at the Centre for Applied Legal Studies at the University of Karlsruhe and was a visiting scholar at Columbia Law School. His legal traineeship with the Berlin Higher Regional Court included placements at the Prussian Cultural Heritage Foundation and two leading German law firms. He was admitted to practise law in Germany in 2018 and joined GSK Stockmann in the same year. His primary areas of practice are intellectual property law and digitalisation law as well as copyright and art law. Promoted to Counsel: Theresa Jakob has worked as a lawyer at GSK Stockmann since being admitted to practise law in Germany in 2017. She studied at the University of Erlangen-Nuremberg and at the Université de Rennes 1, graduating with a Maître en Droit. With a team led by Berlin partner Robert Korndörfer, GSK Stockmann provided comprehensive legal advice to Deutsche Giga Access GmbH, a portfolio company of Deutsche Beteiligungs AG, on the sale of Northern Access GmbH (Northern Access) and GIM Glasfaser Infrastruktur Management GmbH (GIM). Buyer is Strategic Fiber Networks GmbH (SFN) in Schwäbisch Gmünd, a portfolio company of the infrastructure investor iCON Infrastructure. Northern Access and GIM jointly supply large parts of the district of Nienburg as well as the neighbouring communities of Neustadt am Rübenberge, Gehrden, Seelze and Petershagen with broadband internet. The acquisition continues the consolidation phase of the fibre optic market. SFN plans to upgrade the existing networks and supply the district of Nienburg and the neighbouring municipalities with a high-performance fibre optic network. NGN Telecom GmbH, also a subsidiary of Strategic Fiber Networks GmbH, provides the Lüchow-Dannenberg district and parts of the Lüneburg district with internet and telecommunications services via high-performance fibre optic networks in large areas of Lower Saxony. The sellers are the Belgian private equity investment company Gimv and the founders Armin and Karl Köberl, who will remain shareholders and managing directors of the Köberl Group. GSK Stockmann advises FinCompare on acquisition of Compeon

A team led by Heidelberg partner Jens Uwe Rügenhagen advised FinCompare GmbH,Germany’s leading financing platform for small and medium-sized enterprises (SMEs), on its acquisition of Compeon GmbH. Compeon underwent a successful reorganisation under the management of the Dock Financial Group, which it became a part of at the end of 2022. FinCompare is acquiring the financing portal Compeon from the insolvent Dock Financial GmbH by way of a share deal. The merger will create the leading digital broker of financing and leasing products in the German SME segment. The acquisition will therefore enable FinCompare to significantly strengthen its own market position and expand both its existing range of financing products and its network of banks and brokers. In addition to the network effects, the company anticipates significant growth from the increased opportunities and pooling of expertise. GSK Stockmann advises DER bogen on letting offices to Capgemini

A GSK Stockmann team led by Munich partner Andreas Eichler provided comprehensive tenancy and tax law advice to DER bogen GmbH & Co.KG in connection with the letting of 14,000 sqm of office space in Bogenhausen to the consulting firm Capgemini. The deal is one of the largest private leases for office space to be signed in Munich in recent years. The new business campus “DER bogen” on Munich’s Prinzregentenstrasse has been under construction for around three years and is part of the technology hub in the city’s eastern Bogenhausen district. DER bogen GmbH & Co KG expects the office space for the new major tenant to be completed by the end of 2025. Capgemini will occupy one of the four building sections of “DER bogen” in accordance with the house-in-house concept. The rental space itself is to be customised and, in addition to functional office units, will include conference areas, rooms for holding workshops with external clients and communication hubs. GSK Stockmann advises Siemens on sale of “The Move Blue” office building

A GSK Stockmann team led by Munich partner Dirk Brückner provided comprehensive advice to Siemens Real Estate on the sale of the office building “The Move Blue” in Frankfurt. Comprising approximately 24,400 sqm of lettable space, this major sale-and-leaseback transaction brokered by CBRE and BNP Paribas Real Estate was one of the largest in the city in 2024. The building, which is located near the airport and is home to Siemens’ Frankfurt office, has been sold to Strabag Hold Estate. Siemens completed the building together with its counterpart, “The Move Orange”, in 2023 as part of an office complex in Gateway Gardens, a commercial district located in the immediate vicinity of Frankfurt Airport. The parent company Siemens moved in as the main tenant, with its Frankfurt branch occupying approx. 15,000 sqm of space. Only around 2,000 sqm are currently available, as all other office space is let on long-term leases. The entire “The Move” complex is LEED Platinum, DGNB Gold and GRESB certified and is fully accessible. The transaction was brokered by CBRE and BNP Paribas Real Estate. The commercial law firm advised handly GmbH from Berlin on a series-seed financing round. The EUR 3.75 million round was led by Stride Capital and 20VC. A GSK Stockmann team led by Munich partner Stephan Wachsmuth advised Giesecke+Devrient Grundstücksgesellschaft mbH & Co. KG and DER bogen GmbH & Co. KG on the tax structuring of a new development project in Bogenhausen. The “DER bogen” business campus, located in the vicinity of the security and technology company Giesecke+Devrient GmbH in the east of Munich, has been under construction since spring 2020. GSK Stockmann provided comprehensive tax advice for the entire duration of the project. The team’s advice mainly focused on the tax implementation and structuring of an area that was previously part of the Giesecke+Devrient’s headquarters and is now to be used for the construction of “DER Bogen”, a real estate project with a total GFA of 43,000 sqm. GSK Stockmann provided support on a wide range of real estate tax issues, including income tax and real estate transfer tax, as well as procedural issues relating to real estate law and the associated contract drafting. GSK Stockmann advised AXA IM Alts / ACCUMULATA on the letting of around 4,800 sqm of office space in the Munich building project “The Stack” to Novartis Pharma GmbH.  The GSK Stockmann team was led by Munich partner Monique Franke and advised the lessor comprehensively on project development and the lease, including on developing a concept of modern workplaces. GSK Stockmann advises Colt Technology Services on sale of data centres

GSK Stockmann, working with a team of other firms including Troutman Pepper Locke, advised global digital infrastructure company Colt Technology Services on the sale of six of its data centres to NorthC, a data centre operator headquartered in the Netherlands. As part of the deal, Colt will also divest two of its other data centres in London to NorthC’s majority owner DWS Group. The eight data centres included in the transaction are in Amsterdam, Berlin, ‎Düsseldorf, Frankfurt, Hamburg and Munich, as well as the two in London. The data centres were part of the ‎assets Colt gained with its acquisition of Lumen EMEA in 2023. GSK Stockmann, working with Troutman Pepper Locke and a team of further local counsel and instructed by Nadine Ramasamy, Alex Galtieri and Annarita Spena of Colt, advised on the German real estate aspects of the deal and also on Colt’s ongoing partnership with NorthC. GSK Stockmann advised Art-Invest Real Estate on the sale of the Momenturm office building, located in Munich’s Werksviertel district, to Generali. The European commercial law firm has provided ongoing support to Art-Invest Real Estate with the project since the initial acquisition of the property. Art-Invest Real Estate has sold the Momenturm project to Generali Deutschland. The transaction was carried out by Generali Real Estate S.p.A. on behalf of Generali Deutschland. The existing approx. 11,000 sqm of office space in the building, located at Rosenheimer Strasse 139, just a stone’s throw away from Munich Ostbahnhof, is to be extended to around 28,000 sqm. Generali Deutschland plans to use the building as its new corporate headquarters, with 1,500 employees expected to be relocated there. GSK Stockmann advises Merz Objektbau on sale of residential development in Heidenheim to VALUES Real Estate

GSK Stockmann provided ongoing advice to Merz Objektbau GmbH throughout the project, as well as on the sale by way of a forward deal of a residential development already under construction on Kleebühlweg in Heidenheim-Nord. The buyer, VALUES Real Estate, intends to incorporate the project into the newly launched “VALUES Impact Living” fund for subsidised housing (special AIF in accordance with Art. 9 SFDR). The new residential quarter will comprise around 4,380 sqm of rental space, containing a total of 61 one- to five-room flats and the corresponding number of parking spaces. Completion is scheduled for the second quarter of 2026. The project will be constructed using a serial timber hybrid method and has been designed to meet the KfW 40 energy efficiency standard. All flats will be wheelchair accessible and have balconies or terraces and fitted kitchens. The focus is on providing housing for middle-class tenants who are eligible for subsidised housing (WBS). The starting rent is EUR 8.50 per square metre, around 40% below the comparative rent for the local area. GSK Stockmann advises Adler Group on the sale of the Holsten Quartier project in Hamburg

GSK Stockmann provided the Adler Group with legal advice on the sale of the “Holsten Quartier” development in the centre of Hamburg’s Altona district. The project, which covers an area of around 87,000 sqm, was sold to a consortium of Hamburg-based companies consisting of Quantum and HanseMerkur Grundvermögen, in cooperation with SAGA. Thanks to its unique scale and location in Hamburg, the Holsten Quartier is one of the north German city's most high-profile projects. The Adler Group views this transaction as a stepping stone towards dedicating more attention to, and further developing, its residential rental portfolio in Berlin. Located in the heart of Hamburg’s Altona district, the site is set to be transformed into a vibrant urban neighbourhood, with parts of the historic architecture being preserved and incorporated into the new design. Upon completion, which is expected from 2030 onwards, the project will offer approximately 2,000 flats for more than 5,000 residents. The transaction is expected to be completed in the first quarter of 2026. GSK Stockmann advised Catella Investment Management GmbH on the acquisition of two developments in the “Liesel Quartier” in Göttingen. The two planned residential buildings, including a day-care centre, in the “Liesel Quartier” development in Göttingen were acquired on behalf of an individual client. The seller is WERTGRUND Wohnpartner GmbH, a joint venture between Wertgrund Immobilien AG and Bautra GmbH. WERTGRUND Wohnpartner is also acting as the project developer for the new neighbourhood. The Liesel Quartier development will involve the construction of around 570 apartments with a total living space of 44,000 square metres in several phases on a site covering around 37,000 square metres. Approximately 40% of the apartments will be subsidised, offered at reduced rates or subject to rent controls. Construction is set to begin in December 2025, with completion scheduled for 2027. The transaction concerns the acquisition of buildings H40 and H50 on the southern part of the construction site. They comprise a total of 118 privately financed apartments, ranging in size from 41 to 86 square metres, with a total rental area of 7,810 square metres, as well as an underground parking garage. The planned five-storey buildings will be constructed to the German Efficiency House 40 (EH 40) standard and will be connected to the district heating network operated by Göttingen’s municipal utility company. The residential complex was acquired on behalf of the public real estate AIF Catella European Residential (CER). The seller is OTTO WULFF Projektentwicklung GmbH. The six-storey building comprises 37 apartments with a total living space of approximately 3,000 square metres, as well as an underground parking garage with 21 parking spaces. The property also offers 106 bicycle parking spaces. The building meets the EH 55 energy efficiency standard (KfW 55) and is connected to the local district heating network. GSK Stockmann provided comprehensive legal advice to Art-Invest Real Estate on a new long-term lease agreement with Süddeutscher Verlag for a large volume of office space in the SZ Tower in Munich. The SZ Tower is a landmark high-rise building located at Hultschiner Strasse 8 in eastern Munich. The building has a total area of approximately 21,490 square metres, with a lettable area of around 54,500 square metres GFA. Since its completion in 2008, the building has been used exclusively by the German media company Süddeutscher Verlag. The new lease represents a key milestone in the strategic transformation of the building into a modern, multi-tenant property. As part of the planned redesign, the SZ Tower will be modernised and adapted for new uses. Art-Invest Real Estate aims to update the property to meet the demands of the modern workplace by introducing a cutting-edge usage concept including shared amenities, such as modern conference and catering areas, fitness facilities and New Work spaces. GSK Stockmann advises nyoo on acquisition of redevelopment site for new residential neighbourhood in Schorndorf

GSK Stockmann provided Nyoo Real Estate GmbH, a subsidiary of the Instone Group, a residential developer operating throughout Germany, with legal advice on the acquisition of an approximately 9,700 sqm site near Stuttgart. nyoo plans to build an energy-efficient residential neighbourhood with 120 apartments on the site. A GSK Stockmann team led by partner Dr Martin Prothmann provided nyoo with transaction advice on the purchase of the redevelopment site in Schorndorf’s Weiler district. Following the partial demolition of the existing buildings and the planned removal of sealed surfaces, the site, which was previously used for commercial purposes, is to be redeveloped into an energy-efficient residential neighbourhood with around 120 apartments. The project is intended to support key urban development objectives of the town of Schorndorf. The seller is Oskar Frech GmbH + Co KG, which will continue to use its founding building located on the site. Construction is planned to commence at the start of 2028. Particular importance is placed on the sustainable development of the site, with heat pumps and photovoltaic systems forming an integral part of the energy concept. The design will also incorporate extensive green roofs to support the local microclimate. The plans are based on the KfW Efficiency House 40 standard, with the aim of ensuring stable operating and ancillary costs over the long term. GSK Stockmann advises Deka Immobilien on a long-term lease with E.ON in Munich

GSK Stockmann provided Deka Immobilien with comprehensive advice on the leasing of approximately 21,300 square metres of office space in the “An den Brücken” property at Landsberger Strasse 84-90 in Munich to the E.ON Group. The lease was signed in February 2026, and the tenant will be able to move into the first section of the rented space from January 2027. Following the conclusion of this deal, the approximately 23,000 sqm of office space available in the six-storey building is once again fully let. For GSK Stockmann, this transaction is part of a long history of advising Deka in connection with the “An den Brücken” property. GSK Stockmann advises Deutsche Beteiligungs AG on investment in TNL Group

GSK Stockmann advised Deutsche Beteiligungs AG (DBAG) on its acquisition of a majority stake in the TNL Group (TNL). TNL specialises in environmental planning and permitting consulting in the field of energy and transport infrastructure. DBAG ECF IV, a fund advised by DBAG, is acquiring a majority stake in TNL as part of a management buy-out. The transaction is subject to regulatory approvals. A multidisciplinary GSK Stockmann team led by Berlin-based partner Robert Korndörfer provided comprehensive advice on the transaction. The firm’s in-depth knowledge of the energy industry, coupled with its many years of experience in the German SME sector, played a crucial role. GSK Stockmann advises OHB on joint satellite project with Rheinmetall

GSK Stockmann provided antitrust and public procurement law advice to the Bremen-based space technology company OHB SE in connection with a joint satellite project with Rheinmetall Digital. Once approved by the relevant merger control authorities, the joint venture could soon be working on a communications satellite network for the German Federal Ministry of Defence, should it be awarded the contract. The GSK Stockmann team, led by partners Dr Jenny Mehlitz and Dr Simon Spangler, provided OHB SE with antitrust and public procurement law advice in connection with this important step towards the joint venture. The firm’s antitrust advice concerned issues relating to project-based cooperation and transaction-related matters in particular. The public procurement team, meanwhile, focused on the structuring of the joint venture and preparation of the tender from a procedural law perspective, among other things. According to media reports, the satellite project, known as SATCOMBw 4, has a budget of billions of euros and is intended to provide the German Federal Armed Forces with secure communications, satellite-based data and real-time information. OHB is one of Europe’s most successful space companies and has significant expertise in developing and manufacturing navigation satellites, including “Galileo”. In this joint project, Rheinmetall will focus on integrating weapons systems with the satellite network. This is the largest procurement project in the German space sector to date. As part of the restructuring, the operating business was spun off into Westfalen AG & Co. KG. The long-established, family-owned company will operate under its new legal form from 1 July 2026. GSK Stockmann advised VIVAO Investment & Assetmanagement GmbH, based in Munich, on the long-term re-letting of the BOA VISTA office building in Hamburg.VIVAO has let around 3,300 square metres of office space, as well as storage space and underground parking spaces, in the BOA VISTA office building in Hamburg to FRANK Immobilien und Lebensformate GmbH.
