Areas of practice
Banking/finance/capital markets: KLC is advising international and local financial institutions, institutional investors, private equity and venture capital funds, in a wide spectrum of finance transactions ranging from project finance (financing & refinancing), corporate and acquisition finance, convertible debt, start-up financing, in the form of term loans, bonds loans (both syndicated and bilateral) and ancillary collateral arrangements as well as structuring of financial instruments. KLC also acts for banks and financial institutions in respect to regulatory and compliance matters (extending also on matters of digital banking), consumer credit and innovative investment and financial products.

The team has also experience in capital market matters, covering both regulatory (corporate governance, market abuse and disclosure requirements, cross-border marketing and provision of investment services) and transactional (mandatory take-over offers, public offerings) aspects.

Corporate law/M&As: Our services cover the entire spectrum of corporate and commercial law, from day-to-day operations and corporate governance matters to all types of commercial contracts and custom-made business projects. Our firm undertakes the assessment, contract formation, negotiation and monitoring of the realization of all kinds of commercial transactions. We have extensive experience providing legal support to a wide range of clients, including some of the most prominent Greek enterprises and large multinational corporations, in respect of, among others, joint venture and cooperation agreements, set up and operation of sale and distribution networks, technology transfer agreements, development and management agreements.

On the M&A front, our team has traditionally been involved in all types of M&A work across several industries with a strong track record in cross-border transactions. We are selected by clients to handle complicated issues, where a combination of solid legal background and the ability to produce practical commercial solutions is required. By forming teams with well-selected members suitable to the needs of each case, we are able to successfully complete complex, large-scale transactions in a time-efficient manner. Our work covers the entire spectrum of M&A work, whether at the buyer’s or at the seller’s side, from the start of each transaction all the way to its completion. In this respect, the members of our team are involved from the early stages by playing an active role in the negotiations of the basic commercial and legal terms of each transaction and by identifying the optimum deal structure from a legal and tax point of view all the way to the performance of the legal due diligence, the drafting and negotiating of the transaction documents, the monitoring of CPs and closing.

Our prestigious litigation team includes two (2) university law professors, several well-versed legal practitioners as well as talented young legal professionals, all working in unison to provide our clients with pre-trial advice, advocacy, associated risk assessment and representation before all judicial forums.

Energy: KLC is one of the few law firms with substantial across-the-board experience in the Greek energy sector. We have dealt extensively with all transactional and regulatory aspects of oil, gas and electricity projects, including high profile privatizations on both buy and sell side, complex legal unbundling and regulatory projects, as well as acquisition, project development and financing of gas fired and renewable power projects in Greece.

Our strong and solid experience includes all segments of the energy industry and extends to the full range of activities from licensing and project development, drafting and negotiation of energy transaction agreements to advice on regulatory reforms and potential dispute resolution. EU law - Competition: KLC acts for its clients on free competition and state aid matters in legal due diligence exercises. They perform concentration’s notifiability assessments in M&A projects and represent their clients in notifications before the Hellenic Competition Commission (HCC) and the European Commission in cases of concentrations control. KLC also represents our clients before the European courts and the European Commission in relation to issues concerning free competition and state aid rules. They further act for our clients before EU and national regulatory authorities in cases of alleged horizontal or vertical collusions restrictive of competition. The team has also experience in advising on competition issues relating to market liberalization projects and privatization of public utilities.

Employment: KLC provides advisory legal services on all issues relating to the commencement, operation and termination of employment, and we represent our clients before national and EU courts on individual and collective labour disputes.

KLC's expertise covers personnel mobility and business restructuring issues, employment relations issues arising from privatisations, transfers, mergers, spin offs and business reorganisations, as well as conduct of due diligence within the context of M&A transactions. They work closely and on a daily basis with the Human Resources departments of Greek and multinational companies in order to promote labour policies as well as to support them in relation to internal investigations, disciplinary procedures and crisis management.

Public Law and Procurement: KLC's services cover the entire spectrum of public law issues, including administrative fines and sanctions, licensing, disputes on zoning and land use, expropriation issues as well as public contracts and procurement. Insolvency and Restructuring: KLC's Restructuring and Insolvency team holds extensive and multi-faceted experience in handling complex matters throughout the whole spectrum of insolvency and restructuring proceedings. They have successfully acted in advising investors in acquisition of performing and non-performing loans portfolios from banking institutions and servicers as well as debtors/stakeholders in adopting the optimum strategy for the restructuring and rehabilitation of accrued debt. Their services in this field are complemented by our experienced litigation practice, which has a successful track record in both collective insolvency proceedings and in complex, cross-border and multi-jurisdictional debt-recovery cases.
