Paksoy handles the full range of financing matters and capital market transactions. Financing expertise includes leveraged and acquisition finance, project finance, regulatory capital transactions, secured and unsecured loans, sub-loans, syndicated loans and Islamic finance products. Capital markets expertise includes IPOs, local currency bond issuances, restructuring of bonds, asset-based securities, establishment of funds and structured finance transactions and securitisations. The team advised Ziraat Bankası on its entry into a $1.4bn syndicated loan agreement with 44 banks from 22 countries. Other clients include ABC Islamic Bank, ArcelorMittal, Bank of America Merrill Lynch, Barclays and Volkswagen Financial Services. Project finance/projects Tier 1
Paksoy advises lenders, sponsors, institutional investors, contractors and operators in the power, oil and gas, infrastructure and healthcare sectors. It is adept at handling PPP projects, advising on contracts, permits and authorisations, administrative law, litigation, and regulations. Recent highlights include advising EBRD on its $500m loan and related documentation to the Trans-Anatolian Natural Gas Pipeline (TANAP) project. Carillion and Fina Enerji are also clients. Zeynel Tunç heads the team.
Paksoy handles minority investments, spin-offs, joint ventures and asset deals on the M&A side. It also deals with outsourcing, licensing, distribution, franchise agreements and corporate governance on the commercial side. It assisted Unilever with the €6.8bn sale of its spreads business to KKR & Co. and advised Sberbank of Russia on a share purchase agreement for the $3.2bn sale of Denizbank. Paksoy advises on antitrust investigations, cartels, competition litigation, general competition law, compliance and merger control. Restructuring and insolvency Tier 2
Paksoy handles a range of matters including debt restructuring, corporate restructuring and bankruptcy proceedings. In a recent highlight it rendered corporate restructuring advice to a multinational consumer electronics retailer; this included fiscal, tax and legal structuring, planning and implementation of a capital scheme.
