CSR is an essential part of Sayenko Kharenko’s business strategy and includes community involvement, pro bono legal work and environmental responsibility. As a major employer in Ukraine’s legal market, we believe that acting responsibly is fundamental to our sustainable future, as well as that of the community in which we work. In 2017, our firm supported over 100 social impact projects. Selected latest CSR stories include:

• Harmonization of the Ukrainian national legislation with EU legislation (including antitrust, capital markets, criminal law, corporate law and governance, labour law, energy efficiency, IP, real estate, land and financial restructuring)

• Growing legal talents – SK Innovative Summer School is a two-week law marathon which gathers top law students, offers an inside look at how law firms work, broadens student horizons and enhances understanding of the business world, the legal profession, and their own abilities. As a result, students grow and obtain personal development by expanding awareness, awakening curiosity and thinking differently. Last year we welcomed two of our clients as guest speakers who shared their inspiration and insights on doing business in Ukraine. The most talented and dedicated students are offered Sayenko Kharenko internships.

• Sayenko Kharenko joined the initiative of Coca-Cola and Osvitoria Public Union to support Socially Vulnerable Youth Development Program.This project supports graduates in preparation for Standardized External Testing exams and helps determine their future profession. Within the framework of the implementation of the educational iLearn project, the SK team visited eight boarding schools, introducing children to their rights and conducting interactive courses aiming to raise the level of legal literacy and awareness, while also helping them enjoy the social benefits and guarantees provided by Ukrainian legislation.

• Blood Donation series of events.
Sayenko Kharenko supported a blood donation program that included two events: Halloween Blood Donation and AmCham St. Valentine’s Day Blood Donation. Both were initiated and organized by the American Chamber of Commerce in Ukraine in partnership with DonorUA.

• Corporate gifts policy. We believe that corporate gifts to partners and clients must be a part of our corporate culture. At Sayenko Kharenko, we established a corporate gifts policy of made in Ukraine goods. This way we chose to support Ukrainian small and medium-size business.

• Ukrainian language book publishing support
In 2017, we launched a joint project with the publishing house Knigolove to support books printing in Ukrainian translation and to popularize reading culture among our clients and partners. So far, two books have been published with our support, joining our corporate gifts to clients and partners.

Sayenko Kharenko invites Ukrainian and international communities to help Ukraine in these difficult times. You can help through the Charitable Fund "Breathe", originally established by Sayenko Kharenko's partners to support hospitals during the COVID-19 pandemic. Currently, given the situation in Ukraine, the Fund is transferring all charitable donations and humanitarian aid to support the civilian population of Ukraine, including Ukrainian hospitals that lack essentials: food, medicine, and equipment. The Fund's volunteers are Sayenko Kharenko's employees, so the firm controls the whole process from purchase to delivery to hospitals.

Sayenko Kharenko has acted as a subcontractor of a polish legal counsel – Rymarz Zdort that provided legal support for Polskie Górnictwo Naftowe i Gazownictwo S.A. Sayenko Kharenko advises ad hoc committee of bondholders on USD 2 billion debt restructuring by DTEK

Sayenko Kharenko has acted as Ukrainian legal counsel to an ad hoc committee of bondholders in connection with USD 2 billion debt restructuring by DTEK, the largest private energy company in Ukraine. The restructuring was implemented through two inter conditional English schemes of arrangement sanctioned by English courts and was successfully completed on 17 May 2021. Pursuant to its terms, DTEK Energy’s existing Eurobonds and bank debt have been converted into two new Eurobond issues: (1) USD 1.65 billion 7 per cent Eurobond issue by DTEK Energy maturing on 31 December 2027 and (2) USD 425 million 6.75 per cent Eurobond issued by DTEK Oil&Gas maturing on 31 December 2026. By lowering interest rates, prolonging maturity, as well as decreasing the leverage, the transaction is expected to provide for a more stable capital structure for DTEK Energy.

Sayenko Kharenko has acted as Ukrainian legal counsel to Goldman Sachs International and J.P. (“FCA”) in obtaining the necessary approval of the Antimonopoly Committee of Ukraine (the AMC) for a merger of FCA with Peugeot S.A. (“Groupe PSA”) to create the world’s fourth-largest automobile manufacturer by volume with annual sales of 8.7 million units and combined revenues of nearly €170 billion.The merger between FCA and Groupe PSA became effective on 16 January 2021 creating Stellantis N.V. (“Stellantis”), which will be an industry leader with the management, capabilities, resources, and scale to successfully capitalize on the opportunities presented by the new era in sustainable mobility. The combined entity will have a balanced and profitable global presence with a highly complementary and iconic brand portfolio covering all key vehicle segments from luxury, premium, and mainstream passenger cars through to SUVs and trucks & light commercial vehicles.Following an in-depth market investigation initiated by the AMC, the parties presented well-structured and strong arguments to the AMC proving the absence of competition concerns as the result of the merger.
