Mergers and acquisitions: MAQS has continued to strengthen its M&A business and recent cases include advising the wind power company Rabbalshede Kraft AB (publ) in connection with various acquisitions during 2018, assisting Dala Vind AB in the sale of wind power project Enviksberget to Arise AB (publ), advising Vicore Pharma AB (publ) in acquiring HealthCap’s portfolio company INIM Pharma to form a company with the potential to become leading in the field of rare lung diseases, advised Rootfruit Scandinavia AB (publ) in the acquisition of Exotic Snacks AB within the segment natural snacks, assisted Plastal (a leading tier-1 supplier of injection moulded thermoplastics) in acquiring ARWI High-Tech Coating Raufoss AS’ business, advising Zenuity AB (which develops system software for advanced driver assist systems (ADAS) and autonomous driving (AD)) in the acquisition of Beyonav’s business Beyomap (a proprietary map data run-time format).
Construction: Within the area of construction law, the firm is representing the Serneke Group in matters related to the planning, design and construction of northern Europe’s tallest building, Karlatornet (planned to be 266 metres high). Digital business: In combining legal expertise within all areas of IT- and IP-law with in-depth knowledge of almost every area of business and/or industry where IT and digitalisation are relevant on a daily basis, our digital business team provides services to Swedish and international clients. Due to the variety of complex matters handled by the team the services are often provided on a project basis in close collaboration with external partners from other areas of expertise. MAQS has experience in handling cases from a number of industries, including the automotive, banking and finance, consumer goods, manufacturing, real estate, education, energy, textile, transportation, sports and high-tech industries. MAQS’ lawyers are experienced in cross-border matters and the firm has an established international network.
Real estate clients include Blackstone, Cromwell, Klövern and Tristan. Recent cases include advising Klövern in acquiring 28 properties, with a total area of 117,000 sqare metres, in Malmö and Lund from Castellum and advising Tristan in the acquisition of a shopping mall in Stockholm.
MAQS has continued to strengthen its M&A team and recent cases include advising the wind power company Rabbalshede Kraft AB in connection with the investment in the wind farm Lyrestad where all the power will be purchased by Google; advising the owners of akeab, a leading company in the construction and cable industry, in connection with the sale of the company to funds administrated by Triton; and Veolia Nordic AB, in connection with Lassila & Tikanoja’s purchase of Veolia’s Swedish facility management services business (FM) through the acquisition of all of the shares of Veolia FM AB.
The banking and finance team represents a number of banks, financial institutions and funds in relation to financing, treasury and capital market matters on the Swedish market, eg Nykredit, Nordea Finance, Collector Bank, Crédit Agricole, HSBC, Pareto, and Aberdeen.
The commercial team continuously represents several international companies, such as 3M, Philips, NEVS and TUI in the Nordic region.
Within the area of construction law, the firm is representing the Serneke Group in matters related to the planning, design and construction of northern Europe’s tallest building, Karlatornet (planned to be 266 metres high). The project also includes adjacent blocks of office and retail buildings.
MAQS regularly advises issuers on capital market matters, such as IPOs, capital raisings and incentive programmes. The firm has been involved in several cross-border IPOs on Nasdaq Stockholm. In addition, MAQS also advises issuers on debt capital market matters, for example in connection with Klövern AB (publ) issue of a SEK 10bn secured MTN programme.
The dispute resolution team is, among other things, acting as Swedish counsel for the Republic of Kazakhstan in extensive challenge proceedings in the Svea Court of Appeal regarding an arbitral award under the Energy Charter Treaty. The team is also counsel for Klövern, listed at the Nasdaq OMX stock exchange in Stockholm, in a dispute against Telefonaktiebolaget Ericsson regarding Ericsson’s new headquarters in Stockholm.
Within competition law, the team advises several global market leaders such as 3M, Alps Electric, Bauer Media, Essity and Olympus. The firm offers a broad spectrum of services, in particular focusing on vertical agreements, dominance issues and co-operation between competitors. It also regularly files merger notifications and supports clients in dawn raids and discussions with competition authorities.
