Jyrki Tähtinen
Senior Partner Jyrki Tähtinen advises on public and private M&A and corporate governance matters. He is a leading authority on private equity and fund formation in Finland. Jyrki has served as an administrator and trustee in a number of major corporate restructuring procedures and bankruptcy estates.
Johan Roman
Managing Partner Johan Roman advises clients on mergers and acquisitions (M&A) and has over two decades of experience in the field. He has a distinguished clientele that includes top private equity sponsors, major industrial firms, and leading financial institutions. Johan also offers guidance on matters concerning private equity funds, ownership and equity structures, and the transactional side of mining and renewables projects. He frequently shares his expertise with the Finnish business community and lectures at the University of Helsinki.
Janko Lindros
Partner Janko Lindros is a transactional lawyer with over 20 years of experience in M&A, venture and growth funding capital related assignments, and financing transactions.
Janko primarily advises international corporates as well as leading Nordic and European private equity firms and their portfolio companies, venture capital and growth investors, and technology and media companies.
Juha Koponen
Partner Juha Koponen is a dual-qualified (Finland and New York) transactional lawyer who focuses his practice on capital markets, M&A and private equity transactions. He has advised issuers and underwriters on public and private offerings of equity and debt securities, including IPOs, high-yield debt offerings, convertible debt issuances and rights offerings. He has also advised bidders and target companies on tender offers.
Juha has significant experience in public and private mergers and acquisitions, especially in the cross-border context. He has also advised on many venture capital investments.
Juha heads the firm’s Capital Markets team and the New York office.
Sha Wang
Counsel Sha Wang is a native Chinese speaker and is a member of the PRC Bar Association as well as being an experienced corporate lawyer in Finland. Sha advices clients on M&A, general corporate law related matters, as well as on intellectual property related questions. Being a native Chinese speaker with in-depth understanding and wide experience of cross-cultural cooperation, Sha especially advices the firm’s Chinese clients and international clients with legal matters relating to China.
Sha heads the firm’s China desk.
Samuli Simojoki
Partner Samuli Simojoki advises companies in different fields of media and technology, including a variety of technology and media related transactions. He has wide experience on intellectual property rights and technology law. Samuli also handles a variety of assignments related to privacy and telecoms, as well as ICT outsourcing transactions.
Samuli heads the firm’s Technology, Media & Telecommunications team.
Andreas Doepel
As a senior specialist and Senior Counsel at Borenius, Andreas focuses on corporate regulatory and governance matters. He has more than 20 years of experience in a broad range of corporate issues and he regularly advises our clients on corporate governance issues and chairs shareholder meetings of public and privately held companies.
In addition to Andreas’ role as counsel to our clients, he holds the position as Borenius’ General Counsel and, in that capacity, leads Borenius’ compliance and business risk procedures.
Andreas regularly provides Borenius’ corporate clients with general company and compliance advice and support on all elements of company law – from board procedure advising to analysing corporate policies, corporate restructuring, corporate governance, company secretarial, codes of conduct, and assisting with shareholder engagement and other legal and regulatory requirements.
Andreas’ expertise covers the full range of corporate governance issues including the Finnish corporate Governance Code and the modernisation of European Company Law and its implementation in Finland. In addition, he assists in preparing for and chairing general meetings of shareholders and advise boards, directors and senior management on conflicts of interest, director liability and responsibilities and other governance matters.
Eino Järnroos
Eino is a dual-qualified (Finland and New York) transactional lawyer focusing on M&A, private equity and capital markets transactions (including IPOs, SPACs, de-SPACs and PTOs). Eino also has versatile experience from sophisticated equity investments, joint ventures and corporate finance transactions. He regularly acts in both domestic and cross-border deals, with an emphasis on those involving U.S. and Nordic interests.
