Jemina Bonsdorff

Jemina advises our clients on a wide range of contentious and non-contentious intellectual property matters as well as in the fields of technology and commercial contracts. Jemina regularly assists well-known brand owners and clients with the drafting of commercial agreements, brand protection and licensing as well as other commercial matters related to e.g. e-commerce, marketing and consumer laws. She is also well versed in copyright matters. During her career, Jemina has gained significant experience in IP litigation and arbitration, having assisted our clients in several high-profile cases involving trademarks, copyright, patents, unfair business practices and trade secrets both before the Finnish Market Court and higher courts. She regularly advises our clients on and represents them in infringement and revocation actions, preliminary injunction proceedings and actions for damages. Jemina’s expertise also covers regulatory matters, particularly those relating to pharmaceuticals and medical devices as well as foodstuffs. She has also been involved in several M&A transactions where she provided advice on issues related to IP, IT and commercial contracts.

As a senior specialist and Senior Counsel at Borenius, Andreas focuses on corporate regulatory and governance matters. He has more than 20 years of experience in a broad range of corporate issues and he regularly advises our clients on corporate governance issues and chairs shareholder meetings of public and privately held companies. In addition to Andreas’ role as counsel to our clients, he holds the position as Borenius’ General Counsel and, in that capacity, leads Borenius’ compliance and business risk procedures. Andreas regularly provides Borenius’ corporate clients with general company and compliance advice and support on all elements of company law – from board procedure advising to analysing corporate policies, corporate restructuring, corporate governance, company secretarial, codes of conduct, and assisting with shareholder engagement and other legal and regulatory requirements. Andreas’ expertise covers the full range of corporate governance issues including the Finnish corporate Governance Code and the modernisation of European Company Law and its implementation in Finland. In addition, he assists in preparing for and chairing general meetings of shareholders and advise boards, directors and senior management on conflicts of interest, director liability and responsibilities and other governance matters.

Simon advises our clients on matters related to mergers and acquisitions with a predominant focus on real estate transactions. Simon joined Borenius as an Associate in 2021. Prior to his graduation, Simon worked as a trainee at the firm. He has also gained experience in real estate advisory services and investment management at a globally leading real estate consultancy firm in Finland and at one of the world’s largest real estate investment companies in Munich, Germany.

Partner Riikka Eronen advises our clients on banking and finance transactions and debt restructuring. She has extensive experience in finance transactions, including corporate lending and real estate finance as well as acquisition financing and other event-driven financing. Prior to joining Borenius, Riikka has worked as an associate at another law firm and as legal counsel at Aareal Bank AG. Riikka joined us from Danske Bank whose corporate loans franchise she most recently worked at as a loan originator. Riikka co-heads the firm’s Banking & Finance team.

Christian Fogelholm

Partner Christian Fogelholm advises on real estate, energy and infrastructure transactions and general M&A transactions, as well as general corporate and contract law related questions. His real estate transactions experience includes single asset and portfolio transactions, sale and lease-back transactions and forward purchases, regarding office, retail and logistics assets. His energy transactions experience includes advising sellers/purchasers of wind power assets, electricity and gas transmission system operators, electricity distribution system operators, and district heating operators.

Partner Jari Gadd is head of Borenius’ Tampere office. Jari advises clients on a wide range of issues relating to mergers and acquisitions, construction and real estate law and intellectual property law. He has assisted clients, for example, in the manufacturing industry and high-technology sectors. Jari has represented numerous clients in disputes regarding commercial and construction contracts, patents and other intellectual properties. He also represents clients in arbitration proceedings. Jari is an accredited mediator of the Finnish Bar Association.

Vilma regularly advises clients on domestic and international commercial dispute resolution matters. She has been involved in numerous cases before arbitral tribunals (ICC and FAI) and Finnish general courts. She has gained experience in intricate project delivery and investment disputes as well as disputes relating to the energy sector. In addition to commercial dispute resolution, Vilma represents clients in corporate crime matters.

Partner Casper is a strategic adviser to the management of large industrial, natural resources and energy corporations. He provides holistic advice to large strategic projects and industrial investments by combining leading legal expertise with sector knowledge. He also possesses a deep understanding of stakeholder communications, governmental relations and corporate responsibility. Casper has served two terms as Borenius’ Managing Partner, a period during which conversations about topics on the C-suite agenda accumulated, which benefits his clients today. A selection of Casper’s clients includes industrial clients, refineries and battery plants, datacentres, large infrastructure, energy and renewable projects, real estate investors, retail firms, financial institutions, chemical companies and traders as well as trade associations. Clients also acknowledge him as the leading Finnish mining lawyer, and he advises a significant number of the 50 largest major mining companies in the world.

Partner Paulus Hidén advises on all aspects of private equity with particular emphasis on questions related to fund formation. He also specialises in securities law and capital markets issues. He heads firm’s Fund Formation & Investment Management team.

Nora advises both domestic and international clients on all matters relating to employment and labour law. She has experience in employment disputes, corporate restructurings, co-operation procedures, terminations of employment, collective bargaining agreements, terms of employment as well as occupational safety and health matters.

Mari advises our clients in the areas of real estate law and transactions. Mari joined Borenius as an Associate in 2022, and before that, she worked at the firm as a trainee. Mari has also worked as a trainee at other law firms, at the Ministry of Justice and at a legal aid office.

Counsel Henna Jovio advises on domestic and international tax matters. Henna is specialised in indirect taxation, with a particular focus on VAT, customs and excise duties. Henna has almost 10 years of experience in indirect tax and customs issues in connection with daily tax management, tax planning, cross-border operations and mergers and acquisitions.

Ari Kaarakainen

Partner Ari Kaarakainen advises on real estate, M&A and financing transactions with particular emphasis on real estate and energy and infrastructure transactions.

Partner Einari Karhu advises on domestic and international tax matters in corporate taxation. Einari has extensive experience in international tax matters and M&A structuring as well as tax litigation.

Joel advises our clients on mergers and acquisitions, including private equity and industrial transactions. Joel has extensive experience in multi-jurisdictional M&A spanning various industry sectors, including energy, infrastructure, and the circular economy. Prior to joining Borenius, Joel worked at a Finnish listed company for five years, where he held the position of Director, M&A Legal. Before that, Joel worked at the M&A and Private Equity team of Borenius for several years, including a secondment at Cleary Gottlieb Steen & Hamilton in London.

Wilma advises clients on all areas of intellectual property and technology law, including regulatory matters, commercial contracts and data protection. She specialises in patent and other intellectual property litigation and has experience especially in the fields of pharmaceuticals and life sciences.

Sanna Kiviranta-Kontio

Sanna advises both international and domestic clients on all aspects of employment law. This includes, for example, a wide range of cases relating to employment contract and company policy matters, collective and trade union matters, occupational safety, business immigration and co-operation procedures. In addition, Sanna has extensive experience in dispute resolution and in M&A transactions.

Partner Markus Kokko regularly advises major domestic and international clients on dispute resolution and corporate crime cases. Markus has in-depth experience of domestic and international corporate and commercial disputes and he has acted as lead counsel in numerous extensive cases. Markus also has an exceptional track record in handling a broad range of litigation and arbitration cases. In addition Markus frequently advises companies and executives in relation to complex corporate crime cases and criminal investigations regarding, inter alia, insider trading, environmental violations, corruption, imports and exports and tax. Markus heads the firm’s Litigation & Arbitration and Corporate Crime teams.

Partner Juha Koponen is a dual-qualified (Finland and New York) transactional lawyer who focuses his practice on capital markets, M&A and private equity transactions. He has advised issuers and underwriters on public and private offerings of equity and debt securities, including IPOs, high-yield debt offerings, convertible debt issuances and rights offerings. He has also advised bidders and target companies on tender offers. Juha has significant experience in public and private mergers and acquisitions, especially in the cross-border context. He has also advised on many venture capital investments. Juha heads the firm’s Capital Markets team and the New York office.

Partner Erkko Korhonen advises clients on various technology transactions and arrangements, including ICT projects, outsourcing and cloud implementation. He also advises clients on issues relating to data economy as well as data protection and privacy in general (especially relating to GDPR compliance and e-privacy matters) in addition to e-commerce, telecommunications, media and marketing and consumer laws and practices. Erkko has been involved in several IP/ICT/data driven M&A transactions, including advising clients on complex carve-out and separation arrangements and transitional services.

Partner Tero Kovanen advises on questions related to dispute resolution. In addition to litigation and arbitration, Tero also has knowledge on alternative dispute resolution, particularly mediation. He is specialised in liability issues relating to contracts and damages.

Lasse Laaksonen

Partner Lasse Laaksonen specialises in both contentious and non-contentious intellectual property and technology law. He has wide-ranging experience in litigation and strategic contractual issues, such as outsourcing, procurement and licensing. Lasse’s practice has a strong emphasis on contentious work having acted as a lead counsel in a number of high-profile patent, trademark, unfair competition and competition cases. In addition, Lasse has acted as a lead counsel in a number of significant arbitral proceedings with a link in IP or technology issues. Lasse heads the firm’s IP & Commercial team.

Leif has nearly 20 years of experience in national and, in particular, complex international real estate arrangements, including real estate portfolio and fund investments as well as sale and leaseback arrangements. He represents international, Nordic, and Finnish real estate funds, key investors, and private and public companies. Leif is a graduate of the University of Helsinki, and he also holds a Master’s Degree in Law from Georgetown University in Washington D.C., USA. Leif is a member of the Finnish Bar Association and has also been admitted as a member of the New York State Bar Association.

Saara Lapiolahti

Saara advises clients on commercial disputes, both in arbitration and in civil and administrative courts, on selected corporate crime cases and on internal, regulatory and police investigations. In addition to commercial disputes, Saara advises clients on intellectual property related litigation, especially on patent and copyright litigation, and on questions related to non-contentious intellectual property and information technology.

Hanna is an environmental lawyer with wide-ranging experience from various sectors of environmental law covering the development of large-scale infrastructure and industrial projects, utilisation of natural resources, environmental liabilities, land use planning and nature conservation. In addition, Hanna advises clients on ESG topics such as building due diligence processes, compliance programmes and reporting. Hanna has also worked as an in-house environmental compliance counsel for a listed global forest industry company and as a referendary in the Finnish Supreme Administrative Court, thus gaining valuable experience benefitting our clients.

Kristiina Liljedahl

Partner Kristiina Liljedahl advises on dispute resolution, including litigation and arbitration, as well as on employment law and marketing law. Kristiina represents clients in relation to a variety of claims in domestic and international commercial litigation and arbitration, including ad hoc arbitration proceedings and institutional arbitration proceedings. Her practice ranges in several business sectors and covers, for example, IT and telecommunications, international trade, mining, services and consultancy services.

Partner Janko Lindros is a transactional lawyer with over 20 years of experience in M&A, venture and growth funding capital related assignments, and financing transactions. Janko primarily advises international corporates as well as leading Nordic and European private equity firms and their portfolio companies, venture capital and growth investors, and technology and media companies.

Heidi is a dual-qualified (Finland and New York) regulatory lawyer who focuses her practice on the permitting of infrastructure, industrial operations and environmental liability questions. She has worked on many landmark or first for Finland industrial and infrastructure projects within various industrial sectors, including the battery materials sector and off-shore infrastructure projects. Heidi has been ranked by IFLR1000 as a Notable Practitioner for project development in the mining and natural resource sectors. Heidi has almost 20 years of experience in complex permitting and environmental liability questions first from an authority perspective and later from private practice. She takes a pragmatic and solution-oriented approach and strives to find innovative solutions for complex situations.

Partner Mia Mokkila specialises in listed company advisory and public M&A. She has more than 15 years of experience in handling listed company transactions that involve complex securities and corporate law aspects, such as public tender offers and mergers. Mia also frequently provides insider, disclosure, and governance advice to listed companies. Prior to joining Borenius, Mia worked at another major Finnish law firm. Her prior experience also includes working as a secondee at Nokia Corporation. Mia has served as a secretary of the Helsinki Takeover Code revision workgroup twice, once in 2013 and again in 2021–2022, and she is a member of the Finnish Bar Association’s legal expert team on security markets and finance law. Mia has also successfully completed the Certified Board Member (CBM) training programme. Mia heads the firm’s Corporate Advisory team and is a Partner in the firm’s Capital Markets & Public M&A team.

Partner Emma Niemistö advises our clients on construction and project law assignments. She focuses on major industrial and infrastructure investments, construction and engineering mandates, as well as real estate development and dispute resolution. A large part of her work also includes advisory services relating to EPC(M) projects, under the FIDIC suites or similar international forms of contracts. Emma has long-standing experience in negotiating and drafting complex project agreements and providing risk and claims management advice relating to our clients’ critical projects and strategic investments. She benefits from her unique technical background in her advisory role; with a Master of Science degree in Construction Economics and Management from the Helsinki University of Technology, she draws from her understanding of project management and industrial/technical processes to get a strong handle on contract risks in demanding projects. On contentious mandates Emma represents clients in litigation and arbitration proceedings, and also acts as arbitrator in construction and supply contract disputes. Emma has also authored books on construction management contracting and contractors’ guarantee liabilities and is a sought-after speaker on topics related to construction law and dispute management. Niina Nuottimäki

Partner Niina Nuottimäki advises on banking and finance, debt capital markets and debt restructuring. Niina has extensive experience in both domestic and cross border leveraged buyout deals, corporate lending, real estate finance and debt issuance. She also advises clients on trade finance and derivatives. Niina heads the firm’s Banking & Finance team.

Nelli advises both international and domestic clients on M&A transactions. With extensive experience in advising private equity sponsors, she also frequently works with industrial clients and financial institutions. Nelli is highly skilled in managing both cross-border and domestic transactions across a wide range of industry sectors. Additionally, she offers advice on general corporate law matters.

Partner Robert Peldán advises on insolvency and dispute resolution. Robert has substantial experience in advising companies, creditors, lenders, investors, and other stakeholders on a variety of liquidations, distressed situations, and complex restructuring matters. During his career, Robert has engaged in more than 800 insolvency and corporate related tasks and has acted as administrator in bankruptcies and restructurings. In addition to legal insolvency proceedings, Robert has also participated in several voluntary restructurings advising both the creditors and the distressed companies. Robert heads the firm’s Restructuring & Insolvency team.

Henriikka Piekkala

Counsel Henriikka Piekkala advises on legal issues related to regulated markets and competition law. She has wide knowledge and experience in telecom, postal, media and energy regulation related antitrust issues and policy matters, and in pricing issues in particular.

Hanna advises clients on a broad range of contentious and non-contentious intellectual property matters, including litigation, administrative proceedings, and commercial contracts, as well as assignments related to marketing, unfair business practices, and food law. Hanna has extensive experience in significant IP disputes both at the Finnish Market Court and higher courts, advising especially on marketing and trademark law. She regularly advises major trademark portfolio clients and also has extensive experience in advising on regulatory matters, particularly in the fields of pharmaceuticals, medical devices, consumer goods, and foods. Recent references include representing a high-profile client in proceedings before the CJEU. Hanna joined Borenius in 2016 and has previously worked as an IP Lawyer at Finnish patent agencies. She has also gained experience as a trainee at another Finnish law firm, at the legal department of a major Finnish listed company, as well as in the Ministry of Employment and Economy in the area of industrial property rights. Hanna also holds a Master of Laws degree from the University of California, Berkeley, with a specialization certificate in Law and Technology.

Partner Ben Rapinoja is a renowned litigator in patent, trademark and intellectual property matters in Finland and an expert in the field of intellectual property, technology law and Market Court proceedings. Managing Partner Johan Roman advises clients on mergers and acquisitions (M&A) and has over two decades of experience in the field. Johan also offers guidance on matters concerning private equity funds, ownership and equity structures, and the transactional side of mining and renewables projects. Samuli Simojoki

Partner Samuli Simojoki advises companies in different fields of media and technology, including a variety of technology and media related transactions. Jyrki Tähtinen

Senior Partner Jyrki Tähtinen advises on public and private M&A and corporate governance matters. He is a leading authority on private equity and fund formation in Finland. Jyrki has served as an administrator and trustee in a number of major corporate restructuring procedures and bankruptcy estates.

Tomi advises both international and domestic clients on all questions related to employment and labour law, including employment disputes, corporate restructurings, co-operation procedures, terminations of employment, and the negotiation and interpretation of collective agreements. Tuomas Tikkanen

Counsel Tuomas Tikkanen advises clients on a wide variety of financial transactions, including bank lending, bond financings, securitisations, project financing and debt based crowdfunding. He also regularly advises on financial restructurings and on financial regulatory and company law matters. In addition to these key competencies, he has experience in M&A transactions and real estate projects.

Louna Tulikoura

Louna advises clients primarily on technology and data protection matters. Louna joined Borenius in 2017, and before that she worked as a specialist in a Finnish company focusing on data protection and privacy. During her studies, Louna worked for several years as a trainee in an international software services company. Louna holds a professional certificate on privacy and data protection (CIPP/E).

Aksu advises our clients on capital markets transactions, such as initial public offerings, rights offerings and debt offerings. Aksu has ten years of experience in advising issuers, underwriters, shareholders and other key stakeholders on issues related to securities law in the context of international and domestic capital markets transactions, with a particular focus on disclosure regulation. In addition to capital markets work, Aksu is familiar with new regulation related to sustainability and sustainable investing.

Akseli advises clients on capital markets transactions and securities markets regulation. He also focuses on corporate law related questions, with a particular emphasis on growth companies, and has been involved in several M&A transactions.

Sampo advises our clients on transfer pricing and other domestic and international tax matters. He also provides assistance in tax disputes and dispute avoidance, business model planning and business restructuring projects, and ensures that our clients have adequate documentation for compliance purposes. In addition, Sampo specialises in questions related to transfer pricing aspects of intangibles. He has several years’ experience in insolvency assignments, and he is experienced in general corporate and commercial law.

Kaisa Voutilainen

Counsel Kaisa Voutilainen Kaisa advises on dispute resolution and insolvency related questions. She represents clients in major litigations related to damages and contractual issues as well as in matters regarding bankruptcy estates and related actions for recovery. In addition, Kaisa has experience in advising companies and executives in relation to complex corporate crime cases and criminal investigations regarding, inter alia, environmental violations, misappropriation of funds and securities market offences.

Heikki Wahlroos

Partner Heikki Wahlroos advises on domestic and international tax matters in corporate and personal income taxation. Heikki has extensive experience in M&A tax and structuring, as well as in taxation in the private equity and venture capital sector. He also advises clients regularly in tax disputes ranging from domestic tax audits to international transfer pricing litigations. In addition to transactions and tax controversy work, Heikki has wide experience in the taxation of management incentive structures, the cross-border taxation of executives and personal income taxation in general

Counsel Sha Wang is a native Chinese speaker and is a member of the PRC Bar Association as well as being an experienced corporate lawyer in Finland. Sha advices clients on M&A, general corporate law related matters, as well as on intellectual property related questions. Being a native Chinese speaker with in-depth understanding and wide experience of cross-cultural cooperation, Sha especially advices the firm’s Chinese clients and international clients with legal matters relating to China. Sha heads the firm’s China desk.

Jill advises our clients primarily on assignments related to banking and finance. She has extensive experience in advising financial institutions, corporate borrowers, and other market participants on domestic and cross-border financing arrangements, with a particular focus on bank lending and debt capital markets transactions.
