Garrigues Portugal’s impressive client roster includes investment funds such as Deutsche Asset Management and Norfin as well as real estate companies. The team advised Merlin Properties on the €29m acquisition of a fully let office building in Lisbon’s Parque das Nações, as well as assisting the client with the €60m acquisition of the former Novo Banco building. Jorge Salvador Gonçalves is very highly regarded. Miguel Marques dos Santos and his team joined VdA Vieira de Almeida in December 2016.

Morais Leitão, Galvão Teles, Soares da Silva & Associados is ‘efficient, committed and professional’ in dealing with commercial, industrial and shopping centre acquisitions. On the seller side, it advised EDP Imobiliária on its disposal of an asset portfolio, and assisted Colony NorthStar with its sale of a retail park. Rita Ferreira Vicente and practice head Filipa Arantes Pedroso act in close co-operation with the planning and environment teams.

PLMJ has specialist expertise in property refurbishment projects, hotel installations and luxury retail sites. In one highlight, Tiago Mendonça de Castro and Francisco Lino Dias advised Ikea Centres on the construction of a 400-hectare commercial complex that includes a shopping centre. Rita Alarcão Júdice led advice to Fundação Alfredo de Sousa concerning the construction of a new university campus, including negotiating lease agreements, handling construction tenders and creating securities to the financing facilities. Pedro Sáragga Leal has ‘great legal knowledge’ and Margarida Osório de Amorim, who focuses on hotels, resorts and other tourism projects, made partner in May 2017.

Uría Menéndez - Proença de Carvalho has an eight-strong group that acts for a diverse client portfolio. Drawing on his expertise in advising funds, Duarte Garin acted for Lone Star on numerous projects, such as the sale of a portfolio of ten buildings to Square Asset Management. Other fund clients include Aberdeen Asset Management, Global Asset Capital and Triuva Kapitalverwaltungsgesellschaft. Counsel João Torroaes Valente advised Pestana Hotels & Resorts on the acquisition of hotels located abroad. Senior associate Rita Xavier de Brito is also recommended.

One of the best law firms in town’, VdA Vieira de Almeida is experienced in handling transactions in the retail, residential and hospitality sectors. In 2017, the 15-strong real estate team, which is led by Pedro Ferreirinha, acted on the sale and acquisition of several office buildings. Clients include AB Group, ProWinko and Westmont Hospitality Group. Managing associates Manuel Gouveia Pereira, Pedro Pereira Coutinho and the ‘hardworking, trustworthy and loyal’ Pedro Corrêa de Oliveira are also recommended. In December 2016, leading lawyer Miguel Marques dos Santos and his team joined from Garrigues Portugal.

Clients report that Cuatrecasas’ group is ‘part of the client’s team’ and ‘always ready to face new challenges’. It advised shopping centre Dolce Vita Tejo on its expansion, including handling real estate transactions and negotiating lease agreements, and assisted Zurich with buying and selling several properties. Practice head Nuno Sá Carvalho ‘ensures quality over several key milestones’ and associate Sara Quaresma is also noted.

DLA Piper ABBC’s six-strong group has strong international capabilities. Recent highlights include advising EDP on lease and property management agreements and assisting Vector Mais with refurbishing works. Luís Filipe Carvalho heads the group.

pbbr - Sociedade de Advogados RL advises real estate developers, investors and constructors. Highlights included advising Stone Capital on the development of rehabilitation projects, and assisting a separate client with restructuring leased assets. Teresa Freire, the ‘responsive and client-friendlyPedro Pinto and Tânia Ferreira Osório are recommended.

Real estate and planning boutique Sofia Galvao Advogados has ‘a fantastic network’. The team advised key client ECS Capital on several urban development projects. Sofia Galvão is ‘the name and face of the firm’; Hugo Nunes is ‘agile and professional’.

The ‘level of service couldn’t be higher’ than that provided by Abreu Advogados’ team. In one headline matter, the group advised Resilient REIT and Greenbay Properties on their joint €220m acquisition of two shopping centres. The Oporto-based Rui Peixoto Duarte and the Lisbon-based Patrícia Viana are recommended.

FCB Sociedade de Advogados advised wholesaler Makro on the sale of one of its properties, and assisted Nike and Converse with negotiating new leases. The ‘thorough, experiencedMiguel Lorena Brito and Pedro Guimarães are recommended.

Catarina Costa Lopes’ team at PRA-Raposo, Sá Miranda & Associados, Sociedade de Advogados RL advised NovImovest on the sale and purchase of several commercial properties. Other clients include real estate investment funds such as Destino Final – Imobiliária and Bnx Investimentos and real estate agencies such as FirstSquare and Imosetúbal.

With excellent international experience, SRS Advogados recently advised an investment fund on the sale of a hotel. Managing associate Francisco Pereira Miguel is the name to note.

CCA Ontier has long-term experience in advising retail companies on leasing activities. It assisted Igreja Universal do Reino de Deus with entering into rental agreements and buying several properties. Domingos Cruz leads the group.

Luís Abreu Coutinho’s real estate group at CMS advised Domino’s Pizza master franchisee Daufood on leasing agreements. Other clients include Chamartín Inmobiliaria and Explorer Investments.

Gómez-Acebo & Pombo acted for numerous family offices on the acquisition of property, and advised De’Longhi on terminating the lease agreement for its Portuguese headquarters. Senior associate Sofia Rodrigues Nunes and associate José Manuel Nunes are recommended.

Macedo Vitorino & Associados stands out for its expertise in agricultural land acquisitions. In one highlight, the team advised an asset fund on purchasing an olive grove. Susana Vieira is the name to note.

Raposo Bernardo’s six-strong real estate group assists ERA Real Estate with all real estate operations in the Algarve, including finance and tax matters.     Law no. 13/2016, of 30 December 2016, which amended and republished the Mozambican VAT Code, was recently rectified by a Notice, dated June 8th.

    In order to clarify some of the new obligations stemming from the EU General Data Protection Regulation (“GDPR”), which will apply as of 25th May 2018, the Article 29 Working Party (“WP29”) – the independent European consulting body for data protection issues – recently issued its “Guidance on Data Protection Impact Assessment (“DPIA”)”. This document will be available for public consultation until 23rd May, 2017.

    On 28th January, 2017, the Portuguese Data Protection Authority (Comissão Nacional de Proteção de Dados/CNPD) published a document establishing 10 measures for entities to prepare for the application of the General Data Protection Regulation (“GDPR”).

    Presidential Decree no. 193/17, which approves the Regulation on the Licensing of Establishments and of Commercial Activity and Market Services (“Regulation”), was published on 22 August. The Regulation, which will enter into force on 21 October (60 days after its publication), establishes the conditions and procedures governing the licensing of commercial activities and market services, as well as the licensing of the respective establishments, revoking Presidential Decree no. 288/10, of 30 November (Regulation on the Licensing of Commercial Activity and the Provision of Market Services), as well as all prior regulations on the matter contrary to the provisions of the new Regulation.

    Ministerial Statute 50/2017, of 11 July 2017, sets forth the measures approved by the Ministry of Mineral Resources and Energy to streamline petroleum products’ import into and supply to the country and ensure fuel supply safety, regularity and quality. The newly approved measures obviously have a direct impact on distributors, but also affect suppliers, IMOPETRO, commercial banks operating in-country and the Banco de Moçambique (“BdM”).
  • Mozambique VAT Code Amended

    Law no. 13/2016, of 30 December 2016, which amended and republished the Mozambican VAT Code, was recently rectified by a Notice, dated June 8th.

    Decree-Law 79/2017, of 30 June 2017, was published last Friday and amends both the Insolvency and Corporate Recovery Code and the Companies Code, in order to implement the goals of the “Programa Capitalizar” approved by Council of Ministers Resolution 42/2016, of 18 August 2016

    Please be aware that a new Presidential Decree has been published on 24th of April (Presidential Decree 79/17 of 24 April) which, among others, introduces the following significant amendments to former Presidential decree 43/17 of 6 March (regulations on the performance of a professional activity by nonresident foreign employees ):

    Bearer securities have been prohibited under Law 15/2017, of May 3, 2017, published today. The Companies Code and the Securities Code have been amended in order to implement this measure.

    Presidential Decree 43/17, of 6 March 2017 (“DP 43/17”) just enacted new regulations on the performance of a professional activity by non-resident foreign workers, repealing former Decrees 5/95, of 7 April 1995 and 6/01, of 19 January 2001.
