Norton Rose Fulbright’s banking and finance group is especially active in the infrastructure, energy and retail sectors. In the energy and infrastructure space, the team has been increasingly engaged by Chinese and Japanese investors seeking to take advantage of Thailand’s aggressive push for infrastructure development. Working alongside the firm’s Singapore office, Tassanai Kiratisountorn acted for Trans Thai-Malaysia (Thailand), a joint venture between Petronas and PTT, on the refinancing of a $195m facility provided by a group of Chinese, Japanese and Thai banks, and the provision of an additional $12m facility. The team also advised Frasers Centrepoint Limited (FCL) on the $140m facility for the acquisition of shares in Golden Land Property Development. In a separate matter, the dual Bangkok-Singapore banking group advised FCL on its THB5bn facility agreement with Standard Chartered Bank and Sumitomo Mitsui Banking Corporation to fund the acquisition of shares in Ticon Industrial Connection. Norton Rose Fulbright has benefited from what has been characterised as a flurry of M&A activity in Thailand in 2016, and, working closely with its colleagues throughout the region, has seen increased intra-regional investment activity, particularly in the power, energy and retail sectors. The team is notably active in the renewable energy space, and Tassanai Kiratisountorn is acting alongside the Singapore office to advise on a clean exit for a renewable energy fund regarding its Southeast Asian renewable energy portfolio. Corporate group head Somboon Kitiyansub assisted NFC Fertilizer Public Company with the corporate restructuring necessary for relisting on the Stock Exchange of Thailand (SET), after exiting its court-sanctioned rehabilitation plan. Of counsel Sarah Chen was involved in a cross-border regulatory matter concerning internet content delivery and also acted on a cross-border licensing matter in the telecoms industry. The team is also active in the insurance sector, and may see increased work in this area with the evolving Thai regulations surrounding that industry.

Working closely with the firm’s Singapore office, Norton Rose Fulbright has maintained a strong presence in the Thai and broader Southeast Asian energy and development space. Office head Somboon Kitiyansub worked alongside the Singapore team to advise Wind Energy Holdings as project sponsor on the development, construction and financing of a wind farm project in Thailand. In addition to project financing and project development, the team has experience in debt restructuring matters in the infrastructure and energy space. Indeed, Tassanai Kiratisountorn advised Trans-Thailand Malaysia (Thailand) on its $195m refinancing and subsequent $12m facility. The Bangkok team also had a hand in a multi-office effort to produce a prospectus report with the Global Infrastructure Hub to assist governments and infrastructure providers in creating a flow of viable PPP projects. Chormas Premsirinirund is an active senior associate in the department and has helped advise project companies and lenders in biomass and cogeneration projects in 2016-2017.

Norton Rose Fulbright has remained active in some of the largest restructurings in the Thai marketplace where it acts for corporate debtors and domestic and international creditors. Somboon Kitiyansub heads the Bangkok office and the restructuring and insolvency department, and acted for WP Energy Public Company on the corporate restructuring necessary for relisting on the Stock Exchange of Thailand (SET) following the merger between World Gas and Picnic Corporation, from which WP Energy was formed. Similarly, Kitiyansub assisted NFC Fertilizer Public Company with its corporate restructuring needed for relisting on the SET, after exiting its court sanctioned rehabilitation plan. Tassanai Kiratisountorn and of counsel Rittichai Ngodngam are additional contacts in the practice group.
